Paris Office Represents Founders of Sophis in Private Equity Investment by Advent International
It was recently announced that global private equity firm Advent International acquired a majority stake in Sophis, a leading provider of financial services software development for capital markets. Hervé Vinciguerra, founder and CEO of Sophis, will retain a significant stake in Sophis and take a Supervisory Board position. Mr. Vinciguerra and his co-founders reinvested a significant portion of their initial stake in the joint venture vehicle with Advent. The transaction was handled by partners Hélène Raffin (tax) and Emmanuel Scialom (corporate), special European counsel Ariane Bertrand-Parigi (tax), and associate Julie Herzog (corporate).

Pittsford-based BlueTie is the leading provider of hosted e-mail and calendaring solutions for small to mid-sized businesses and service providers worldwide. BlueTie revolutionized the “software as a service” sector in 1999 by introducing the first hosted suite of small business collaboration, and again in 2006 with the launch of Featuretisements— a new way to monetize Web-based applications.

Through Featuretisements, BlueTie provides unobtrusive, on-demand access to business services that simplify everyday tasks. By combining e-mail and calendaring with the Web’s most useful services such as travel planning, e-mail marketing, and business search, users can easily manage a variety of personal and business tasks directly from within their email application. Featuretisements are designed to be an easy, natural extension of users’ normal workflows. There is no banner, text, or other advertising. Moreover, BlueTie’s model is cost-per-action-based. Partners pay only when their services are generating revenue. Additional planned offerings include blogs, dinner reservations, and entertainment ticket purchasing.

Nixon Peabody’s technology and intellectual property partners Gunnar Leinberg and Peter Durant, both in Rochester, advised BlueTie on the patent, trademark, and related intellectual property issues aspects of Featuretisements.

Milbank Represents Lenders in Structuring the Transaction; Strong Demand Results in Reverse-Flex Pricing
Further expanding its ethanol production capacity in the United States, Abengoa Bioenergy Holdings U.S., Inc., a subsidiary of the Spanish company Abengoa, S.A., has closed a $300 million financing for the construction of two ethanol plants in the Midwestern U.S. The financing was led by WestLB and Banco Santander and a syndicate of other lenders. The international law firm Milbank, Tweed, Hadley & McCloy, led by partner Dan Bartfeld, represented the lenders in negotiating and structuring the transaction.

Commenting on the transaction, Milbank’s Bartfeld stated, “The deal’s success proves that even in a very challenging financing market, a well structured deal with a strong sponsor can be very well received.”

In addition to Mr. Bartfeld, the Milbank team representing the lenders included associates Sarah Glenn, Rebecca Campbell and Peter Hughes.

About the transaction:
A subsidiary of Spanish company Abengoa, S.A., Abengoa Bioenergy Holdings U.S., Inc. is the fifth largest producer of bioethanol in the United States. Abengoa Bioenergy currently operates four plants in the Midwest with a combined capacity of approximately 198 million gallons per year. The $300 million senior secured financing will support the construction of two additional ethanol plants, each with a capacity of 88 million gallons per year.

The transaction was structured to attract several investor classes, which resulted in a very large oversubscription. The transaction was reverse flexed, achieving the tightest pricing to date for a greenfield ethanol financing.

Freshfields advises Hypo Real Estate on merger with DEPFA Bank
Leading international law firm Freshfields Bruckhaus Deringer has advised German-based Hypo Real Estate Holding AG on its intended merger with Irish DEPFA Bank plc. As a result of the merger, which will be implemented by way of a scheme of arrangement, DEPFA Bank plc will become a wholly-owned subsidiary of Hypo Real Estate Holding AG. The transaction, which will result in one of the largest German banks in terms of total assets and market capitalisation, is valued at approximately €5.7bn.

Hypo Real Estate Group, headquartered in Munich is a leading international provider of large volume commercial real estate financing. DEPFA Bank plc with registered offices in Dublin is one of the world's leading providers of public finance.

Hypo Real Estate Holding AG will finance the transaction by issuing new shares to the former shareholders of DEPFA and also by way of a cash component. The transaction is subject to shareholder and regulatory approval and is expected to be completed in October 2007.
