Jenner & Block Helps General Dynamics Complete Acquisition of Anteon International
General Dynamics recently completed its acquisition of Anteon International Corporation, a leading defense and intelligence technology services company. Jenner & Block represented General Dynamics in the $2.2 billion deal, which will allow the defense contractor to expand the informational technology services it can offer to its U.S. government customers.

Anteon combined with General Dynamics Network Systems business unit to form General Dynamics Information Technology, which will be headquartered in Fairfax, Virginia. The new organization will employ approximately 16,000 employees worldwide, and will provide information technology, systems engineering and professional services to customers in the defense, intelligence, homeland security, federal civil and commercial sectors.

General Dynamics, headquartered in Falls Church, Virginia, employs approximately 81,900 people worldwide. The company is a market leader in mission-critical information systems and technologies; land and expeditionary combat systems, armaments and munitions; shipbuilding and marine systems; and business aviation.

Holland & Knight's Damon Hart Elected to Leadership Position in the Boston Bar Association
Holland & Knight LLP is proud to announce that Damon Hart has been elected to serve on the Boston Bar Association Council, the governing body of the BBA. He will serve a three-year term beginning on September 1, 2006.

Hart is active in the BBA and has served on the Diversity Committee, Public Service Committee and as co-chair of the New Lawyer Section, where he developed CLE programs, networking events, pro bono projects and practice development programs for approximately 2,000 members who have been practicing for ten years or less.

Hart is a member of Holland & Knight's Litigation Section and practices in the area of commercial litigation, with particular focus in technology, intellectual property, and labor and employment matters. He also provides clients with business advice with regard to employment, contract, real estate and development matters. Hart received his bachelor’s degree in 1996 from The College of Holy Cross and his law degree in 1999 from Boston College.

Dykema Member Authors Book On Environmental Issues
Grant P. Sour Reception for Net Lease REIT Merger
The $1.9 billion merger of Lexington Corporate Properties Trust (LXP) and NewKirk Realty Trust (NKT) is being billed as the largest diversified REIT composed of single tenant-leased properties. But Wall Street reacted to news of the deal with a shrug. Martin Luskin, a senior partner at Blank Rome, comments in National Real Estate Investor on the market factors driving the urge to merge in the REIT sector.

As privatization and merger activity continues to thin the ranks of listed REITs, Luskin believes the remainder of 2006 will see even more consolidation. Luskin was lead attorney on three major REIT deals in as many recent years: DRA Advisors $3.4 billion acquisition of Capital Automotive REIT; DRA Advisors $1.7 billion acquisition of CRT Properties and PL Retails $1 billion acquisition of Price Legacy.

“Many of these companies aren’t interested in getting into bidding wars on one-off asset deals,” says Luskin. “Not only are these deals hard to win, they take a lot of time and energy.”

He says that explains deals like the LXP/NXT merger and increased activity by private equity players like DRA Advisors and Blackstone Group. He also predicts there will be more “club” deals whereby private equity firms team up on highly leveraged acquisitions.

According to SNL Financial, there were $30.62 billion in REIT mergers, acquisitions and privatizations through July 10. In all of 2005, $28.77 billion in similar deals were closed; in 2004, just $5.69 billion.

“There’s still so much money out there looking for a home in the private equity world,” he says. “That will drive more REITs to go private or merge over the next few months.”

J. David Whetstone Joins Adams and Reese LLP

Whetstone, a native of Greenville, AL, received his Bachelor of Arts degree in Political Science from the University of West Florida in 1970, and earned his Juris Doctorate from the University of Alabama Law School. He began his legal career as an Assistant Attorney General to former Attorney General Bill Baxley, followed by six years of service as the Executive Director of the Alabama District Attorneys Association, where he represented the interests of District Attorneys throughout the State and created the Office of Prosecution Services. During that time, he served also on several commissions including Alabama’s first Criminal Code Commission as well as the Judicial Commission that was responsible for re-vamping Alabama’s Judicial Article.

From 1980-1984, Whetstone had a general private practice in Gulf Shores, AL, and became Municipal Judge, as well as serving as a Special Attorney General. In October 1984, he was appointed as District Attorney, where he was routinely selected to specially prosecute cases outside of his jurisdiction, and successfully argued several high-profile cases and participated in renown investigations pertaining to matters of ethics, the environment and child abuse. He earned several honors and awards for his service including: Governor’s Conservation of Achievement Award-Water Conservationist of the Year, 1994; District Attorney of the Year, 1998 and 2000 and Alabama “People Against Litter” Award.

When asked why did he decided to join Adams and Reese Whetstone explains, “I have always taken note of who was making things happen around the state and the region, and Adams and Reese was always there. When I looked around and saw who the political players were in the state, Adams and Reese stood out.

Paul Hastings Represents Lexington Corporate Properties Trust In Its $4.6 Billion Merger with Newkirk Realty Trust
Paul, Hastings, Janofsky & Walker LLP (Paul Hastings), a leading international law firm, has represented client Lexington Corporate Properties Trust, a real estate investment trust (""REIT"") focused on single tenant properties, in its definitive merger agreement with Newkirk Realty Trust, Inc. Each company will pay pro-rata dividends through the date of closing. In addition, prior to the closing of the transaction, Lexington anticipates making a one-time cash distribution of $0.17 per share to Lexington shareholders and unitholders. The transaction is structured to qualify as a tax-free merger.

Fulbright Austin Partners Finalists for “Profiles in Power”
