Eric Rothschild of Pepper Hamilton Serves on Panel at Hadassah National Convention
Eric Rothschild, a partner with Pepper Hamilton LLP, recently spoke at the Hadassah National Convention in Nashville, Tennessee. The conference, which was attended by approximately 2,000 delegates from across the country, was held on July 23-25, 2006.

Mr. Rothschild was a panelist for the “Science and Science Fiction” track, which discussed the impact of religious and political ideology – rather than scientific and medical evidence – on many critical policy decisions in the United States, including the teaching of “intelligent design” in public schools, environmental policies, and federal regulation of drugs and medical devices.

Joining Mr. Rothschild on the panel was Susan F. Wood, the former assistant FDA commissioner for women’s health and director of the Office of Women’s Health. In August 2005, Dr. Wood resigned from her post in protest against the FDA’s decision to delay a final ruling on the accessibility of the “morning after” pill. Also on the panel was Barbara Lerman-Golomb, the acting executive director of the Coalition on the Environment and Jewish Life (COEJL) and coordinator for the Greening Synagogues project.

Mr. Rothschild, a partner in Pepper’s Philadelphia office, concentrates his practice in complex litigation, including constitutional and civil rights issues, reinsurance disputes, insurance insolvencies, and matters involving fraud, breach of contract and commercial lending. He served as one of the lead lawyers for the plaintiffs in the landmark “intelligent design” case of Kitzmiller v. Dover Area School District that was decided in Pennsylvania in December 2005.

Hadassah (www.hadassah.org), the Women’s Zionist Organization of America, is a volunteer women’s organization that promotes the unity of the Jewish people. In Israel, Hadassah initiates and supports health care, education and youth institutions; in the United States, Hadassah conducts education and Zionist youth programs, and promotes health awareness.

Milbank, Tweed Represents the Lenders in $1.5 Billion Financing for Cheniere Energy's Sabine Pass LNG Project
Houston-based Cheniere Energy, Inc., through its wholly-owned limited partnership Sabine Pass LNG, L.P., has closed an amended and restated $1.5 billion senior secured credit facility that will be used for the construction of Sabine Pass LNG’s liquefied natural gas (“LNG”) receiving terminal in Cameron Parish, Louisiana. The largest LNG financing ever in the United States, the $1.5 billion credit facility was arranged by HSBC Securities (USA) Inc. and Société Générale Corporate & Investment Banking and syndicated to 31 financial institutions. The international law firm Milbank, Tweed, Hadley & McCloy LLP, led by New York-based partner Dan Bartfeld and Los Angeles-based partner Ed Feo, represented the lenders and lead arrangers in negotiating and structuring the financing.

Mr. Bartfeld commented, “Leveraging our experience with the lenders on the initial $822 million credit facility, which was at that time the largest LNG financing ever in the U.S., we were able to structure another record-setting LNG project financing that meets the needs of all parties. The facility was well received in the banking industry, which shows there is strong interest in energy projects with viable growth and expansion potential.”

Mr. Feo added, “With the continuing high prices for oil and natural gas, investors are looking to expand sources of energy in the U.S., including liquefied natural gas, ethanol and wind energy. We are seeing an increase in the size and number of projects, as well as an explosion of capital available for the energy sector.”

In addition to Messrs. Bartfeld and Feo, the Milbank team included real estate counsel Bruce Gardner and associates Zoe Markwick and Brian Muraresku.

About the LNG Project and Financing:
The $1.5 billion credit facility, which matures on July 1, 2015, amends and restates the $822 million credit facility arranged by HSBC Securities (USA) Inc. and Société Générale Corporate & Investment Banking in March 2005. The facility is being used to finance the construction of the Sabine Pass LNG receiving terminal, which is located in Cameron Parish, Louisiana.

Construction on the LNG receiving terminal began in March 2005, with initial start-up anticipated in early 2008. Cheniere was recently granted authorization by the Federal Energy Regulatory Commission (“FERC”) to expand the terminal’s capacity by 1.4 billion cubic feet per day (“Bcf/d”) to 4.0 Bcf/d. The expansion is expected to be completed in 2009.

Kennedy Covington Partner Named President of the N.C. Museum of Art Foundation
The North Carolina Museum of Art Foundation Board recently named Joseph B.C. Kluttz of Charlotte, N.C., as its new president.

Kluttz is a partner and chair of the financial services department of Kennedy Covington law firm in Charlotte. Prior to attending law school, Kluttz was a staff member of the United States Senate Subcommittee on Constitutional Rights. He also was a member and former chair of the Charlotte-Mecklenburg Historic Landmarks Commission. He sits on the board of directors of the North Carolina Citizens for Business and Industry.

Kluttz joined the Museum Foundation Board in 2002.

HCA RETAINS CRAVATH
HCA Inc. has retained Evan R. Chesler, Robert H. Baron and Sandra C. Goldstein of Cravath to represent the corporation and certain of its directors in litigation relating to the sale of HCA to a consortium of private equity investors. HCA has also retained Katherine B. Forrest of Cravath to represent the corporation in connection with obtaining antitrust regulatory approval for the sale. The sale, which was announced on July 24, 2006, is the largest announced leveraged buyout to date.

Who's Who in Black Indianapolis Lists Three Baker & Daniels Lawyers, 2006,
Three Baker & Daniels LLP lawyers have been recognized in Who's Who in Black Indianapolis for dedication to their career and devotion to their community. Honored in ""Indianapolis' Most Influential"" category during a special reception July 20 in Downtown Indianapolis were:

Sandra Leek, who focuses her practice on labor and employment law, diversity issues, and minority and women business owners. Outside the office, she serves on the Executive Council for the Race Relations Leadership Network of Indianapolis, co-chairs the Diversity Task Force of the Indianapolis Bar Association and is a director of Indiana Legal Services, Inc. Leek also was Executive Director of the Indiana Civil Rights Commission for 13 years.

Byron Mason, who practices in the litigation of commercial, product liability and employment matters. He serves on the Executive Board for the Indiana Sports Corporation and Board of Directors for Community Hospitals of Indianapolis. Mason is a former president of the Boys and Girls Clubs of Indianapolis and a past executive board member of Goodwill Industries and United Way, both of Central Indiana, and the Indiana Special Olympics.

Joseph Smith, who focuses his law practice in government affairs, as well as legal advice and direction to small, minority-owned and women-owned businesses. He volunteers as a tutor at Indianapolis Public School 39 and serves on the board for Lighthouse Academics, a charter school creating new educational choices for students. A community coalition that Smith founded provides guidance to young minority professionals in preparing for community service or politics.

Who's Who in Black Indianapolis is a publication that seeks to celebrate the achievements of African-American men and women who have made their mark in specific occupations, professions or service to others in the Indianapolis community. The book, which features biographical data and pictures, is produced in 14 metropolitan cities, including Atlanta, Chicago, Cincinnati, Cleveland, Columbus, Detroit, Louisville and St. Louis, and two specific positions (judges and mayors).
