Ellen R. Storch Appointed Adjunct Professor By New York Institute of Technology
New York Institute of Technology has appointed Ellen R. Storch, an associate at Moritt Hock Hamroff & Horowitz LLP, to serve as an adjunct professor at its Old Westbury Long Island Campus. In this capacity, Ms. Storch will teach a course on Human Resources Policies and Procedures for the Masters Program in HR Management during the school's fall 2006 semester.

Ellen R. Storch concentrates her practice in employment law and litigation. Ms. Storch defends employers in all forms of employment-related disputes, including but not limited to those dealing with discrimination, harassment and restrictive covenants. She conducts sexual harassment and discrimination investigations and counsels employers on various forms of employment contracts and employer policies. Ms. Storch has experience in federal and state courts and in various state and local human rights agencies. She earned her Juris Doctor from the University of Southern California Law School where she was a member of the law review. She is a member of the Labor and Employment Section of the American, New York State and Nassau County Bar Associations as well as the Society for Human Resource Management.

Predix Enters Into Collaboration With Amgen for S1P1 Modulator Development
Predix Pharmaceuticals announced that it has entered into an exclusive collaboration and licensing agreement with Amgen for the development of novel, orally available S1P1 modulators for the treatment of multiple autoimmune diseases. The two companies will produce existing Predix preclinical compounds and new S1P1 modulators. As part of the transaction, Predix will receive an upfront payment of $20 million, with the potential to earn up to an additional $287.5 million in milestone payments.

Goodwin Procter partner Christopher Denn represented Predix in this matter.

OREGON COURT OF APPEALS in Logan v. D.W. Sivers Co.
On August 2, 2006, Oregon Court of Appeals (in Logan v. D.W. Sivers Co.) ruled that an agreement to negotiate is enforceable if the parties clearly mainfested their intent to be bound by the agreement, and its terms are sufficiently definite.

WCM Granted Summary Judgment in Bronx, New York Personal Injury Case
Senior Partner John Mulcahy was granted summary judgment in a Bronx, New York personal injury lawsuit. In the case of Abrams v. Jai Behole, Inc. d/b/a Oasis Motel, the plaintiff, a motel guest, slipped on melting ice-machine ice that had allegedly been dropped by a fellow motel guest. As a result of the fall, the plaintiff suffered a comminuted left foot calcaneal fracture.

At the close of discovery, we moved for summary judgment. We argued that plaintiff lacked any evidence to prove that our client had actual or constructive notice of any ice or water in the stairwell where plaintiff fell. We also suggested that the plaintiff’s significant cocaine use on the date of the accident was the cause of his accident. In opposition, the plaintiff argued that our focus on his cocaine use was a red herring and that, given the large amount of water on the stairs, there was a question of fact as to whether our client knew or should have known about the dangerous condition.

The Court rejected the plaintiff’s analysis and dismissed all claims against our client.

Dietzen Speaks At FPPA's 2006 Conference
Rumberger, Kirk & Caldwell Partner, Leonard J. Dietzen III, recently spoke at the Florida Public Personnel Association’s 2006 conference in Tampa. The seminar – titled “Public Employee Collective Bargaining in Florida: Ingredients of a Successful Team” – focused on the different negotiating methods that public employers can utilize during the collective bargaining process.

Dietzen concentrates his practice on the representation of private and public sector employers in all aspects of labor and employment law.

Citigroup in $1 Billion Debt Offering
Cleary Gottlieb advised the underwriters, led by Citigroup Global Markets Inc., in an offering of $1 billion 5.85% senior notes due 2016.

The notes, issued under a shelf registration statement, were offered for sale in the United States and abroad, and will be listed on the Luxembourg Stock Exchange. Citigroup cannot redeem the notes before maturity (except upon the occurrence of certain tax events).

Citigroup Inc., a global financial services company with approximately 200 million customer accounts in over 100 countries, provides financial products and services, including banking, securities brokerage and asset management.
