Chadbourne Represents GoAmerica® in Deal to Acquire Verizon's Telecommunications Relay Services Division
"Chadbourne & Parke LLP is representing GoAmerica, Inc. in a deal to acquire the assets of Verizon’s Telecommunications Relay Services division for $50 million in cash and up to an additional $8 million in contingent cash consideration.

The acquisition will be financed by the issuances of new GoAmerica preferred stock and debt totaling $65 million to Clearlake Capital Group, pursuant to agreements and a commitment letter executed concurrently with the Verizon agreement. The deal was announced on August 2.

The acquisition is subject to receipt of required regulatory approvals and the approval of GoAmerica’s shareholders, but is not subject to a separate financing contingency. The acquisition, as well as the financings, will be more fully detailed in future filings by GoAmerica with the Securities and Exchange Commission.

Chadbourne's Communications, Media and Technology practice acted as transaction counsel for GoAmerica. Working on the deal were DC office partners Dana Frix and Michael Salsbury and counsel Sean McGuinness.

Telecommunications Relay Services (TRS), created by Title IV of the Americans with Disabilities Act of 1990 (ADA), enables an individual with a hearing or speech disability to communicate by telephone or other device through the telephone system with a person without such a disability through a communications assistant (CA) at a relay center.

GoAmerica is an emerging provider in the expanding market of telecommunications services for people who are deaf or hard of hearing. The Company’s current service portfolio includes innovative wireless and wireline access methods to both text and video relay services marketed under its i711® brand. "

Edwards Angell Palmer & Dodge Welcomes Five Former Nixon Peabody Attorneys to New York Office
Edwards Angell Palmer & Dodge welcomes five attorneys, formerly with Nixon Peabody, to their New York City office. Alphonso E. Tindall, Jr., and Todd J. Peterson join as Partners; Deborah Henry as Counsel; and James Hughes and Gary Anderson as Associates.

“The firm’s strategic growth plan includes an increased presence in New York,” explained Co-Managing Partner Terrence M. Finn, “The number of attorneys in our New York office has grown dramatically over the course of the past few years allowing opportunities for the firm to hire and retain some of the best lawyers in the city, including Al, Todd, Deborah, James and Gary.”

Partners, Tindall and Peterson will team up with existing partners to establish an Emerging Markets Practice Group under the Business Law/Cross Border practice at EAPD.

Mr. Tindall is co-chair of the Cross Border Practice Group.

Mr. Tindall's international experience revolves around emerging markets work, where he has been, and is increasingly, involved in the development of funds, joint ventures and infrastructure projects throughout Africa and the Caribbean. These include funding through various foreign as well as US sources, leveraging his significant public policy, public finance and general finance experience.

With respect to his public finance practice, Mr. Tindall has significant experience in state and states authority level issues, principally focusing on the development and implementation of state programs created for the benefit of local municipalities. He has also drafted public finance legislation in a number of states, including Connecticut and New York, and has represented every major investment bank in the United States as underwriters counsel and has participated in virtually every kind of finance transaction from Connecticut to California. In his career, he has delivered bond or underwriter’s counsel opinions on more than $20 billion of financings. He has also been instrumental in developing unique and innovative financing structures and programs for states and major cities.

Prior to Nixon Peabody, Mr. Tindall was a managing shareholder and co-chairman of the Public Finance Department of Greenberg Traurig Hoffman Lipoff Rosen & Quentel.

A resident of South Orange, NJ, Mr. Tindall received his law degree from the University of Connecticut and his undergraduate degree from St. Olaf College. He is admitted to practice in New York and Connecticut and is a member of the Association of the Bar of the City of New York.

Mr. Peterson, a Partner in the Private Equity and Venture Capital Practice Group, will focus on forming private equity funds, primarily directed at emerging markets transactions, and a wide array of cross-border joint ventures and various infrastructure projects in North America, South America, Europe, Asia, and Africa. Projects will include biofuel and carbon credit among others.

Mr. Peterson received his law degree from Columbia University School of Law and is licensed to practice in New York.

Deborah H. Henry joins EAPD as Counsel in the Public Finance Department. Ms. Henry has served as bond counsel, underwriter’s counsel, borrower’s counsel, and special counsel on various tax-exempt financings including both general obligation and revenue bond issues for transportation, housing and health care financings, water and sewer financings, tax increment financings, pooled financings, and municipal lease and lease-purchase transactions. In addition, Ms. Henry has represented both domestic and foreign commercial banks that provide liquidity facilities in support of tax-exempt and taxable municipal securities.

Ms. Henry received her law degree from Seton Hall University School of Law and is admitted to practice in New York and New Jersey.

Associates, Mr. Hughes and Mr. Anderson, both come to EAPD with notable experience in documentation and negotiation of international, domestic and cross border private equity and investment fund transactions, joint ventures, mergers and acquisitions transactions as well as cross-border transactions and financings, respectively. Mr. Hughes earned his Juris Doctor at Washington University and Mr. Anderson at Case Western Reserve University.

Intellectual Property Attorney David Weild III Joins New York Office of Edwards Angell Palmer & Dodge as Partner
Edwards Angell Palmer & Dodge LLP is pleased to announce that David Weild III has joined the firm’s New York office as a Partner in the Intellectual Property Department.

Hooper, Partner-in-Charge of Edwards Angell Palmer & Dodge's New York office and member of the firm's Executive Committee. “David's extensive experience in domestic and foreign intellectual property matters is a great addition to the firm's practice. We are gratified to have him on our team.”

Immediately following law school, Mr. Weild joined the former Pennie & Edmonds, a large national IP boutique law firm. In the course of his extended career there, as an associate, partner and senior partner, he supervised its Foreign Department responsible for all firm directed activities outside of the United States, including patent, design, copyright and trademark filings, maintenance, licensing an d litigations. He was as well a member of its Executive Committee and Policy Board and headed its largest group, Trademarks, Copyright & Competition.

Following Pennie & Edmonds, on January 4, 2004 he became a partner in Fross Zelnick Lehrman & Zissu, a highly regarded boutique specialized to copyright, domestic and foreign trademark maters. In the course of his career, Mr. Weild has supervised and assisted in the creation, exploitation, and enforcement of intellectual property portfolios for diverse domestic and foreign business enterprises. He has initiated, conducted and supervised arbitration and litigation involving all types of intellectual property, in the area of IP, participating in proceedings before the Commission of the EEC, as well as special counsel in various proceedings in foreign courts, while at the same time litigating and supervising litigation in the United States and abroad.
In 1986, he assisted in his then firm’s re-establishment of cooperative relations with the People’s Republic of China. He lectured in a number of China’s ministries and government sponsored organizations, under the auspices of the Ministry of Foreign Economic Relations and Trade and the China Council for the Promoting of International Trade (CCPIT).

He is a graduate of Yale College and The Yale Law School and was awarded its Ambrose Gherini Prize for his study on the application of treaties in the courts of the United States. He served on active duty with the U.S. Army for over three years. A resident of Pelham, New York, he is admitted to practice in New York.

Winstead Adds Mary Keller to Corporate & Securities Practice
Mary F. Keller has joined Texas law firm Winstead PC as a shareholder in the Business and Transactions Department – Corporate and Securities Practice Group. Keller will work in Winstead's Austin Office supporting Winstead's Insurance Industry Practice Group. Her practice will focus on insurance regulation and regulatory litigation.
“Mary is an excellent addition to the Austin Office given our recent growth in both corporate and insurance practice areas,” says Alex Gonzales, managing shareholder of Winstead's Austin Office. "Her experience with the Texas Department of Insurance and as a Chief Deputy for litigation at the Texas Attorney General's Office give her exceptional insight into legal matters and regulations affecting insurance and finance companies."

Keller is a former Senior Associate Commissioner of Insurance at the Texas Department of Insurance, and a former Texas First Assistant Attorney General. While at the Attorney General's office, Keller was the lead counsel in several landmark cases involving Constitutional issues. She was named the national outstanding assistant attorney general by the National Association of Attorneys General in 1992 and she has been retained as an insurance expert in several multi-million dollar lawsuits.

Keller is admitted to practice in California and Connecticut as well as Texas. She took the Connecticut Bar Exam during a four-year term on the faculty at Yale Law School. Prior to joining Winstead, Keller was a name partner in York, Keller & Fields. She also practiced at Baker Botts for two years. Keller received her J.D. from the University of California Los Angeles School of Law.

Varnum Presents on New Michigan Business Tax to Michigan Manufacturers Association
Varnum, Riddering, Schmidt & Howlett LLP attorneys John M. Neberle, Thomas J. Kenny, Paul V. McCord and tax specialist John Ray will present, "Michigan’s New Business Tax: How it Impacts Your Manufacturing Company" at a series of presentations across Michigan, sponsored with the Michigan Manufacturers Association (MMA).

The new Michigan Business Tax (MBT) takes effect on January 1, 2008 and will dramatically change the way businesses are taxed in Michigan. These informational meetings will highlight what the MBT will mean for Michigan manufacturers and how they can take advantage of the new tax credits. Immigration Practice Expands at Troutman Sanders
The law firm of Troutman Sanders LLP is pleased to announce the addition of Susie Kim as partner to its International practice group, as well as five other legal professionals who will expand and enhance the firm’s Immigration team in its New York office.

The addition of Susie Kim, two of counsel attorneys, James G. Martin and Laura L. Vea, three paralegals, Grace Hyo Jung Choe, Robin Ji Won Kim and Eunice Kim, and their support staff will greatly expand Troutman Sanders’ Immigration team’s presence firm-wide, particularly in New York. The firm already has a strong immigration presence in Atlanta, Richmond and Virginia Beach.

Troutman Sanders Immigration team assist clients with the transfer of international business personnel for U.S. and foreign companies, the defense of corporations charged with employer sanction violations, training of HR personnel, the acquisition of work visas, labor certification, permanent resident status, and citizenship in the United States. Additionally, the team represents corporate clients and individuals before various administrative agencies and in federal courts.

Susie Kim comes to Troutman Sanders from the New York office of Hodgson Russ LLP, where she was a partner from 2005 until the present and worked in their Immigration and Nationality Law and International Law practice groups. Prior to Hodgson Russ, she was the former principal of Susie Kim & Associates, PC from 1994 to 2004, which was one of the largest immigration boutique practices in the greater New York area.

Kim is a founding member, director and upcoming president of the Korean-American Women’s Network in New York. She has lectured and written extensively on a wide range of business immigration topics, and has been featured as a speaker and/or panel expert at immigration law seminars across the U.S. and Korea. She also regularly writes an immigration-advice column in the Korea Times New York.

In addition, Kim donates her time counseling indigent immigrants at monthly legal clinics and is involved in supporting community-based Korean-American women’s organizations.

Kim received a B.B.A. in 1989 from the City University of New York and a J.D. in 1993 from New York Law School.

Kim is a member of the American Immigration Lawyers Associations, the New York County Lawyers’ Association and the New York State Bar Association. She is fluent in Korean.

Schottenstein Zox & Dunn (SZD) is pleased to welcome the addition of Carrie Lynn Wambaugh as an associate in the firm’s Commercial Litigation Practice Group.

Wambaugh previously served as a staff attorney for the Tenth District Court of Appeals and has prior experience as an associate attorney with a central Ohio law firm. She has also served as a judicial law clerk in Norfolk, Va.
