Three Alston & Bird Partners Selected as Fellows of the American Bar Foundation
Alston & Bird LLP is pleased to announce that partners Saba Ashraf, Steve Harris, and Andy Immerman have been selected as members of The Fellows of the American Bar Foundation.

“Being named as a Fellow is a significant achievement and is regarded as one of the preeminent designations bestowed upon lawyers, scholars and policymakers for legal research and advocacy,” said Ben Johnson, Alston & Bird’s managing partner. “Saba, Steve and Andy’s achievement is a wonderful example of Alston & Bird’s relentless dedication to community involvement and long tradition of providing top legal counsel and thought leadership in the country. We are proud of their recent recognition.”

The Fellows is an honorary organization of attorneys, judges and law professors whose professional, public and private careers have demonstrated outstanding dedication to the welfare of their communities and to the highest principles of the legal profession. Membership in The Fellows is limited to one third of one percent of lawyers licensed to practice in each jurisdiction. Members are nominated by Fellows in their jurisdiction and elected by the Board of the American Bar Foundation. Currently there are only 69 General Fellows practicing law in the state of Georgia.

Ashraf is a partner in the firm’s federal income tax group, concentrating her practice on the structuring and effecting of complex business transactions and tax planning for corporations, partnerships and other business entities. She participates actively as the vice-chair of the American Bar Association (ABA) Business Law Section’s Tax Committee, is a member of the board of directors of the Georgia Asian Pacific Bar Association, a member of IndusBar of Georgia, and a member of the Organization of Pakistani Entrepreneurs of North America.

Harris serves as chair of Alston & Bird’s antitrust practice, and leads the global services task force, which coordinates the firm’s network of relationships with foreign firms as well as legal services at the international level. He focuses on federal and transnational antitrust litigation and investigations, as well as other complex commercial litigation. Harris is member of the Council and International Task Force of the ABA’s Section of Antitrust Law, a member of the advisory board for the ABA’s Asia Law Initiative, and also serves on the leadership committee of the Unite for Children/Unite Against AIDS campaign of the U.S. Fund for UNICEF.

Immerman is a member of the federal income tax group and the international tax group at Alston & Bird. He concentrates on federal income tax matters, including domestic and international tax planning and transactional work for joint ventures, partnerships, limited liability companies, and corporations. Immerman is chair of the Taxation Committee of the ABA Section of Business Law and vice chair of the Partnerships and LLCs Committee of the State Bar of Georgia Business Law Section.

An Unprecedented Four In A Row! Gray Plant Mooty is the only law firm to receive “Great Places to Work” award four times

Freshfields advises Dubai International Capital on £675m acquisition of Travelodge
Dubai International Capital LLC (DIC), the international investment arm of Dubai Holding, announced on Friday that it has agreed to acquire UK-based Travelodge Hotels Ltd (Travelodge), Britain's fastest growing hotel company, for £675m from the Permira Funds. Travelodge's senior management team will remain in place under DIC.

International law firm Freshfields Bruckhaus Deringer advised DIC on the acquisition. This is the second major transaction on which Freshfields has advised DIC, after the acquisition of British engineering firm Doncasters Group earlier this year.

Travelodge, the UK's second largest budget hotel company, operates 291 hotels, with 279 in the UK, nine in Ireland and three in Spain. The company's aggressive UK growth strategy is on track to deliver a total of 32,000 UK rooms in the next five years. Travelodge aims to be the biggest budget operator in London by the 2012 Olympics, with over 7,000 rooms in the British capital.

The Freshfields team was led by co-head of the global private equity group Chris Bown in London and Dubai corporate partner Bruce Embley and included finance partner Edward Evans and real estate partner Annette Byron, with Senior Middle East Counsel Eric Milne and associates Claire Maunder (corporate), Charles McConnell (finance), Tim Mitchelson (corporate), Joe Gribble (real estate), Julie McCaughan (intellectual property), Moto Maeda (planning) and Daphne Yao (corporate).

Franklin Poul, WolfBlock Partner, Passes Away
Franklin Poul, a retired WolfBlock attorney known for his dedication to and tireless work on behalf of civil liberties, passed away August 20 due to complications from cancer. He was 81 years old.

Mr. Poul was a member and former chair of WolfBlock's Business Litigation Practice Group. He concentrated his legal practice in antitrust, securities and complex litigation.

Mr. Poul had been an attorney with WolfBlock since 1956 and a partner since 1960. He attended Haverford College and the University of Pennsylvania and graduated cum laude from the University of Pennsylvania Law School.

Among many prominent antitrust cases in which Mr. Poul participated were Goldman v. Paramount, Viking v. Paramount and Japanese Electronic Products Antitrust Litigation.

Mr. Poul served for many years as vice-president of the Philadelphia chapter of the American Civil Liberties Union and chair of its Equality Committee. In that capacity, he was lead pro bono litigator on the historic Girard College case of the 1960s, culminating in the precedent-setting ruling by the Supreme Court of the United States to open the college to non-white students.

Mr. Poul is survived by his wife Shirley, children Leslie, Alan and Laurie, sons-in-law Barry Melman and Jim Price, grandchildren Jake and Olivia Melman, brother Herman Poul and sister Shirley Friedman.

Services will be held Tuesday, August 22, at 2:30 p.m. at Joseph Levine and Son, 2811 West Chester Pike, Broomall, PA. In lieu of flowers, the family suggests contributions be made to the American Civil Liberties Union or to Planned Parenthood.

Firm Advises on $1.9 Billion REIT Acquisition
On August 21, it was announced that Glenborough Realty Trust and Morgan Stanley Real Estate have entered into a definitive agreement whereby funds managed by Morgan Stanley Real Estate will acquire Glenborough for approximately $1.9 billion, which includes repayment or assumption of Glenborough's existing debt. Willkie advised Goldman, Sachs & Co., financial adviser to Glenborough’s Board of Directors in this transaction. Under the terms of the agreement, Morgan Stanley Real Estate will acquire all of Glenborough's outstanding common stock for $26.00 per share in cash through a merger transaction. Glenborough is a real estate investment trust which owns and operates a portfolio of multi tenant office properties located in high-demand, 24-hour central business districts and 24-hour suburban central business districts. The deal was handled by partner Steven Seidman and associates Matthew Lux and Thomas O’Grady.

Stoel Rives Labor and Employment Group Grows at Rapid Pace
Stoel Rives LLP recently added four lawyers to its Labor and Employment group, making it the largest such practice group at a full-service law firm in Oregon. With the addition of these lateral hires, Stoel Rives now has 17 lawyers devoted exclusively to labor and employment law in its Portland office, and 30 attorneys in this practice area throughout its nine offices.

“We have all the advantages of a boutique labor and employment firm, but none of the limitations,” said Victor Kisch, co-chair of the Portland group. “Our clients rely on us for help in complex crossover areas such as employee benefits, taxes, stock options, executive compensation, intellectual property and class action litigation. Each of our practice groups has a distinct focus, and we work closely with one another as the need arises.” Kisch also noted, “Thanks to our regional presence, we cover the entire West Coast and can represent our clients in five different states.”

The new attorneys in the Stoel Rives Labor and Employment group include Jennifer Owen, who was previously a lawyer at the National Labor Relations Board in Washington, D.C. She has also practiced as an associate with Prince Yeates in Salt Lake City, where she handled employment and commercial litigation.

Robin Bowerfind focuses on employment-related litigation and recently defended a major employer in a race discrimination class action. She also demonstrates a strong commitment to community service, currently volunteering as an attorney with the Oregon Advocacy Center. Before joining Stoel Rives, Bowerfind was with Venable LLP, a well-known labor and employment firm in Baltimore, for 10 years.

Susan Dussault was senior litigation attorney for MediaOne Group, now known as Comcast, one of the world’s largest broadband telecommunications companies. Dussault has also worked with several prominent law firms on specific projects.

Marc Alifanz is an employment litigator who brings substantial experience in federal employment law. Alifanz comes to Stoel Rives from Proskauer Rose LLP, a highly regarded labor and employment firm with its principal office in New York City.

Smith Appointed to Labor and Employment Committee
Doug Smith was recently appointed to the Department of Labor and Industries Employment Law Advisory Committee ("ELAC"). ELAC is a formal agency committee that advises the Department of Labor and Industries "("L&I") on employment law issues and policy, and assists L&I by reviewing proposed legislation and rulemaking. The committee has eight appointed members -- four persons who represent the employer community, and four persons who represent the employee/labor community.
