Morgan Stanley Real Estate to Acquire Glenborough Realty Trust for $1.9 Billion
Morgan Stanley Real Estate announced that it has entered into a definitive agreement to acquire all of the outstanding common stock of Glenborough Realty Trust (NYSE: GLB) in an all-cash merger transaction valued at approximately $1.9 billion. The total consideration includes repayment or assumption of Glenborough's existing debt and redemption of its Series A convertible preferred stock pursuant to its terms. Completion of the merger is expected to occur during the fourth quarter of 2006, subject to approval.

Ward and Smith, P.A. Expands Three Offices with New Attorneys
Ward and Smith, P.A. is pleased to announce that three new attorneys have joined the law firm. Kristy Meares Sides joined the Trusts and Estates Section on August 1, 2006. Ms. Sides, who will work from the firm's Raleigh office, will focus her practice on estate planning and estate administration for all types of clients. Neil W. Morrison, who will work from the firm's Greenville office, and Jason T. Strickland, who will work from the firm's New Bern office, both joined the Litigation Section on August 21, 2006. Mr. Strickland and Mr. Morrison will devote their practices to various areas of civil litigation. With the addition of these three attorneys, Ward and Smith, P.A. now has more than 70 attorneys available to serve clients.

Ms. Sides earned her law degree from Wake Forest University where she received the CALI Award for the highest grade in Income Taxation of Trusts and Estates. She earned both her B.S., magna cum laude (with great honor), and Masters degrees in Business Administration from Campbell University. Ms. Sides is a member of numerous professional organizations, including the North Carolina Bar Association, and is a member of the North Carolina State Bar. Prior to joining Ward and Smith, P.A., Ms. Sides was a law clerk at the North Carolina Supreme Court to the Honorable Chief Justice I. Beverly Lake, Jr. and the Honorable Associate Justice Edward T. Brady.

Earning his law degree from Campbell University, Mr. Morrison was ranked in the top 20% of his class. He earned his B.S., cum laude (with honor), from Pennsylvania State University, and his Masters of Art in Teaching from the University of North Carolina at Chapel Hill. In 2005, Mr. Morrison was included in the Who's Who Among Students in American Universities and Colleges. He is a member of numerous professional organizations, including the North Carolina Bar Association, and is a member of the North Carolina State Bar. Prior to joining the firm, Mr. Morrison was a law clerk at the North Carolina Court of Appeals to the Honorable Judge Ann Marie Calabria.

Mr. Strickland earned his law degree, cum laude (with honor), from the University of North Carolina at Chapel Hill, where he was included on the Dean's list every semester. He earned his B.S. in Civil Engineering, cum laude, from North Carolina State University, where he was a member of the Golden Key National Honor Society. Mr. Strickland is a member of numerous professional organizations, including the North Carolina Bar Association, and is a member of the North Carolina State Bar. Prior to joining the firm, Mr. Strickland was a law clerk at the North Carolina Supreme Court to the Honorable Associate Justice Mark Martin.

HILL WALLACK LLP PARTNER FEATURED SPEAKER AT ESTATE PLANNING CONFERENCE
Stephen J. Hyland, a partner of the Princeton law firm of Hill Wallack LLP, where he is partner-in-charge of the firm's Trusts & Estates Practice Group was recently a panelist at the 2006 New Jersey Society of CPAs “Estate Planning Conference”. Mr. Hyland gave a overview presentation on the issues related to estate planning for registered domestic partners.

Mr. Hyland concentrates his practice on estate planning and administration, elder law and domestic partnership law. Besides authoring the new book, “New Jersey Domestic Partners: A Legal Guide,” Mr. Hyland has published numerous articles on estate planning and domestic partnership law, privacy law, computer law and internet law, and is a frequent speaker on legal issues. He is an active member of various community and professional organizations, including the GLBT Rights Committee, the Real Property, Trusts and Probate Section, and the Elder Law Section of the New Jersey State Bar Association.

Mr. Hyland graduated from Pennsylvania State University with a B.S. Degree in agriculture. Following a successful career as a software engineer and technology consultant, he embarked on a career in law, receiving his J.D. degree from South Texas College of Law in Houston, Texas. He is a resident of Titusville, New Jersey and is currently attending Temple University, Beaselly School of Law, where he is studying for an LL.M in Taxation.

Greenberg Traurig Expands its New York Office with the Addition of Jonathan S. Margolis
The international law firm Greenberg Traurig, LLP announced today that Jonathan S. Margolis has joined its New York office as a Shareholder in the Real Estate Department. Prior to joining Greenberg Traurig, Mr. Margolis was a partner at Bryan Cave LLP. Mr. Margolis concentrates his real estate practice on leasing, acquisition, and development work for a variety of clients, including real estate investment trusts, foreign and domestic institutions, as well as corporate and individual investors.

James Martin Kaplan Joins Troutman Sanders in Its New York Office
Troutman Sanders LLP announces the addition of James Martin Kaplan as a partner to its Mergers, Acquisitions and Business Ventures practice group in New York City.

Prior to joining Troutman Sanders, Kaplan was a partner at the law firm of Blank Rome in New York from 2000 to 2006. Before joining Blank Rome, he was a partner at Tenzer Greenblatt (1998-2000) and at Zimet, Haines, Friedman & Kaplan (1977-1998).

Throughout his career, Kaplan has specialized in corporate, securities and business matters for public and private companies, securities brokerage and investment banking firms, venture capitalists, financial services organizations and private entrepreneurs. He has also advised clients on purchasing and selling businesses, public offerings (for both underwriters and issuers), private placements, mergers and acquisitions, the formation of start-up companies and employment compensation matters for senior executives. Additionally, he has had extensive involvement in sports related activities including representing numerous National Basketball Association players, participating in the first international arbitration between the NBA and its European counterpart, and has acted as a legal advisor to the chairman of the New York State Olympic Games Commission and the New York City Off-Track Betting Corporation.

Kaplan received his Bachelor of Arts degree, cum laude, in 1966 from Kenyon College and earned his J.D. from Columbia University in 1969. He and his wife, Gail, are active in Live 4 Life, a newly formed charity involved in supporting Melanoma research.

Weltman, Weinberg & Reis Co., L.P.A. Associate Appointed as Chair-Elect of Real Property Law Section of Kentucky Bar Association
Weltman, Weinberg & Reis Co., L.P.A. (WWR) located in Cincinnati, Ohio congratulates Philip Q. Ratliff, an associate in the real estate department, for his appointment as Chair-Elect to the Real Property Law Section of the Kentucky Bar Association (KBA).

As Chair-Elect to the Real Property Law Section of the KBA, Mr. Ratliff will become thoroughly familiar with the duties of the Chair, programs and activities of the section. He will be involved with all section activities, including CLE presentations and newsletters to members. Mr. Ratliff will assume the office of Chair upon the conclusion of the next annual meeting in June, 2007.

The KBA offers over 20 specialized sections that publish newsletters, sponsor service projects, offer topical CLE opportunities and meet to address issues of common concern. The Real Property Law Section was developed to promote the interest of the KBA, aid the KBA in its role as a continuing legal education provider concerning issues related to real property law, and to keep real property law section members informed about issues within their area of practice. The goals of this section are to promote the exchange of ideas, provide information relevant to real property law through KBA-sponsored programs, assist attorneys in discharging their professional responsibilities to their clients in real property law matters, enhance the image of the legal profession and recommend new procedures and statutes which will improve real property law practices in Kentucky.

Philip Q. Ratliff earned his JD from the University of Louisville, Louis D. Brandeis School of Law (1991), MBA from Morehead State University (1994) and BBA from Eastern Kentucky University (1982). A member of the Kentucky and West Virginia Bar Associations, Mr. Ratliff is licensed in the state courts of Kentucky and West Virginia. He is admitted to practice before the Sixth Circuit Court of Appeals, the US District Court (Eastern and Western Districts of KY, and Southern District of WV).
