Sarbanes-Oxley and Corporate Governance Resource Center: SEC Releases Final Rules on Disclosure of Executive and Director Compensation
On July 26, 2006, the Securities and Exchange Commission adopted new rules relating to the disclosure of executive and director compensation and related matters. On August 11, 2006, the Commission published its 436 page adopting release. The rules prescribe in detail a new regime for disclosure of executive and director compensation at a level that has been long awaited by the investing community. The new rules also address disclosures of related person transactions, director independence, corporate governance and related matters. This advisory is intended to serve as a useful tool in preparing the new disclosures; in some instances it points out significant differences between the new rules and the rules that have been in place since 1992.

Frederick H. Hoops III to Present at Michigan Council on Foundations 34th Annual Conference
Clark Hill attorney Frederick H. Hoops III will present at the Michigan Council on Foundations 34th Annual Conference in Kalamazoo, on October 15-17, 2006, entitled ""Delivering on the Promise of Philanthropy."" Hoops' presentation is ""When Good Gifts Go Bad,"" and will take place on Tuesday, October 17, at 11:00 a.m.

Hoops will examine the recourse community foundations have when a good gift goes bad and falls within legal and ethicial guidelines.

Willkie Represents The Mills Corp. in Meadowlands Xanadu Deal
On August 22, Willkie client The Mills Corporation announced that it has signed a non-binding letter of intent with Colony Capital Acquisitions, LLC and Kan Am USA Management XXII Limited Partnership under which Colony would arrange for construction financing for the Meadowlands Xanadu development project and make a significant equity infusion into the joint venture for the project, which currently includes Mills and Kan Am. Meadowlands Xanadu, located in Northern New Jersey, is a planned sports, leisure, shopping and family entertainment destination. The recapitalized partnership will continue its existing obligations to the New Jersey Sports and Exposition Authority. Mills will become a limited partner in the project with a total partner capital account of approximately $485 million. Colony will provide up to $500 million of equity financing and arrange for construction loan financing, which will fund the remaining balance of the $2 billion project. Kan Am has been Mills' partner on the project since its inception in 1997. The deal was handled by partner Eugene Pinover and associate Andrew Wurzburger.

V&E Paralegal Honored for Public Service
Vinson & Elkins LLP is proud to announce that Pam Lewis, a paralegal in the firm’s insolvency and reorganization (IR) practice in Dallas, received the President’s Call to Service Award in a ceremony at the Fort Worth Police Academy on August 23, 2006. Lewis was nominated and chosen for this award because she has volunteered over 4,000 hours in the areas of “public safety and emergency response as a law enforcement officer.”

Lewis has been a reserve officer for the Dallas Police Department since 1979. As a reserve officer, her duties include conducting routine patrols, responding to emergency calls and assisting with special events throughout the city. Each month reserve officers must work at least 16 hours, but Lewis has gone above and beyond the call of duty. She regularly contributes as many as 30 hours a month, illustrating why she is so deserving of this special recognition.

“V&E is extremely supportive of my duties as a reserve officer and very accommodating when I need to be out of the office for a special detail or for training,” says Lewis. “The attorneys in IR are great as well, and I really appreciate the support I receive.”

The President’s Call to Service Award is given under the USA Freedom Corps program that President Bush established in 2001.

“Pam Lewis is the embodiment of Vinson & Elkins' commitment to community service,” says Jill Granberry, human resources manager of the firm’s Dallas office. “Her dedication to serving our country and improving the lives of others is an inspiration to us all, and we are so proud to have Pam as part of the Vinson & Elkins team.

Stoel Rives LLP Welcomes Five New Associates
Stoel Rives LLP, a western U.S. full-service business law firm, announces the addition of five new associates to its Salt Lake office: Mark Astling joins the tax section of the Business Services group, Yury Colton practices in the Technology and Intellectual Property group, Michael Garrett joins the Wealth Management group, Jeramy Green practices in the Real Estate group and Scott Hansen joins the Litigation group.

As an associate in the tax section of the Business Services group, Mark Astling primarily focuses on federal, state and local tax issues for a wide variety of corporate and pass-through entities, as well as for individuals. Mark is experienced in advising clients on tax planning for business formations and acquisitions, and on issues related to preserving tax attributes for financially troubled businesses. Prior to joining Stoel Rives, Mark was a senior associate with Deloitte & Touche USA LLP in Minneapolis. He received a law degree from the University of Minnesota Law School in 2003 and a bachelor’s degree in accounting from the University of Utah in 2000.

Yury Colton is an associate in Stoel Rives’ Technology and Intellectual Property group. Yury specializes in U.S. and foreign patent preparation and prosecution. His experience includes intellectual property counseling, due diligence for the transfer of patent rights, intellectual property litigation support and opinion letters regarding patent invalidity and enforceability. Prior to joining Stoel Rives, Yury was a patent attorney with TraskBritt P.C. in Salt Lake City. He holds a law degree from the J. Reuben Clark Law School at Brigham Young University (2005), a Ph.D. in molecular genetics from the University of Notre Dame (2002) and a bachelor’s degree in microbiology from Brigham Young University (1997).

As an associate with Stoel Rives’ Wealth Management group, Michael Garrett advises clients on estate planning, estate and trust administration, federal and state taxation, and general business and corporate law matters. Prior to joining Stoel Rives, Michael was an attorney with Bennett Tueller Johnson & Deere in Salt Lake City. In 2003, he received a law degree from the J. Reuben Clark Law School at Brigham Young University, where he also earned a master’s degree in accounting in the same year. In 2000, he earned a bachelor’s degree in accounting from Brigham Young University.

Jeramy Green is an associate in Stoel Rives’ Real Estate practice group. Jeramy focuses on real property development, finance, transfer and land use. He advises clients on the acquisition, development, sale, finance and use of real property; the structuring and negotiation of contracts; the implementation of homeowners associations; and the operation of private clubs.

Prior to joining Stoel Rives, Jeramy served as legal counsel at Pivotal Promontory Development, LLC in Park City, Utah. He received a law degree from the J. Reuben Clark Law School at Brigham Young University in 2004 and a bachelor’s degree in economics from the University of Utah in 1999.

As an associate in the Stoel Rives Litigation group, Scott Hansen represents clients in matters involving product liability, employment, energy, accounting, antitrust and general commercial litigation. Prior to joining Stoel Rives, Scott was an associate with Orrick, Herrington & Sutcliffe LLP in Washington, D.C. He received a law degree from Georgetown University Law Center in 2001, a master’s degree in British and American literature from the University of Utah in 1997 and a bachelor’s degree in English from the University of Utah in 1995.

Guidelines on Keyword Advertising Not Imminent, Says Orrick IP Partner
Sponsored results have made search engine companies like Google millions of dollars. But it has left a number of companies seeing red when their users type in their trademarked names to trigger links to competitors.

Check 'n Go has decided to fight back, suing Google for trademark infringement, in one of several pending complaints attacking the lucrative practice. But since the concept of keyword advertising is such a nascent area, the law remains neutral on the issue. In an Aug. 17 San Francisco Daily Journal article, Orrick intellectual property partner Tom Zellerbach predicts this battle will continue until a court definitely rules on the issue.

Many experts anticipated such a definitive ruling in the first such case filed in May 2004. But an ambiguous ruling by the court in August 2004 has resulted in ongoing battles in venues across the country, and Zellerbach predicts the end of this crusade is not in sight.

""There's no real predictability [about keyword advertising],"" Zellerbach says. ""We're a long way from a place where there is clear guidance.""

Legal experts in the August 17 San Francisco Daily Journal article agree that as long as the search engines keep winning, they will fight tirelessly to keep their advertising dollars rolling in, especially since this income is what many of them rely on for profit. If even one settlement in the trademark owners favor occurs, the article says ""the floodgates will open.""

At a time when people rely on Internet search engines for information, more and more people are learning that the advertising-sponsored results are not part of the actual search performed. Zellerbach believes this could work in the favor of the search engines in these cases.
