Salans advises Bauwert Property Group on the acquisition of large areas of the historic Opel plant in Rüsselsheim
Salans has advised an investment consortium around the Bauwert Property Group GmbH, based in Berlin, on the acquisition of large areas of the historic Opel plant in Rüsselsheim's city center. Bauwert plans to invest about EUR 240 million in the site over the next four years.

The site, named 'Opel-Forum', will comprise an area of more than 100,000 sq. m. Bauwert plans to build a hotel, offices, restaurants, leisure facilities and a shopping mall. The Adam Opel GmbH itself will lease back a large number of office space.

Salans was involved in the drafting of sales contracts and option agreements between Bauwert, Opel and further investors as well as contracts for the leaseback of space sold by Opel.

Salans has previously advised Bauwert Property Group on the acquisition of parts of the former Kaufring area in Düsseldorf and the sale of real estate portfolios to AMB Generali and Arab Investments.

The team advising Bauwert Property Group was led by Salans partner Thomas Santüns and also included sozius Dr. Detlef Spranger (real estate law and contract negotiations) and sozius Dr. Michael Witteler, as well as associates Susanne Balkowski, Michael Brill, Tim Coprian, Astrid Pütz, and Sebastian Schmid.

LeBoeuf Lamb Advises Basell on its $700 Million Offer to Acquire Shell Refinery in the South of France
LeBoeuf, Lamb, Greene & MacRae has advised Basell on its offer to acquire the Shell oil refinery and associated infrastructure and businesses at the Berre l'Etang petrochemical complex in the south of France.

The acquisition is subject to staff council consultation as well as approval by regulatory authorities. The agreed purchase price is $700 million.

The multi-disciplinary LeBoeuf Lamb team advising Basell was led by Paris corporate partner Stephen Walters, with key assistance from Paris counsel Olivier Chambord.

Specialist input was provided by partners Peter Crowther (merger control, London and Brussels), Marija Danilunas (IP and IT, London), Jean Goncalves and Judith Harger (tax, Paris and London respectively), Nicholas Rock and Paul Watchman (environmental, London) and counsel Dennis Alland (administrative law, Paris), Valérian Conrad-Bruat (real estate and environmental, Paris) and Frederic Navarro (employment, Paris), supported by an associate team drawn from our Paris and London offices.

Basell, which is the Berre refinery's largest client, already owns and operates polypropylene and polyethylene plants at the Berre site and a second polyethylene plant at nearby Fos. In January 2006 Basell announced the acquisition from Shell Chemicals companies of the latter's 50 per cent interest in Société du Craqueur de l'Aubette (SCA), which owns the ethylene cracker plant located at the Berre site, thereby securing sole ownership of SCA and related assets and businesses. LeBoeuf Lamb also advised Basell on that transaction.

Thomas J. FitzGerald Joins Lathrop & Gage as an Associate
Joel Voran, CEO of Lathrop & Gage L.C. announced today that Thomas J. FitzGerald has joined the New York office as an associate in the intellectual property law group.

FitzGerald’s practice focuses on intellectual property law. He has experience in every stage of multi-jurisdictional patent, trademark, trade dress and licensing litigations.

FitzGerald received his undergraduate degree from the State University of New York at Stony Brook in 1999 and his juris doctorate from the University at Buffalo Law School in 2004. He was the executive production editor of the Buffalo Intellectual Property Law Journal and the administrative director of the Jessup International Moot Court (2002-2003). FitzGerald is a member of the New York State Bar Association, IP and Entertainment Sections, American Bar Association, IP Section and the Association of the Bar of the City of New York.

Bingham Consulting Opens Sacramento Office, Taps Former Senior Adviser to Gov. Schwarzenegger
Bingham Consulting Group LLC, a subsidiary business of 1,000-lawyer Bingham McCutchen LLP, expanded its investment in California by announcing the opening of a Sacramento office and the addition of Sean Walsh, former director of the Governor’s Office of Planning and Research (OPR) under Gov. Arnold Schwarzenegger.

Walsh joins as a senior consultant to Bingham Consulting, which assists national and international companies design and execute strategies to address litigation and regulation by the states in a variety of areas, including energy, environmental, financial services, pharmaceutical, information technology and telecommunications. In addition to Sacramento, Bingham Consulting has offices in Los Angeles, San Francisco, Boston and Washington.

The opening of a Sacramento office and the addition of Walsh, who also served as deputy chief of staff and press secretary to Bingham Consulting Principal and former California Gov. Pete Wilson, underscore Bingham Consulting’s and Bingham’s continued investment in California, the world’s sixth-largest economy and often described as a regulatory trendsetter.

“California has historically led the country, and in some respects the world, in the regulatory arena,” said Bingham Chairman Jay Zimmerman, noting that earlier this year California became the first state in the nation to mandate comprehensive reductions in greenhouse gas (GHG) emissions from fuels and manufacturing facilities. “It’s an aggressive leader on the regulatory front. Companies conducting business there face significant requirements that they simply can’t ignore.”

Walsh, with his senior-level experience in California government, offers a valuable perspective to locally based businesses, as well as to national and international businesses with ties to the state, said Stephen Merrill, Bingham Consulting president and former New Hampshire governor and attorney general.

“California presents a huge opportunity for us and for our clients, and Sean’s knowledge of the policies, people and processes of government make him a natural and valuable addition to Bingham Consulting,” said Merrill.

For Walsh, the attraction to Bingham Consulting was its strategic vision, its acumen in dealing with multi-state jurisdictions and its top-notch bench strength.

“Bingham Consulting boasts two of the most dynamic former governors, Pete Wilson and Steve Merrill, and I’m excited to be part of this smart and experienced team,” said Walsh, who as former OPR director under Schwarzenegger oversaw the State Clearinghouse and the OPR Legislative and Policy and Research units.

Walsh added that businesses with ties to California must take the many regulatory initiatives seriously.

“Sean’s experience is a natural fit for us,” added Wilson. “Businesses often struggle trying to understand the intersection between law, public policy and politics. There are many governmental offices dealing with the same laws and emerging initiatives that Sean is uniquely poised to advise companies how to contend with.”

Bingham Consulting recently increased its California ranks with Thomas Gede, former executive director of the Conference of Western Attorneys General (CWAG) and former senior official in the California Attorney General’s Office. Gede, who joined in October, is a Bingham Consulting principal and Bingham of counsel.

In addition to Gede, Wilson and Walsh, Bingham Consulting’s California team includes Bingham partner and Bingham Consulting consultant William Kissinger, former senior deputy legal affairs secretary to Gov. Gray Davis and primary legal contact for the Office of the Governor with Cal EPA, Cal Health and Human Services Agency and the Resources Agency. Kissinger also served as a member of the governor’s Energy Task Force responsible for shaping California’s strategy in responding to the electricity crisis.

In May, Bingham further invested in the state with the addition of the 40-lawyer Los Angeles litigation boutique Alschuler Grossman LLP, increasing the number of California lawyers to 350 in six offices.

Merrill also noted that with Bingham’s expanded presence in Tokyo with one law firm joint enterprise completed early in 2007 and another deal expected to close by the end of this year, Bingham Consulting is poised to help advise Japanese companies conducting business in California and the United States.

“California is the gateway to Asia, and Bingham Consulting and Bingham clients will certainly benefit from our unique and strategic vantage point,” said Merrill, noting Wilson’s role as the former chairman of the Japan Task Force of the Pacific Council on International Policy.

Integra LifeSciences Holdings Corporation is a world leader in regenerative medicine.
