MORE LITIGATION AND AN INCREASED INTERNATIONALIZATION IN TAX ADVICE
Recently, Mannheimer Swartling was nominated as the best tax advisor in Sweden together with PwC. The ranking is made annually by the trade journal the International Tax Review. In addition, the Tax Directors Handbook 2007 ranks Mannheimer Swartling’s tax group as the best in Sweden, and the firm has been awarded ”Tax Firm of the Year” in Sweden for two consecutive years. Martin Nilsson has been head of the corporate tax practice group for some time and shares his thoughts on the success.

We have a good growth within the group while at the same time taking advantage of the great experience which exists among our senior partners. What is special about our capable young co-workers is that they have grown up in the firm and that they have been working together with their peers in other practice groups in many different types of case, which has given hem the ability to understand the client’s business considerations. Law cannot be separated from business anymore. One has to be business minded and give concrete advice, even under great pressure and in complicated situations.

Advice within the tax area has changed over the years. Nowadays, we often deal with projects where several different areas of law are involved.
– One can say that we work with three types of cases; pure tax cases, and larger assignments within the framework of the firm, e.g. a transaction of some kind, where the tax advice constitutes one part. Teams with specialized lawyers from the different practice areas within the firm are put together in order to match the need. It is a way of working which benefits our clients since we have the possibility of bringing in experts within every area, regardless of which part of the firm they work in. It is also one the underlying tenets of our True Partnership. One big advantage is that our lawyers within other areas are used to working with the tax group and know that we need to be brought in at an early stage. In that way, the risk that tax issues are overlooked decreases.

Tax advice is sought after and Martin envisions a great need for recruiting in the future.
– We have a great need to recruit. We want to employ newly qualified as well as more experienced lawyers. The ability to communicate difficult tax issues in a concrete and pedagogic way is important and is something we focus more and more energy on. To describe a set of rules and the consequences of different actions is still important, but we are also required to give concrete advice to our clients. Therefore, analytical capabilities in conjunction with the ability to simplify complicated issues are two important abilities in those ones we recruit and something we continuously try to teach.

Today, the tax group works a lot a with private equity investments, fund and acquisition structures, securities transactions (mergers, buy-outs, IPOs etc.) and incentives programmes. In addition, since share profits became free of tax within the corporate sector on 1 July 2003, Sweden has become an attractive country for holding companies. At the same time, the tax authorities have taken a more aggressive stand against the business world which has meant that tax litigation has increased, Martin Nilsson says. For example, the tax authorities often try to assert that they will carry out a so-called examination or that the tax evasion act applies to a certain procedure. Therefore, Mannheimer Swartling works, within the framework of its own tax process activities, actively with different legal rights issues, inter alia through the Institute for Taxes and Legal Rights.

In all, nineteen lawyers specialized in the tax area work at Mannheimer Swartling. These often work together with other groups in the firm as well as on their own cases. Martin Nilsson has the coordinating role to ensure that the exchange of knowledge between the lawyers involved is as great as possible.

As head of the group much of my work involves creating the right conditions for cooperation. It is important to create as open a climate as possible so that in every single case we can use the firm’s collective competence within the tax area. We also invest a lot in training in order to be able to maintain and enhance operative skills at all times. We also try to train the firm’s other lawyers in the tax area as well as informing them about current issues, on an on-going basis. That is a strategy which has worked well.

MANNHEIMER SWARTLING PARTNER IN SWEDEN RUSSIA BUSINESS FORUM 2007
As a step in Mannheimer Swartling's continued expansion on the Russian market, we have joined the Sweden Russia Business Forum 2007 as a partner.

Arranged by the Swedish Embassy, the Forum was held in Moscow on 2 - 4 May this year and was aimed at Swedish and Russian business. Delegates were able to take part in a series of seminars and workshops covering both legal and business issues. The Forum were providing participants with an insight into the opportunities on the fast-growing Russian market as well as promoting contacts with Russian and Scandinavian companies doing business in Russia. Mannheimer Swartling has been running a number of workshops and client-related activities.

Kindred Joins Complex Litigation Practice Group
Joshua Kindred has joined Lane Powell as an associate attorney in the Complex Litigation Practice Group, where he concentrates his practice in complex commercial litigation, including insurance law.

Kindred joined Lane Powell after serving as a law clerk for the Oregon Supreme Court, Chief Justice Paul DeMuniz. He also worked as an intern with the District Attorney’s Office (State of Alaska) and a law clerk at the Mental Health Court in Anchorage. He has been a resident of Alaska for sixteen years.

Kindred received his J.D. from Willamette University, and his B.A. in History with a minor in Political Science, from the University of Alaska.

Tele2 AB in Sale of its Irkutsk Operation and Execution of a 10-Year National Roaming Agreement
Cleary Gottlieb represented, in both Moscow and London, Tele2 AB ("Tele2"), Europe’s leading alternative telecom operator, in its sale of 100% of the shares of Closed Joint Stock Company "Corporation Severnaya Korona", Tele2’s cellular operator in the Irkutsk region of the Russian Federation, to Open Joint Stock Company "Vimpel-Communications" ("Vimpelcom") for approximately US$232 million. The share purchase agreement was signed and the transaction closed on August 10, 2007.

Simultaneously, Tele2 and Vimpelcom entered into a 10-year national roaming agreement which will enable Tele2 customers seamless roaming across Vimpelcom’s network in Russia.

The structure of this transaction is unique for the Russian market.

Native American Law Clerk Program
The Native American Rights Fund (NARF) once again completed a successful summer law clerk program, thanks to generous support from the University of Denver Sturm College of Law (DU) and the law firm of Lindquist & Vennum, PLLP. The gift sponsored the cost of two law clerk positions for NARF’s 2007 Summer Law Clerk Program. In addition the Confederated Tribe of Siletz Tribe, contributed to the program.

NARF relies on its law clerks to assist in achieving its mission of defending the most important rights of Indian tribes and individuals through legal advocacy within the limit of available resources. Furthermore, NARF is committed to the professional development of new attorneys in the field of Indian law. Each year the organization conducts a nationwide search for law school students to participate in its clerkship and internship programs in all three of its offices. The NARF summer law clerkship is a 10 to 12 week program for students who have completed their second year of law school.

“Our partnership with DU and Lindquist & Vennum is a blessing. It has put the clerk program on solid footing and now we can continue to grow the program.” said NARF attorney and clerk program supervisor, David Gover. “Similarly, the Confederated Tribes of Siletz Indians support allowed NARF to grow the program to 6 clerks this summer and if I may say, the clerks this summer were extraordinary. We look forward to continuing our partnerships with DU, Lindquist & Vennum, the Siletz Indian Tribe and others who support the program year in and year out.”

This year’s Lindquist & Vennum Native American Rights Fund clerk is Meghan Kelly, and the University of Denver Native American Rights Fund clerk is Nicole Salamander, who clerked in NARF’s D.C. office. Both are entering their third year of law school at the University of Denver, Sturm College of Law. The Confederated Tribe of Siletz Indians’ contribution supported NARF summer law clerks Jennifer Bear-Eagle (Oglala Lakota), University of Nebraska; Merril Yeslith (Fallon Paiute Shoshone/Navajo), Brigham Young University; Jimmy Qaqundah, American University and Erin Dougherty, University of Michigan.

“The Sturm College of Law is honored to partner with NARF and continue to contribute to the mission of NARF,” said Misae Nashikura, DU’s Assistant Dean of Career Development. “The experience our students have gained through the NARF Clerkship has been invaluable and significantly enhanced their legal education. We couldn’t be more thrilled to see our students come out of the program with excitement and passion for NARF and the principles NARF stands for.”
