Baker & McKenzie - A ‘Best Law Firm for Women’
Baker & McKenzie is pleased to announce that Working Mother magazine named it one of the 2007 Working Mother & Flex-Time Lawyers Best Law Firms for Women. This recognition is the magazine’s first-of-its-kind initiative honoring trailblazers in work-life balance and women. The Firm is among fifty other law firms, selected from more than 100 applicants, recognized for its commitment to diversity and the advancement of women in the legal industry.

“We would like to thank Working Mother for this wonderful recognition, and are proud to be acknowledged for our ongoing efforts in creating and maintaining a work environment that helps our lawyers and staff balance both family and work lives,” said John Conroy, Chairman of the Executive Committee. “Baker & McKenzie has a unique multicultural heritage and commitment that embraces the importance of diversity and women in the legal industry.”

The Firm ranked ‘above average’ in five of the six criteria used to select the top law firms. These include flexibility, workforce profile, benefits and compensation, parental leave and related benefits and policies, and retention and advancement of women. The Firm ranked ‘average’ for its child care benefits.

“Since its founding, Working Mother magazine has been the champion of progressive, women-friendly changes in the workplace,” said Carol Evans, CEO, Working Mother Media. “Every year we see substantive advances in companies’ policies across the country, and we are so excited to be able to pair with Flex-Time Lawyers to celebrate change in a field that has historically struggled to support women and their life choices. Some of the benefits Baker & McKenzie provides its lawyers and staff include flexible schedules; telecommuting arrangements; and paid maternity, paternity and adoption leave. These and other policies have enabled working mothers to devote time to their families while advancing a legal career. The Firm in some of its offices also celebrates a “Bring your Child to Work Day” and a “Children’s Holiday Party” each year.

Some of Baker & McKenzie’s offices have established Women’s Attorney Steering Committees to organize educational and social luncheons and other events for women attorneys. These group efforts have enabled women of the Firm to form lasting support networks that aid in the development of leadership and business development skills.

Kathryn Fenton Installed as Chair of ABA Section of Antitrust Law; Fourth Jones Day Partner to Lead Group
Kathryn M. Fenton, a partner in Jones Day's Washington Office, has been installed as Chair of the American Bar Association Section of Antitrust Law. She is the fourth Jones Day partner to head the ABA's Antitrust Law Section, the largest association of antitrust and competition lawyers in the world.

"Antitrust has always been a core practice at Jones Day," said Steve Brogan, Jones Day managing partner. "Two of our managing partners were antitrust lawyers, and both of them were also antitrust section chairs like Kathy. We're proud of her and of our antitrust practice's tradition of leadership in the profession."

Ms. Fenton has long been associated with the ABA's Antitrust Law Section, previously serving as committee officer, secretary, publications officer, council member, assistant editor, and editorial chair of the Antitrust Law Journal, member of the Committee on Ethics and Professionalism and vice-chair. She is a member of Jones Day's Professional Services Committee and serves as chair of the Ethics Subcommittee. Fenton is also a member of the District of Columbia Bar Association, where she previously has served as a member and chair of the Rules of Professional Conduct Review Committee and the Legal Ethics Committee. She has written and lectured on issues of professional responsibility, conflicts of interest, and legal ethics, and served as an instructor on legal ethics for the D.C. Bar's New Admittees Course.

Fenton is a graduate of Fairfield University (B.A. summa cum laude 1975) and Georgetown University (Editor-in-Chief, Law Journal; J.D. cum laude 1978). She was Law Clerk to Judge Oliver Gasch, United States District Court, District of Columbia, for the 1978 term and served as Attorney-Advisor to Federal Trade Commission Chairman James C. Miller III from 1983 to 1984.

Jones Day Extends Record Before Roberts Court
Jones Day continued its record of success before the U.S. Supreme Court in the October 2006 Term. Jones Day is consistently in the top tier of law firms for most Supreme Court arguments.

Jones Day added two important victories to its record before the newly constituted Roberts Court. In Ledbetter v. Goodyear Tire & Rubber Co., Glen Nager, who argued the case, Mike Carvin, and Shay Dvoretzky prevailed in one of the Court’s most important labor cases in recent years. In a narrowly divided 5-4 decision, the high Court held that Title VII bars a private plaintiff from bringing an intentional pay discrimination claim challenging pay decisions that occurred outside of the statutory limitations period, even if those decisions continue to have adverse effects on paychecks received during the limitations period. The Court adopted the argument advanced by Jones Day over the positions previously taken in seven of nine courts of appeals. In Sinochem Int'l Co., Ltd. v. Malaysia Int'l Shipping Corp., Greg Castanias who argued the case, led to victory an international team of four Jones Day lawyers – Vicky Dorfman of the Washington, D.C. Office and Peter Wang and Alex Zhang of the Shanghai Office. In an important decision about federal court jurisdiction, a unanimous court held that a district court has discretion to respond at once to a defendant’s forum non conveniens plea, and need not take up first any other threshold objection.

In the last three years, Jones Day has argued twelve cases before the Supreme Court. Jones Day has had remarkable success, winning seven of these cases. These cases, moreover, addressed issues of vital importance to American businesses, including in the areas of antitrust (Texaco Inc. v. Dagher), employment law (Smith v. City of Jackson), the Truth in Lending Act (Koons Buick v. Nigh), and Fifth Amendment Takings (Lingle v. Chevron). These cases also reflect the depth of Jones Day’s Issues & Appeals practice, as these twelve cases were argued by seven different lawyers. No other private firm had as many lawyers argue before the Supreme Court during this period.

This last fact highlights one of the greatest strengths of Jones Day's Issues & Appeals practice: its deep reservoir of talent. Nine of the 51 lawyers presently in Jones Day’s Issues & Appeals practice have argued before the Supreme Court. Thirty-six of them have argued before the federal courts of appeals. Jones Day’s practice also includes 20 former Supreme Court law clerks and 42 lawyers who have clerked on federal courts of appeals throughout the Nation. These attorneys recently helped establish a new Supreme Court Litigation Clinic at the New York University School of Law. Jones Day’s talent pool thus extends deep into its bench.

In short, Jones Day has built one of the nation’s premier Supreme Court practices by providing clients with the highest caliber attorneys available. The Issues & Appeals practice is positioned to continue its extraordinary record of achievement as the nation propels into the era of the Roberts Court.

Martin Discusses Fiduciary Duties at PricewaterhouseCoopers General Counsel Forum
Partner Craig C. Martin discussed current issues relating to fiduciary duties in public and private companies at the PricewaterhouseCoopers General Counsel Forum held on July 19 and 20. The presentation was attended by over sixty general counsel over the course of two mornings.

Directors today face several challenges, Mr. Martin said, including the consideration of directors and officers’ personal concerns, such as legal liabilities for their actions and their personal reputations. Executive compensation issues are also a recurring topic within the boardroom, he said, and there is increasing pressure to make "value-enhancing" decisions that benefit the shareholders as well as management when handling such concerns.

Mr. Martin also discussed the recent trend of ERISA Stock Drop lawsuits, or litigation by employees under ERISA in connection with drops in stock prices. He said that such suits may be the result of the increased role of pension money in ownership of companies. Mr. Martin cited the "tension between the fiduciary duty to the company and the ERISA fiduciary duty to plan participants," as also being a major factor in these lawsuits. It can place directors and officers in a challenging situation, as they are frequent fiduciaries and also privy to private corporate information, he said.

Mr. Martin also discussed potential legal issues arising from transactions. Both public and private companies use strategic transactions to recognize value for existing shareholders and management, he said. These transactions can be implemented through a variety of legal structures, he said, including a leveraged ESOP transaction. Potential litigation issues in a leveraged ESOP transaction for private companies include valuation and redemption issues, because an ESOP of a closely held company does not have a market gauge of the value of the employer stock, he stated.

Howrey Selected as One of the “Best Law Firms for Women” by Working Mother
Howrey LLP has been selected in the 2007 “Best Law Firms for Women” by Working Mother magazine and Flex-Time Lawyers LLC, a national consulting firm advising attorneys and legal employers on work-life balance and retaining and promoting women. This is the first time Working Mother and Flex-Time have recognized law firms for creating hospitable working environments for women.

According to Working Mother, the “Best Law Firms for Women” distinguish firms that have made an effort to establish and implement women-friendly programs and policies, including on-site child care, and women-focused mentoring, leadership and networking programs.
