Dawn Moskalow Re-elected as President of the South Jersey Paralegal Association
Parker McCay paralegal Dawn Moskalow was recently re-elected as president of the South Jersey Paralegal Association (SJPA).

Ms. Moskalow will serve her second term as SJPA president for the 2007-2008 term. The SJPA is a non-profit organization of approximately 144 members that provides professional support and expands recognition of the paralegal profession, offers continuing legal education, facilitates improvements in paralegal education programs, and promotes the paralegal image.

As president, Ms. Moskalow will preside at all board and general membership meetings, appoint committee chairs, and supervise the work of the board and special committees.

Ms. Moskalow is a paralegal in Parker McCay’s personal injury department. She is a resident of Sicklerville, N.J.

Orrick, Herrington & Sutcliffe LLP has been named 2007 Best Law Firm for Women by Working Mother magazine, an important source of information for career mothers, and Flex-Time Lawyers LLC, a national consulting firm advising attorneys and legal employers on work-life balance and the retention and advancement of women. A new initiative from a leading advocate for work-life balance and women-friendly policies, Best Law Firms for Women honors 50 winning firms for their commitment to the retention and advancement of female talent.

Orrick's Women's Career Initiative, established in 2003, plays a vital role in addressing the challenges that affect women in the workplace. Orrick currently offers networking receptions, client and business development opportunities, mentoring circles and career development processes through which the firm can better support the development of women lawyers.

Orrick also supports the goal of work/life integration and assists its lawyers in balancing their obligations by offering emergency backup childcare to all partners and employees in most U.S. locations and by offering paid parental leave policies. Additionally, Orrick's Alternative Work Arrangement Policy enables attorneys who do not wish to remain on a traditional schedule to continue to contribute to the firm and to develop and advance their careers at Orrick. This year, an associate on an Alternative Work Arrangement was promoted to partner.

Methodology: The application and evaluation process for the 2007 Working Mother & Flex-Time Lawyers Best Law Firms for Women initiative was developed in a partnership by Working Mother magazine and Flex-Time Lawyers LLC and based on Working Mother's annual 100 Best Companies, a groundbreaking initiative that was first introduced in 1986, that continues to set the standard for family-friendly workplaces. To apply for the Best Law Firms for Women, Orrick provided detailed information on the issues that are most important to the retention and promotion of women lawyers in six measured areas: workforce profile, benefits and compensation, parental leave, childcare, flexibility, and retention and advancement of women.

Marubeni Closes Financing for $553 Million Acquisition of Mirant's Caribbean Power Assets
Further expanding its portfolio of power assets in the Caribbean region, Marubeni Corporation of Japan (“Marubeni”) has closed on the financing for its $553 million acquisition of Mirant Corporation’s Caribbean power assets. The purchase was funded by Marubeni’s own equity and debt facilities provided by a group of international banks including Mizuho Corporate Bank, ABN AMRO, Calyon and ING Capital. Mizuho acted as financial advisor to Marubeni. The international law firm Milbank, Tweed, Hadley & McCloy LLP, led by partner David Impastato, represented the lenders in negotiating and structuring the financing.

Milbank’s Impastato stated, “Although M&A in the energy and power sectors has been active, the strength of the sponsor was a critical factor in completing this transaction at this time, given the current volatility and uncertainty in the credit markets.”

In addition to Mr. Impastato, the Milbank team representing the lenders included partner Daniel Bartfeld and associates Nick Bragg and Adrian Chiodo, all based in the firm’s New York office.

About the transaction:
One of Japan’s largest trading companies, Marubeni Corporation, through its wholly owned subsidiary Marubeni Caribbean Power Holdings, Inc. (“MPCH”), completed the $553 million purchase of the Mirant Company’s Caribbean power assets, Mirant Caribbean Holdings (“MCH”) on August 8, 2007. Marubeni was awarded the holdings in a competitive auction process held by U.S. independent power producer Mirant Corporation and signed the definitive sale and purchase agreement with Mirant International Investment on April 18, 2007. The payment consists of approximately $579 million in equity, the assumption of $350 million in debt and $153 million of power purchase obligations.

The acquisition was funded by Marubeni’s own equity and debt facilities provided by a group of banks led by Mizuho Corporate Bank and including ING, Calyon, ABN AMRO and National Commercial Bank Jamaica. Marubeni is seeking long-term take-out mezzanine financing from the Japan Bank for International Cooperation (“JBIC”).

The acquisition is part of Marubeni’s strategy of expanding its global power sector asset portfolio. This transaction enables Marubeni to expand its IPP and transmission and distribution presence through integrated utilities in the Caribbean region. Marubeni now owns controlling interests in two integrated utilities on Grand Bahama Island and Jamaica and interests in Curaçao’s national utility company and IPPs in Trinidad and Tobago and Curaçao. Total net generating capacity, including the acquisition, is 1,150 megawatts.

The sale completes Mirant’s divestiture program, leaving the company with operations solely in the United States. JP Morgan Securities Inc. acted as Mirant’s financial advisor on the sale.

Partner Gerald Haberkorn has been appointed to the Chicagoland Chamber of Commerce Board of Directors and will serve on the Chamber’s Middle Market Forum Advisory Subcommittee. The Chicagoland Chamber of Commerce, founded in 1904, has 2,600 members and is one of the largest not-for-profit business assistance and economic development organizations in the U.S. It isprimarily a business resource center, dedicated to helping area businesses grow and promoting the economic development of the region.

Litigator John Bowman Joins King & Spalding’s Arbitration Practice
King & Spalding, a leading international law firm, announced today that high-profile litigator John P. Bowman has joined the international arbitration practice as a partner in the Houston office. Bowman’s arrival marks the 33rd lateral hire, including seven new partners, at the firm in the past year. Bowman focuses almost exclusively on domestic and international disputes for energy and petrochemical companies. Few lawyers have Bowman’s depth of experience in handling significant energy disputes, particularly in the international arbitration arena.

"John is a seasoned lawyer in the area of international arbitration and is recognized as one of the premier litigators in the energy field," said Robert E. (Bobby) Meadows, managing partner of King & Spalding's Houston office. "He brings considerable depth to the firm’s renowned international arbitration practice, and we are excited about the additional benefits his experience will bring our clients."

Bowman joins King & Spalding from Fulbright & Jaworski L.L.P., where he was a partner and co-chair of its arbitration and ADR (alternative dispute resolution) practice group.

Bowman has more than 27 years' experience in the litigation and arbitration of energy disputes domestically and internationally. His practice focuses on international oil companies, state oil companies, oil and gas promoters and investors, well service companies, drilling companies, seismic companies, gas suppliers and distributors, petrochemical manufacturers and power companies. He represents energy companies in a wide range of litigation and arbitration, including disputes concerning AMIs and confidentiality agreements, production sharing agreements, joint operating agreements, seismic licensing agreements, drilling contracts, offshore platform installation contracts, operation and maintenance agreements, purchase and sale agreements and representation agreements. He also represents companies in the computer, medical devices and television industries and in international commercial arbitrations.

Bowman earned a B.A. degree from the University of Kansas and a J.D. degree from the University of Kansas Law School. He is a member of the panel of arbitrators of the AAA International Centre for Dispute Resolution, a fellow and certified tutor of The Chartered Institute of Arbitrators (London), and fellow and member of the board of directors of the College of Commercial Arbitrators.

The firm’s international arbitration practice was ranked second in the world in Focus Europe's May 2007 Arbitration Scorecard issue, based on size and number of disputes handled across the globe. King & Spalding was also included in Focus Europe’s list of “Ten Big Awards” for the firm’s representation of Azurix Corp in a dispute against the government of Argentina. The arbitration team specializes in disputes involving energy, construction, insurance, investments, and general commercial matters.
