Keating Muething & Klekamp Named "Go-To" Law Firm by Corporate Counsel and American Lawyer Media
Keating Muething & Klekamp PLL (KMK) was recently named a “Go-To” Law Firm by Corporate Counsel and American Lawyer Media (ALM). KMK will be listed in the 2007 Directory of In-House Law Departments at the Top 500 Companies produced by Corporate Counsel and ALM. KMK was chosen by AK Steel Holding Corporation and Fifth Third Bancorp in the area of Litigation.

This Directory incorporates survey data collected by Corporate Counsel magazine for its annual “Who Represents America’s Biggest Companies?” issue. Corporate Counsel sent surveys to each company’s General Counsel, with questions about their department, as well as their outside counsel in five practice areas. General Counsel were asked for their “primary outside counsel” - the law firms that are on the company’s preferred list; the “go-to” firms for a specific practice area; firms that handled the most important cases in the previous year; firms used most often; and/or firms with the most billings from that company. The choice of which firms to name was up to the companies. This year corporations were asked to limit their selections to seven firms per practice area. Businesses that named more than seven firms within a practice area were required to limit their selection.

Dickstein Shapiro LLP Involved in Two Divestitures Totaling More Than $1 Billion
Dickstein Shapiro's Corporate & Finance team recently represented client Trans-Elect in two divestitures with an aggregate transaction value of $1.1 billion. On October 10, 2006, the sale of Trans-Elect affiliate Michigan Electric Transmission Company, LLC (METC) to ITC Holdings Corp. was completed in a transaction valued at approximately $865 million. The transaction created the largest independent electric transmission company in the U.S. and the country's tenth largest transmission company overall.

On September 15, 2006, Trans-Elect affiliate Trans-Elect NTD Path 15, LLC was sold to a subsidiary of Atlantic Power Holdings, LLC in a transaction valued at approximately $230 million. Trans-Elect NTD Path 15, LLC owns approximately 72% of the transmission system rights in the Path 15 transmission project located in California. This project is an 84-mile, 500-kilovolt transmission line built along an existing transmission corridor in California to help alleviate what had been a chronic transmission congestion point in the state's north-south transmission capacity. The project went into service in December 2004.

"We are pleased with the results of these two strategic transactions for Trans-Elect," said Patrick Lynch, the Dickstein Shapiro partner in charge of the transactions.

Dickstein Shapiro provided legal counsel to Trans-Elect and Trans-Elect NTD Path 15 in the divestitures. Also involved in managing various aspects of the transactions were partners Gary Schoenbrun, Laura Szabo, and Rebecca Wright, and associates Saminaz Akhter, Nicole Vorrasi, and Steve Walter.

Dickstein Shapiro's Corporate & Finance group is international in scope and represents some of the world's largest corporations, commercial banks, investment banks, and venture capital firms. The group's practice ranges from small, traditional transactions to large, highly complex transactions and provides a full range of corporate, financial, and transactional legal services to clients. To best meet all the needs and objectives of its clients, the Corporate & Finance group offers the complete resources of the firm for problem-solving and transaction implementation.
