J.W. Childs Acquires EmployBridge Holding Company Inc.
Kaye Scholer represented J.W. Childs Associates, L.P., a leading Boston-based private equity firm, in its acquisition of Atlanta-based EmployBridge Holding Company Inc. from majority shareholder CGW Southeast Partners. EmployBridge is a leading provider of specialty staffing services and one of the largest privately held staffing companies in the United Sates with more than 140 branches in 25 states. The corporate team was led by partner Stephen C. Koval and assisted by associates Steven Vine and Evan Kipperman. The tax counsel was Laurie Abramowitz and the finance team was led by partner Ed Gabbay and assisted by associate Alan Glantz.

Meyer presents to the Louisiana Health Care Risk Managers
On October 19, 2006, Conrad Meyer, a litigation associate, presented a seminar to Louisiana Health Care Risk Managers on the 2006 updates on the Louisiana Medical Malpractice Law including a focus on the Expedited Panel Process and Louisiana Interdiction/Curator law with respect to healthcare patients. The seminar was attended by risk managers of hospitals and health care facilities from across the state of Louisiana including senior members from the Louisiana Patients Compensation Fund and Hospital Services of Louisiana Inc.

Boys & Girls Club Honors Gibson Dunn
This year, Boys & Girls Clubs of America will present one of its highest honors, The President’s Award, to Gibson Dunn for its ongoing support of organizations and issues affecting the health and welfare of our nation’s youth. The firm's attorneys are involved in several youth organizations in Los Angeles, including Heart of Los Angeles Youth, Big Brothers/Big Sisters, Alliance for Children’s Rights and Boys & Girls Clubs of America. Bracewell & Giuliani Labor Experts Expect New NLRB Healthcare Worker Guidelines to Benefit Employers
Recently issued National Labor Relations Board guidelines that redefine the role of charge nurses as supervisors and exempt them from union eligibility will effect healthcare employers' approach to their workforce. The NLRB issued the guidelines Oct. 2.

Jim Kizziar, a partner in Bracewell & Giuliani's San Antonio office, said the ruling is significant to healthcare employers because it provides concrete guidance on how to create their management structure.

""This ruling will be the impetus for hospitals to reevaluate their business organization resulting in a reorganization of the frontline supervisor positions,"" Kizziar said. ""Now that these permanent charge nurses are supervisors, employers will be better able to have management presence to address employee issues and counter union organization.""

Prior to the Oct. 2 guidelines, the U.S. Supreme Court rejected a test which the NLRB had created to determine supervisory status citing that the test was inconsistent with the National Labor Relations Act. (NLRB v. Kentucky River Community Care Inc., 2001)

In private practice since 19778, Kizziar represents management in all aspects of labor and employment law before federal and state agencies and courts. His practice includes litigation and preventative counseling of management on issues such as discrimination, harassment, union organizing and wage-hour issues.

Harbinger Signs Definitive Merger Agreement With Applica
As reported in today's Daily Deal, affiliates of Paul, Weiss client Harbinger Capital Partners Master Fund I, Ltd. and Harbinger Capital Partners Special Situations Fund, L.P. entered into a definitive agreement yesterday to acquire all outstanding shares of NYSE-listed Applica Incorporated for $6 per share in cash. The signing of the definitive agreement follows the termination by Applica of its previous merger agreement with the Hamilton Beach/Proctor-Silex subsidiary of NACCO Industries, Inc. The Paul, Weiss team included corporate partners Jeff Marell and Bob Schumer and associates Justin Hamill, Brooke Purcell and Anne Yip; employee benefits partner Mike Segal and associates Reuven Falik, Eric Schecter and Lauren Voss; intellectual property counsel Claudine Meredith-Goujon and associates Zoe Hilden and Menachem Kaplan; tax partner Richard Bronstein; real estate partner Peter Fisch and associate Emily Sheehy; litigation partner Leslie Fagen and associate Koren Bell; antitrust partner Joe Simons and counsel Didier Malaquin; environmental law counsel Bill O'Brien; and paralegal Mariko Foster.

O'Melveny Receives LABCA's Pro Bono Service Award
O'Melveny was honored at the Los Angeles County Bar Association's International Diversity Celebration Dinner, held October 14. O'Melveny was the first ever recipient of LABCA's Pro Bono Service Award; the firm was recognized for its immigration pro bono work and how that work serves to enhance diversity in the community. Bob Willett accepted the award on behalf of the firm. Also honored at the dinner were member of Congress Hilda Solis and Senator Edward M. Kennedy.
