Freshfields Bruckhaus Deringer advises Deutsche Bank on acquisition of Tilney Investment Management
A Freshfields Bruckhaus Deringer team, led by corporate partner Matthew Cosans and senior corporate associate Chris Lester, acted for Deutsche Bank in connection with the agreed acquisition of Tilney Investment Management, the UK based fund manager, announced today.

The same Freshfields team has advised Deutsche Bank on other asset management transactions, including last year's sale to Aberdeen Asset Management of fixed income operations and equities and multi-asset management businesses in London and Philadelphia.

The sellers of Tilney are Bridgepoint, the UK based private equity group, who were advised by Travers Smith (David Innes). Tilney management (who will stay in the business), were advised by Pinsent Masons (Andrew Masraf).

J. Phillip Gibbs Joins Fowler White Boggs Banker
J. Phillip Gibbs has joined the law firm of Fowler White Boggs Banker as an associate.

Mr. Gibbs will practice in the firm’s Securities, Financial Services and White Collar Practice Group where he will concentrate his practice in the area of business law practice with emphasis in business acquisitions and sales, corporate law, securities and corporate finance, including general representation of both privately owned and public companies. Mr. Gibbs received his bachelor’s degree from the University of Florida and his law degree with high honors from University of Florida, College of Law.

Ford & Harrison's Tomeka Hart Receives Two Honors
Ford & Harrison LLP, a national labor and employment law firm, is pleased to announce that Tomeka R. Hart, an associate in the Memphis office, has been named a recipient of the 2006 Mpact Maker Award in the area of Political Achievement by Mpact Memphis. She was also selected to be part of the Leadership Memphis Executive Program Class of 2007.

The Mpact Maker Awards recognize young Memphians for outstanding achievement in the areas of civic or professional involvement. Ms. Hart received her honor for her political achievements in the community, specifically for her work with the Memphis School Board. Mpact Memphis inspires and empowers a young Memphians to make their city a better place. Through ongoing projects, events and campaigns, the members of Mpact foster a new level of social, political, and cultural engagement among this new generation of Memphis’ leaders.

Leadership Memphis works with leaders within the community who demonstrate an ability to bring about innovative change within their field of expertise and challenge them to learn how to use their leadership skills for the benefit of the larger community. Ms. Hart was selected as one 75 community leaders chosen this year to participate in the Executive Program.

Ms. Hart concentrates her practice on all aspects of labor and employment law with a focus on discrimination, harassment and retaliation claims under Title VII, ADA, ADEA and state law discrimination. She conducts management training on all aspects of labor and employment law.

She was selected by the Memphis Business Journal as a “Top 40 Under 40” Honoree in 2005. Ms. Hart is a member of the American Bar Association, Labor and Employment Section; Memphis Bar Association, Labor & Employment Law Section (2004 Board Member); National Bar Association, Ben F. Jones Chapter; and the Association of Women Attorneys. She also serves on the Memphis City Schools Board of Commissioners, the Riverfront Development Corporation Board of Directors, the New Pathways Inc. Community Development Corporation. She received her degrees from University of Memphis School of Law (J.D., 2002), Kennesaw State University (M.B.A., 1997) and University of Tennessee (B.S., 1993).

Litigator Jeffrey A. Peck Honored by Trial Attorneys of N.J.
Jeffrey A. Peck, a partner at Drinker Biddle & Reath LLP, received the Trial Bar Award from the Trial Attorneys of New Jersey (TANJ), at its annual banquet on Thursday, Oct. 19, in New Brunswick. This prestigious award honors only those New Jersey lawyers who have distinguished themselves as premier trial lawyers.

“Jeff Peck must be counted among the most accomplished trial attorneys in New Jersey,” said Daniel F. O’Connell, partner-in-charge of the Drinker Biddle’s Florham Park office. “He has handled significant litigation actions throughout his career, and has provided exceptional representation and counsel to his clients in every instance. This recognition from his colleagues is well deserved.

Peck is a certified civil trial attorney, a member of the American Board of Trial Advocates, and a member of the American, New Jersey State, Morris and Essex County Bar Associations. He was a member of the Supreme Court District X Ethics Committee for Morris and Sussex Counties, and served as its chairman. He was elected a trustee to the Morris County Bar Association in 1993, and serves as a Master of the Worrall F. Mountain Inn of Court.

Early in his career, Peck focused his practice on medical malpractice defense and gained a reputation as a formidable adversary. He later handled many product liability actions, including several reported appellate decisions. Peck began trying plaintiff’s medical malpractice cases in the 1980s, resolving his first action for just under $1 million. He maintains an active litigation practice today, including wrongful death and asbestos cases, dozens of which he has tried to verdict.

“I greatly appreciate this recognition from my colleagues,” said Peck. “I will continue to dedicate myself and my work to practicing at the highest standards in these challenging areas of the law.”

Drinker Biddle and its New Jersey predecessor Shanley & Fisher have a long and active history with TANJ. Numerous partners have served as president and trustees, and been honored with the Trial Bar Award. Drinker Biddle partner Paul G. Nittoly is currently the group’s president.

TANJ is an organization that represents approximately 800 members, consisting of both plaintiff and defense attorneys from the civil and criminal bars. The organization works to promote the interests of the public, litigants involved in civil and criminal cases, the bench, and the bar.

Frank Ortiz to Speak at 2006 Midwest Securities Law Conference
Dickinson Wright PLLC Member Frank R. Ortiz will speak at the 2006 Midwest Securities Law Institute presented by the Michigan State University College of Law on Friday, October 20, 2006 in East Lansing, Michigan. Mr. Ortiz will be presenting on ethics issues.

This one-day course will examine current issues in securities regulation and cover updates from the SEC, the Public Company Accounting Oversight Board and the National Association of Securities Dealers.

Mr. Ortiz's section on ethics issues will cover:

Carlton Fields Assists AmerisourceBergen with Competition of Health Advocates, Inc. Acquisition
On October 13, 2006, AmerisourceBergen Corporation (NYSE:ABC) announced the completion of the acquisition of all of the outstanding stock of Health Advocates, Inc. of Tampa, Florida, for approximately $83 million in cash. The law firm of Carlton Fields, led by Atlanta Shareholder, Lawrence M. Gold, handled all of the legal work for this acquisition and advised AmerisourceBergen Corporation on the structuring and other various aspects of the complex transaction. Also involved on this acquisition was the Carlton Fields legal team of Tampa Shareholder Nathaniel L. Doliner, Tampa Shareholder David P. Burke, Tampa Shareholder John P. McAdams, and Tampa Shareholder Donald R. Schmidt.

As stated in a release from AmerisourceBergen Corporate, Health Advocates is a leading provider of Medicare set-aside cost containment services to insurance payors primarily within the workers' compensation industry. The new business is expected to be slightly accretive to the Company's fiscal 2007 earnings. Health Advocates, with revenues of approximately $20 million over the last 12 months, will be renamed PMSI MSA Services and will operate under PMSI, AmerisourceBergen's workers' compensation services business. Medicare set-asides are required in certain worker's compensation settlements. The set-asides are funds established to cover future medical and prescription drug expenses incurred as a result of a job-related injury that would have been paid by Medicare. The amount of the set-aside is dependent on a number of complex factors, and ultimately must take Medicare into consideration in order for a workers compensation settlement to be finalized. The purpose of the set-aside is to ensure that Medicare is not burdened with costs that should be covered by the private workers' compensation insurer. Vespa-Papaleo Gives Keynote Speech at Symposium
J. Frank Vespa-Papaleo, the Director of the New Jersey Division on Civil Rights, was the keynote speaker at a breakfast symposium on Key Issues in New Jersey Employment Law. The symposium, which attracted more than 100 attendees from throughout the State of New Jersey, took place on October 10 at The Park Avenue Club and was sponsored by St. John & Wayne. Topics covered at the program included: workplace litigation; internal investigations; wage & hour issues; alternative dispute resolution; and technology in the workplace.
