Citigroup Global Markets in Acquisition of PowerDsine Ltd. by Microsemi Corporation
Cleary Gottlieb is representing Citigroup Global Markets in its capacity as financial advisor to PowerDsine Ltd. in the acquisition of PowerDsine by Microsemi Corporation. Each PowerDsine shareholder will receive $8.25 per share in cash and 0.1498 shares of Microsemi common stock for each share of PowerDsine common stock. Based on closing stock prices on October 23, the total consideration values PowerDsine at approximately $245 million.

PowerDsine designs, develops and supplies integrated circuits, modules and systems that enable the implementation of power over Ethernet in local area networks. Microsemi Corporation, with corporate headquarters in Irvine, California, is a leading designer, manufacturer and marketer of high performance analog and mixed signal integrated circuits and high reliability semiconductors.

Cadwalader London Ranked by Chambers UK in Capital Markets, Litigation and Restructuring
Cadwalader’s London office was again recognized by Chambers UK, a research-based guide to the country’s leading law firms and lawyers, for its strong presence among UK law firms and several UK-based practitioners were also ranked for their excellence.

Capital Markets: Securitisation and Structured Finance

Cadwalader’s London securitisation practice rose in the Chamber’s ranks for 2007.
According to Chambers, “CMBS remains a US imported model and Cadwalader has been very instrumental in replicating its US expertise in the most successful deals in Europe.” Cited as key assets are the team’s “profound knowledge of the commercial loan asset” and experience in structuring transactions so as to address the needs of the borrower and investor while obtaining optimal bond ratings. Partner Charles Roberts was specifically noted for his expertise. The structured products practice was ranked for the first time citing high-profile hires, “a considerable flow of repeat work,” and its work in the CDO and CLO markets and with derivatives. Partners Angus Duncan, Christian Parker and Neil Weidner were all recognized as leaders in this area.

Litigation: Banking & Finance, General & Commercial

Ranked for the second straight year, Cadwalader’s “pre-eminent” litigators in the area of banking and finance are hailed as “good behind the scenes, especially when it comes to avoiding litigation.’ The team’s success in representing partners of KPMG in securing a $220 million settlement (USD) for TXU Europe companies and their creditors was cited as a particular success. Partners Michelle Duncan and James Douglas were recognized for their accomplishments and Ms. Duncan was recognized for her work in the field of general and commercial litigation as well.

Financial Restructuring/Insolvency

Cadwalader’s “extremely effective” financial restructuring team maintained its strong ranking due to lawyers who “always do a fantastic job,” with particular attention given to the team’s impressive global reach and “key role” in the MyTravel, Queens Moat Houses , Welcome Break and Concordia restructurings. London office Managing Partner Andrew Wilkinson was again ranked in the first tier as among the best in the field and James Douglas was recognized as “up and coming.

Chase and Thompson Named “Up and Coming Lawyers”
Blackwell Sanders Partners Curt Chase and Randy Thompson were named as two of Missouri’s “rising stars” and were recognized in recent issue of Missouri Lawyers Weekly. The ninth annual “Up and Coming Lawyers” issue honored just 16 Missouri attorneys.

There were a record number of nominations this year, which a selection committee read through in search of those attorneys who “do something extra to distinguish them as rising bar members.” Each honoree shows exemplary dedication to the practice of law and a commitment to making their communities better places to live.

Curt Chase, referred to as “the go-to guy” for healthcare law, practices from the firm’s Kansas City, Mo., office. He has developed a leading healthcare practice, emphasizing transactional, regulatory and compliance advice and strategies for hospitals, physicians and other healthcare providers. Chase has guided hospitals and physician practices in developing joint venture operating structures, advised on fraud and abuse investigations and compliance programs, and assisted healthcare providers in interpreting and complying with Medicare and other reimbursement rules. Favorable IRS Settlement Negotiated by Blackwell Sanders
The City of Papillion, Neb., agreed to pay the Internal Revenue Service a settlement of $26,000, as negotiated by Blackwell Sanders attorneys Howard Hahn and Rebecca Gregory. The IRS initially sought more than $120,000 in employment taxes for free golf rounds given to city golf course volunteers. The IRS asserted that the workers were actually employees, not volunteers, and that the free rounds of golf were compensation that should have been taxed.

Venable Adds Senior Legislative/Public Policy Attorney Catherine Bennett Following 27-Year Career with Pfizer
In another boost to its public policy practice, Venable LLP announced that Catherine P. Bennett, an experienced government affairs lawyer and lobbyist for Pfizer, Inc., has joined the firm as a partner in the Legislative practice in Washington, D.C. Ms. Bennett spent 27 years with Pfizer, where she most recently served as vice president of government relations.

Joining Pfizer in 1978 as an assistant director of government relations, Ms. Bennett eventually became one of the company’s key representatives on Capitol Hill. She was directly responsible for framing Pfizer’s positions on taxation, international trade and intellectual property, as well as drug importation, international price controls, and even judicial reform.

Ms. Bennett worked on a number of important pieces of legislation, including the seminal 1984 Drug Price Competition and Patent Term Restoration Act (Hatch-Waxman) and the 2003 Medicare Modernization Act, along with a dozen different extensions of the Research and Development Tax Credit. She also led Pfizer's lobbying strategies on international tax reform, asbestos litigation reform, patent law reform and FDA/drug regulation reform issues. From 2004-2006, she served as an aide to then Pfizer CEO Hank McKinnell, in his role as chairman of the Business Roundtable.

In 2005, Ms. Bennett played a lead role in the successful conclusion of negotiations on an amendment to the WTO's Trade-Related Aspects of Intellectual Property Rights (TRIPS) Agreement, an area where she had been actively involved for many years.

Prior to joining Pfizer, Ms. Bennett worked on staff of the National Security Council and was responsible for legislation impacting national security issues for the White House. She also served as primary liaison with the congressional relations offices of both the State and Defense Departments. While with the National Security Council in the mid-1970s, she came to know Henry Kissinger, who at the time was both Assistant for National Security Affairs to President Ford as well as U.S. Secretary of State. After her time at the White House, Ms. Bennett conducted research for Dr. Kissinger’s memoir, The White House Years.

At Venable, Ms. Bennett will bring her vast legislative experience to the firm’s extensive pharmaceutical client base – Venable represents several of the country’s largest branded drug manufacturers as well as emerging bio-tech companies, established healthcare providers, and nutritional supplement companies. Given the breadth of her legislative experience she will be able to assist clients in a broad range of industries.

“I have known Cathie personally and professionally for the last 25 years and have the utmost respect for her work, and her deep understanding of the legislative and policy workings of Washington,” said Brock Landry, manager of Venable’s Government and Regulatory Affairs Division.

“In addition to knowing senior lawmakers and staff from both sides of the aisle, she has a tremendous grasp of substantive policy matters across a wide span of important business issues, by no means limited to pharmaceuticals. We expect her to play an important role in our work on tax policy, international trade matters, healthcare, and intellectual property.”

“There are very few in-house government affairs jobs that could compete with the position I had at Pfizer – the company was at the forefront of so many critical areas of commerce, trade, innovation, and public health,” Ms. Bennett said.

“I felt that for the next stage of my career, I wanted to apply my nearly 30 years of public policy and regulatory experience to a broad base of high quality businesses and institutions. Venable has one of Washington’s preeminent legislative groups as well as superb attorneys and government affairs professionals. Those qualities, along with a growing national reputation, made Venable particularly appealing.”

Ms. Bennett is chairman emeritus and former chairman of the board of the Cancer Research and Prevention Foundation. A cancer survivor herself, she also serves on the advisory board of the National Dialogue on Cancer (C-Change).

On other fronts, she has served as an advisor to the Intellectual Property Advisory Committee of the U.S. Department of Commerce and also serves on the Advisory Board of the Smithsonian Institution and the National Museum of Women in the Arts.

Ms. Bennett earned her J.D. cum laude from Georgetown International Law Center (1987). She holds a B.A. fromSmith College (1972) and an M.A. in International Economics from Johns Hopkins School of Advanced International Studies (1975)
