Reginald A. Pacis to speak at ACAPAA Immigration Law seminar
Butzel Long attorney and shareholder Reginald A. Pacis will discuss the latest immigration law issues at a seminar hosted by the Advisory Council on Asian Pacific American Affairs (ACAPAA) on December 1, 2006. He is one of the featured speakers at the program which is designed to help employers of all sizes with immigration law issues. Mr. Pacis will discuss updates on Social Security and immigration crossover concerns, I-9 document retention and H-1B public access file issues.

Mr. Pacis concentrates his practice in immigration law. He is a member of the American Bar Association, the American Immigration Lawyers Association (AILA), and the Samahang Pilipino Ng Oakland Filipino organization. In addition, he served two consecutive terms (2003 – 2005) as Chairperson of the Michigan Chapter of AILA and was a member of the AILA National Board of Governors for those terms. He previously served as secretary (2001 to 2003) and membership chairperson of the Michigan chapter of AILA (1998 to 2003).

He has served on a variety of committees within the Filipino community. Mr. Pacis was a presenter and member of the faculty for the 2004 AILA National Conference. Currently, he serves as a member of the AILA National Committee and is a liaison with the Customs and Border Protection, a division of the U.S. Department of Homeland Security presiding over inspections and security of the U.S. border. He also serves as Chairperson of the Michigan AILA Committee responsible for liaison with the Michigan Customs and Border Protection Agency.

Mr. Pacis received a J.D. from the Detroit College of Law at Michigan State University in 1996 and a B.A. from James Madison College at Michigan State University in 1992. He joined the State Bar of Michigan in 1997.

Ashurst is acting for HSBC Investment Bank PLC in relation to Tata Steel's offer for Corus
Ashurst is acting for HSBC Investment Bank PLC in its capacity as rule three adviser to the board of Corus Group PLC in connection with the offer by Tata Steel Limited for Corus. The recommended takeover offer of 455 pence per share values Corus at £4.3 billion.

The Ashurst team comprises corporate partner Paul Gadd and solicitor Sarah Moore.

Herbert Smith is advising Tata Steel and Slaughter and May is advising Corus.

Ashurst Milan advised ING on €195 million financing in relation to the acquisition of Metroweb by Stirling Square
Ashurst advised ING on the provision of senior, second lien and mezzanine financing in relation to Stirling Square's acquisition of Metroweb from AEM. The acquisition and refinancing credit facilities have a total value of €195 million.

The Ashurst team was led by Milan managing partner Riccardo Agostinelli and comprised international finance partner John France who advised on UK law issues, assisted by associates Sadie Fairfax and Andrea Stucchi; and international finance partner Maura Magioncalda who advised on Italian law issues, assisted by associates Lorenzo Vernetti, Consuelo Citterio, Carloandrea Meacci, Alessandra De Cantellis, Morena Bontorin, Marco Leonardi and Mario Figari. Paola Flora advised on tax aspects of the transaction.

Chiomenti Studio Legale advised AEM. Clifford Chance, Maisto e Associati and Pavia e Ansaldo acted for Stirling Square.

Ashurst advised Eton Park on a €33 million co-investment in Talvivaara Mining Company
Ashurst advised investment fund Eton Park on its €33 million co-investment in Finnish company, Talvivaara Mining Company Ltd.

The other funding parties are Tisbury Capital Management, Finnish Industry Investment and employment pension insurance company Varma which previously owned a small stake in the company.

Talvivaara mines for nickel and will employ the technique of bioheapleaching at its Sotkamo site in Finland, a technique which has not been used elsewhere for extracting nickel. There is estimated to be about 340 millions of tons of classified nickel reserves at Talvivaara, Finland and is estimated to contain 2-3 percent of the total nickel resources of the world. The funds will be used to secure the opening of the mine in Sotkamo. Eton Park manages funds in excess of US$ 5.5 billion.

The Ashurst team was led by corporate partner Giles Boothman, assisted by corporate assistant Catherine Passmore.

Waselius & Wist advised Eton Park on the Finnish aspects. SJ Berwin advised Tisbury Capital Management and White & Case, Helsinki advised the company.

Ashurst is advising Terra Industries on a joint venture with Kemira GrowHow
Ashurst is advising Terra Industries Inc. in relation to a proposed joint venture with Kemira GrowHow Oyj to operate the fertiliser and associated process chemicals businesses of both companies in the United Kingdom.

Terra Nitrogen (UK) Limited and Kemira GrowHow UK Limited are, respectively, the UK's largest producers of ammonium nitrate and compound fertilisers. The joint venture will see the companies combining their existing UK operations, which include Kemira's site at Ince, Cheshire, as well as Terra's facilities in Teesside and Severnside.

The agreement is subject to approval by UK competition authorities, negotiation of definitive documents and lender consent.

The Ashurst team comprises corporate partner Paul Gadd, corporate solicitor Andrew Dailly, Brussels competition partners Julian Ellison and Matthew Hall, pensions solicitor Neil Bhan, employment solicitor Paul Brown and environment solicitor Joanna Ketteley.

Best labour law firm award for A&O Luxembourg
Allen & Overy Luxembourg has been awarded the title of Luxembourg's “2006 Best Labour Law Firm”. For the fourth consecutive year, the awards ceremony was organised by HROne, Luxembourg's premier HR club, but this is the first time that a category has been open to law firms.

The awards ceremony took place on 24 October during a gala dinner which, as is customary, followed the annual HR Directors' Convention. This year, 50 percent of the votes were allotted to the Luxembourg HR community through an online poll (3,650 professionnals identifed by HR One, with a maximum of one vote per company) and 50 percent to a jury which consisted of the HR Manager of the Year 2005, Christian Scharff; Guest of Honour 2006, Ernst Baumann, Human Resources & Industrial Relations Director, BMW Group; and the President of the 2006 Jury, Jean Zahlen, First Government Counsel at the Labour Ministry.
