Davis Polk Advises Morgan Stanley on Its Acquisition of a Minority Stake in Lansdowne Partners
Davis Polk & Wardwell is advising Morgan Stanley on its acquisition of a 19% stake in Lansdowne Partners, a London-based hedge fund. The financial terms of the transaction were not disclosed.

Lansdowne, founded by Paul Ruddock and Steven Heinz in 1998, has over $12 billion in assets under management invested in European and United Kingdom stocks, financial institutions worldwide, macro strategies and emerging markets.

The Davis Polk corporate team includes partner John A. Bick and associates Anthony Feo. Partner Nora M. Jordan and associates Gregory S. Rowland and Caroline Rebecca Adams are providing investment management advice. Partner William H. Weigel and associate Neil Weinberg are providing tax advice. Partners Barbara Nims and Edmond T. FitzGerald and associate Ada Dekhtyar Karczmer are providing employment advice. All members of the Davis Polk team work in the New York office.

IRS Answers Toxic Query; Post 1986 Radioactive Waste Debt Not Exempt
DC based Tax partner Howard Cooper is quoted in this article on a recent IRS “TAM” ruling that radioactive solid waste does not meet the definition of solid waste under the 1986 tax law and, therefore, tax-exempt bonds cannot finance facilities that process or store it.

. . .Howard Cooper, a tax partner with Thelen Reid & Priest LLP, who represents a number of electric utilities, said he had not seen the TAM. However, he gave three reasons yesterday why he thinks it is bad for the IRS to determine radioactive solid waste does not meet the definition of solid waste, especially when the federal government has not opened a national disposal facility for nuclear waste.

"One, I think it is wrong under the law," Cooper said. "Two, I think it is putting a double whammy on utilities. Because the government hasn't built the disposal facilities, the utilities have to build on-site storage, and now the government is making the cost of the on-site storage more expensive. Third, I think it is bad to issue a ruling on a subject while regulations are pending.

Veteran Trial Lawyer DeMaurice “De” Smith Joins Patton Boggs LLP
Patton Boggs LLP is pleased to announce that DeMaurice “De” Smith has joined the firm as a partner in the firm’s litigation group. Mr. Smith will focus on white-collar criminal defense matters and high-profile tort liability trials. He joins Patton Boggs from the Washington , DC office of Latham & Watkins.

A veteran lawyer with lead or “first chair” responsibility in over eighty federal and state jury trials to verdict, Mr. Smith has been consistently recognized as an outstanding trial lawyer and teacher. He has argued numerous cases before the US Court of Appeals for the District of Columbia Circuit and District of Columbia Court of Appeals, and has defended individuals in high profile criminal cases, and Congressional investigations, while also representing Fortune 500 companies in both criminal and complex civil cases.

Mr. Smith is currently the President of the Assistant United States Attorney’s Association and is a member of the Board of Governors for the District of Columbia Bar Association.

Mr. Smith has represented corporations and individuals in both criminal and administrative matters. He specializes in matters pending before the US Attorney’s Office, Department of Justice, US Congress, DOJ Antitrust Division and the Securities and Exchange Commission. In addition, he has provided corporate trial representation in complex civil cases and arbitrations, class action litigation, complex personal injury, and mass tort trials.

From 1991 to 1998, he served as an Assistant US Attorney in the District of Columbia US Attorney’s Office, including service as a senior prosecutor in the Violent Crime Section and the Transnational/Major Crimes Sections of the office. From 1998 to 1999, Mr. Smith served as Counsel to Deputy Attorney General, Eric Holder . He was the US Attorney’s Office’s Lead Representative to the Law Enforcement Inaugural Committee and served in the US Secret Service’s Multi-Agency Command Center during the 2001 Presidential Inauguration.

He has received numerous US Attorney’s Office Special Achievement Awards and honors from federal and local law enforcement and community groups, including special commendations from the US Secret Service, Drug Enforcement Agency, the US Marshal’s Service and the Metropolitan Police Department, including receiving the United States Attorneys Office Leadership Team Award.

Mr. Smith is a multiple award recipient from the US Attorney’s Office and the Department of Justice, a faculty member for the National Trial Advocacy College in Charlottesville , Virginia and the National Institute for Trial Advocacy. In addition he has received several other prestigious awards including Best Lawyers in Washington , Best Lawyers in America , and was named to Washingtonian magazine’s Young Guns: Top 40 Lawyers under 40.

A frequent legal commentator on MSNBC’s Hardball, Abram’s Report, CNN, NBC, Court-TV and Fox television, Mr. Smith also teaches classes on trial advocacy at the University of Virginia , George Washington University and American University .

He holds a J.D., from the University of Virginia , (1989 With Honors) and earned a B.A. from Cedarville College , (1985).

Leading E-Rate Authority Cynthia Schultz Joins Patton Boggs LLP
Patton Boggs LLP is pleased to announce that Cynthia Schultz has joined the firm as partner. Ms. Schultz will be working closely with the firm’s Telecommunications and Technology group on regulatory, business, and international issues involving E-rate, telecommunications, technology, international trade, and transactional matters. In addition, Ms. Schultz will provide clients with E-rate compliance training and is working to form a trade coalition of E-Rate service providers.

Ms. Schultz joins Patton Boggs after serving as Director of Service Provider Support for the Schools and Libraries Division of Universal Service Administrative Company (USAC), where she worked to improve the stature of more than 4,000 service providers such as telecommunications carriers, ISPs, and internal connections providers. She is renowned as one of the leading authorities on the E-rate Program that disburses up to $2.25B annually to companies that provide Internet access to the K-12 educational market nationwide.

Before taking on leadership roles at USAC, Ms. Schultz served in senior management in the National Competition and Regulatory Policy Group at a prominent global business and residential communications company. There, she managed nationwide advocacy on ILEC performance reporting and special access services before state regulatory commissions and was closely involved in contract negotiation and interconnection agreements. In addition, Ms. Schultz was Associate Counsel for Law and Public Policy at a leading global telecommunications company.

From 1992-1998, Ms. Schultz served as a Trial Attorney in the distinguished Attorney General’s Honors Program in the U.S. Department of Justice (DOJ), Civil Division – Commercial Litigation Branch, International Trade Group.

Ms. Schultz holds a degree from the American University Washington College of Law, J.D. (1990) and served as Editor-in-Chief for The American University Journal of Law & Policy. She also holds a B.A. from George Washington University (1983) and has conducted post-graduate work in the fields of international law and economics at Beijing University (China), Fudan University (China), Philipps Universität (Germany), and the College of Europe (Belgium).
