Holland & Knight Leads Kos Pharmaceuticals, Inc. Buyout by Abbott Laboratories for $3.7 Billion
Holland & Knight LLP announces the representation, along with Cravath, Swaine and Moore, of its client Kos Pharmaceuticals, Inc.(NASDAQ: KOSP) in the sale of Kos to global health care products maker Abbott (NYSE:ABT) for approximately $3.7 billion net of cash currently held by Kos. The Holland & Knight team was led by Miami-based partner Steven Sonberg and Tampa-based partner Robert Grammig and partner Richard Yanofsky. The team from Cravath was led by partners Alan Stephenson, Sarkis Jebejian and Eric Hilfers.

Based in Cranbury, N.J., Kos Pharmaceuticals, Inc. ("Kos" or the "Company") – named after the Greek island where Hippocrates founded the science of medicine – is a fully integrated specialty pharmaceutical company engaged in the development of proprietary prescription pharmaceutical products, principally for treatment of cardiovascular, respiratory and metabolic diseases. The Company’s principal product development strategy is to reformulate existing pharmaceutical products with large market potential to improve safety, effectiveness and patient compliance.

Under the terms of the agreement, Abbott will make a tender offer for all of the outstanding stock of Kos for $78 per share.

Holland & Knight has represented Kos in two public offerings and a number of acquisitions for approximately 10 years.

Holland & Knight's Chicago Office Continues Expansion With Arrival of Experienced Trial Lawyer
Holland & Knight's Chicago office bolsters its commercial litigation and government practices with the addition of prominent attorney Oran Whiting as partner.

A distinguished lawyer with experience in complex litigation and healthcare matters, Whiting will add significant depth to the firm's established litigation practice, particularly in the areas of employment, health care, governmental affairs and regulatory law.

"Oran is an accomplished lawyer whose litigation experience will greatly enhance our ability to provide our clients with the highest level of insight and advice," said Malcolm "Chip" Brooks, practice group leader for the Chicago Litigation group. "His governmental service, particularly as a judicial appointee, brings a unique perspective to the firm. We look forward to integrating his expertise with the talents of our other top-notch lawyers."

"Oran's arrival is the latest in a series of strategic growth moves for the firm's Chicago office, designed to expand and diversify our core practice groups in a meaningful way for the benefit of our clients," said Steve Elrod, executive partner of the firm's Chicago office. Recent arrivals include Illinois government lawyers Elliot Regenstein and Jonathan Furr and Banking and Finance lawyer Frank Keldermans.

Prior to joining Holland & Knight, Whiting was a partner with Much Shelist Freed Denenberg Ament & Rubenstein, P.C. He also served as commissioner on the Illinois Court of Claims, where he presided over all phases of cases and drafted more than 25 trial opinions. As former counsel to the Speaker of the Illinois House of Representatives, he assisted with drafting and critiquing the Illinois tort reform legislation and advised on proposed legislation.

Whiting is a member of the American Bar Association, Chicago Bar Association, Cook County Bar Association and American Academy of Hospital Attorneys. He earned his J.D. from Georgetown University Law Center (1986), and a B.S. in economics and B.A. in international relations from The Wharton School at the University of Pennsylvania (1983). Whiting serves on the board of Sargent Shriver National Center on Poverty Law.

Dykema Adds Ray McGaugh in Chicago
Dykema, a premier Midwest-based law firm, today announced the addition of Raymond S. McGaugh to its Corporate Finance practice in Chicago. McGaugh joins Dykema from Greenberg Traurig, LLP.

"Ray brings more than two decades of venture capital, corporate and public finance, and commercial lending experience that will serve to compliment the existing strengths of Dykema’s distinguished Corporate Finance practice," said Rex Schlaybaugh, Dykema’s Chairman and Chief Executive Officer. "Ray’s arrival signifies our continued expansion of our business services capabilities in the Midwest."

Dykema’s Corporate Finance attorneys provide general business advice and corporate legal services to both domestic and foreign entities that are privately and publicly owned in a full range of corporate finance matters including public and private capital raising, securities regulation, corporate governance, structured finance and securitizations, mergers and acquisitions, public finance, and venture capital. McGaugh’s move to Dykema’s Corporate Finance Practice comes less than a month after Chicago attorneys Kevin Slaughter and Vernon Kowal joined the group.

New York Office Presented with Legal Aid Society’s Pro Bono Award For Third Consecutive Year
For the third consecutive year, The Legal Aid Society of New York has honored the New York office of Cooley Godward Kronish LLP with its Pro Bono Award for outstanding service to clients in immigration cases. In addition to the firm-wide award, seven individuals also received individual Pro Bono Awards at the presentation ceremony. The individual recipients include New York associates Mina Kim, Michael Klein, Benjamin Kleine, Jason Koral, Shannon McKinnon, Gregory Plotko and Marisa Megur Seifan.

Every year, the Legal Aid Society recognizes the outstanding work of volunteer lawyers who participate in the Society's Pro Bono Program, which provides legal services to low income New Yorkers. Founded in 1876, the Legal Aid Society is the nation's oldest and largest provider of legal services to the indigent. The Society's core service is to provide free legal assistance to New Yorkers who live at or below the poverty level and cannot afford to hire a lawyer when confronted with a legal problem. The New York office of Cooley Godward Kronish has been honored with the firm-wide Pro Bono Award in 2004, 2005, and 2006.

Womble Carlyle Adds Fourteen Lawyers in Four North Carolina Offices
Womble Carlyle Sandridge & Rice, PLLC today announced that fourteen new lawyers have joined Womble Carlyle's Charlotte, Greensboro, Research Triangle Park and Winston-Salem offices. Twelve of the new attorneys come to the firm as entry-level attorneys and two of them are lateral attorneys. Thirteen of these attorneys worked previously as summer associates with the firm.

Stone Speaks on SEC Regulation Outside the United States
Hong Kong partner Jonathan Stone spoke at InvestoRegulation’s fifth annual conference in Hong Kong on “SEC Regulation Outside the United States.” For the fourth consecutive year, Mr. Stone shared the podium with Mauri Osheroff, a member of the Division of Corporation Finance of the Staff of the U.S. Securities and Exchange Commission. In the morning session, Mr. Stone spoke on the effects of the Securities Offering Reforms on underwriting agreement, comfort letter and disclosure opinion practice. In the afternoon session, he spoke on the recent changes to the “All Holders/Best Price” rule as well as going-private transactions for foreign issuers subject to Rule 13e-3 under the Securities Exchange Act of 1934.

New York Office Partners Speak at PLI Patent Litigation Course
New York patent litigation partner Connie Huttner and intellectual property and technology partner Douglas Nemec were among the speakers at the Practising Law Institute's "Patent Litigation 2006" program, which will be held in four different cities this fall. Ms. Huttner, one of the program's co-chairs, provided the program overview. Mr. Nemec was one of the speakers discussing "Proving Damages and Issues to Consider in Pursuing and Defending the Damages Case." Other topics examined during the course of the program included claim construction and proving infringement, discovery issues, preliminary and permanent injunctions, enablement and written description, the impact of Knorr-Bremse and Section 337 litigation at the ITC. The northern Virginia seminar was held September 11-12, the San Francisco seminar was held September 25-26, the Chicago Seminar was held October 23-24, and the New York seminar was held November 6-7. PLI offered a live webcast of the San Francisco seminar.
