McConaghy Lectures at Loyola Law School Los Angeles
John D. McConaghy, a partner in the firm’s Intellectual Property Group and managing partner of the firm’s Los Angeles office, will speak at the Special IP Focus Series at Loyola Law School, Los Angeles this September.

Jack’s lecture will focus on the implications of KSR and how the new standards effect both patent prosecution and the efficacy of patents.

Briggs and Morgan Elects Five Attorneys as Shareholders
Five attorneys have been named shareholders in the firm Briggs and Morgan, Professional Association. The new shareholders are: Andrew M. Baese, Elizabeth M. Brama, Max C. Heerman, Alison J. Midden and Alec C. Sherod.

Drew Baese is a member of the firm’s estate planning and administration section, where he assists with drafting wills and trusts, administering trusts and estates, and preparing related federal income and estate tax returns.

He is a member of the Minnesota State and American Bar associations, as well as the MSBA probate and trust section, recently elected to its counsel, and the section’s legislative committee (which drafted provisions of the Uniform Principal and Income Act adopted by the Minnesota legislature in 2001). Baese is also a member of Briggs and Morgan’s Pro Bono Committee.

Baese has been recognized as a “Rising Star” by Minnesota Law & Politics. He received his law degree cum laude from the University of Minnesota Law School and his B.A. magna cum laude in economics and Russian from St. Olaf College. He joined Briggs in 2001.

Elizabeth Brama is a member of the firm’s business litigation section, practicing primarily in complex commercial litigation. She has been involved in finance and accounting disputes, labor and employment matters, appellate and administrative practice, and environmental disputes.

Brama has been named an “Up and Coming Attorney” by Minnesota Lawyer. She is a member of Minnesota Women Lawyers; the American, Minnesota State and Hennepin County Bar associations; and the MSBA Professionalism Committee. In the community, she has been a Hennepin County guardian ad litem since 2001 and serves as board president for the Sexual Violence Center.

Brama received her law degree magna cum laude from the University of Minnesota Law School and graduated from the University of St. Thomas summa cum laude with a B.A. in accounting. She has taken and passed the Minnesota CPA exam. Prior to joining Briggs in 2002, she clerked for Chief Justice Kathleen A. Blatz and served as legal counsel for the 2001-2002 Minnesota Special Redistricting Panel.

Max Heerman is a member of the firm’s business litigation section. He has a diverse range of legal experience. Since joining Briggs, he has defended companies in complex tort litigation and employment cases. He has also represented clients in shareholder disputes and finance-related litigation involving allegations of fraudulent transfer, breach of fiduciary duty and violations of creditors' rights.

While previously practicing with a Washington, D.C. firm, Heerman represented mass tort victim constituencies in substantial corporate reorganizations. He also worked for creditors committees in the bankruptcy proceedings of other companies burdened by asbestos liability and mass personal injury claims.

Heerman received his law degree cum laude from the Northwestern University School of Law in Chicago and his B.A. with honors from Northwestern University. He joined Briggs in 2005.

Alison Midden is a member of the firm’s estate planning and administration section, practicing primarily in the areas of estate planning, estate and trust administration, and nonprofit law. She is a member of Minnesota Women Lawyers and the Ramsey County and American Bar associations. She has been recognized as a “Rising Star” by Minnesota Law & Politics.

Midden received her law degree magna cum laude from William Mitchell College of Law and her B.A. in English from the University of Wisconsin, Madison. Prior to joining Briggs and Morgan in 2001, she clerked for Judge Harriet Lansing at the Minnesota Court of Appeals.

Alec Sherod is a member of the firm’s business law section, practicing in the areas of mergers and acquisitions, corporate strategy and governance, corporate finance, securities regulation, and general corporate counseling. His concentration is mergers and acquisitions, venture capital financing, and business and commercial transactions. He also counsels clients on such matters as shareholder agreements, entity selection and formation, and general contract law.

Sherod is a member of the American Bar Association. He received his J.D. from the University of Iowa School of Law and his B.B.A. in accounting from the University of Iowa. Prior to joining Briggs in 2005, Alec practiced with a law firm in New York City and was general counsel of a private equity company in Colorado.

DLA Piper providing pro bono leadership and counsel to The Middle East Investment Initiative
DLA Piper US LLP is providing extensive pro bono legal and government affairs counsel to the recently launched Middle East Investment Initiative (MEII), an international public-private sector collaboration intended to help the Palestinian people create a more prosperous and secure future.

MEII is a unique partnership between the Aspen Institute, the U.S. Government’s Overseas Private Investment Corporation (OPIC) and the Palestinian Investment Fund. MEII was officially established with a formal signing ceremony in Ramallah, on the West Bank, on July 25th, attended by Palestinian Authority President Mahmoud Abbas, Under Secretary of State for Public Diplomacy and Public Affairs Karen P. Hughes, OPIC President and CEO Robert Mosbacher, Jr., and Berl Bernhard, a senior partner at DLA Piper.

The centerpiece of the initiative is a $228 million loan guarantee program dedicated to helping improve Palestinians’ economic prospects, targeting small and medium size businesses which represent almost 90 percent of all registered Palestinian businesses. The program provides incentives for Palestinian banks to increase lending to these enterprises, in the process creating thousands of new jobs, and a more stable economic and political future for the region.

Bernhard, a partner in DLA Piper’s Government Affairs practice, is MEII’s Chairman. James Pickup, also a partner in DLA Piper’s Government Affairs practice, serves as General Counsel of MEII. In addition, other DLA Piper professionals have been active in launching the MEII and will continue to play important roles in the ongoing functioning of the program.

Bernhard, who is also a trustee and former chairman of the Aspen Institute, stressed that the innovative program is both a direct response to the deteriorating economy in the West Bank, and a recognition of the important role that stable local economies will play in achieving a durable peace in the region. The organizers hope to eventually expand the program to Gaza.

In an August 1st op-ed in The Aspen Times titled “Why wait for peace?,” Bernhard wrote: “We should advance the possibility for peace however we can – even if that means one business, one job and one family at a time.”

In an interview with the U.S. State Department’s USINFO news service, Bernhard added that any success in improving the Palestinian economy “could help give breathing time for other people to try to negotiate a peaceful settlement” to the Israeli-Palestinian conflict.

Loeb & Loeb Adds Four Attorneys
Loeb & Loeb LLP announced today that four attorneys have joined the firm’s Advertising and Promotions Practice Group in the New York office. Rose Meade Hart and Pam Benjamin join as Senior Counsel and Drew Weinstein and John Um join as associates. The laterals join a group of nearly 50 attorneys who practice in the firm’s Advertising and Promotions and Entertainment and Media Groups.

These additions are part of the continuing expansion of the Entertainment and Advertising Groups with lawyers who specialize in advertising, media, technology and content. Recently, the New York office hired lateral Tom Guida whose practice focuses on the development, licensing, financing and protection of intellectual property assets, with a particular emphasis on digital and interactive media, branded entertainment, entertainment technology and complex licensing transactions. Also an expert in domain name disputes, Guida is the fourth partner to practice in the IP area to join in the past few months.

“The explosion of deals bringing advertising together with entertainment content to an array of devices and evolving media platforms indicates where our business is today,” said James Taylor, the Chair of Loeb & Loeb’s Advertising and Promotions Group. “Our newest additions to the team have the background our clients need in the current market which is driven – more than ever before - by the convergence between technology, advertising and entertainment.”

Futrell Inducted into the Litigation Counsel of America
Jones Walker partner Elizabeth J. Futrell was inducted into the Litigation Counsel of America at the LCA's Spring Conference and Induction of Fellows in New York. The Litigation Counsel of America is a trial lawyer honorary society whose membership represents the best in law. Less than one-half of one percent of American lawyers are granted fellowship in this highly selective group. Fellows are selected based on effectiveness and accomplishment in litigation at both trial and appellate levels and superior ethical reputation.

ABA Honors Sullivan for Leadership as Founding Chair of AIDS Coordinating Committee
Jenner & Block Partner Barry Sullivan was recently honored for his leadership as Founding Chair of the American Bar Association’s AIDS Coordinating Committee at the ABA’s Annual Meeting, held August 9-14 in San Francisco.

In celebration of the Committee’s 20th anniversary, the ABA recognized Mr. Sullivan along with former ABA President Robert MacCrate, former Section of Individual Rights and Responsibilities (IRR) Chair William L. Robinson, former IRR Section Council member Abby Rubenfeld and Alexander D. Forger of the New York bar for their “pioneering efforts to engage lawyers in the response to the AIDS crisis.”

According to current Committee Chair Shelley D. Hayes, Mr. Sullivan and the other bar leaders responsible for founding the Committee sought to address then-unfolding legal issues arising from the AIDS pandemic. Under Mr. Sullivan's leadership, the Committee published "AIDS: The Legal Issues," a 250-page volume outlining the law and policy issues presented by the AIDS epidemic in July 1988 and secured adoption by the ABA House of Delegates of the Committee's Omnibus Policy on AIDS at the ABA's 1989 annual meeting. The Committee also produced a benchbook on AIDS for use by judges, several whitepapers on AIDS-related policy issues, a nationwide directory of legal resources for people affected by AIDS, a handbook for creating pro bono representation projects, and two videos on AIDS and the law under Mr. Sullivan's leadership. The Committee continues to organize the ABA's HIV/AIDS-related activities, develop policy recommendations, and encourage new ABA-sponsored HIV/AIDS-related programs. In recent years, the Committee has become an increasingly active participant in AIDS legal and policy issues in the international arena.

At the Annual Meeting, Mr. Sullivan participated in the Committee’s 20th Anniversary Program entitled, “Sex, Drugs, and the Law: The ABA’s Response to HIV/AIDS.” The session reviewed the evolution of AIDS-related legal and policy issues, examined their ever-growing impact on society, and discussed ways in which lawyers can help prevent the spread of HIV.

Mr. Sullivan, Co-Chair of the Firm’s Appellate and Supreme Court Practice, served as Founding Chair of the ABA AIDS Coordinating Committee from 1988-1994. Mr. Sullivan has since held several ABA leadership positions, including two terms on the ABA Standing Committee on Amicus Curiae Briefs, and was recently appointed as a member of the ABA's Standing Committee on Professional Discipline. He also currently serves as a member of Council of the Section on Legal Education.

Holland & Knight Represents PharMerica Corporation in Creation of the Company
AmerisourceBergen Corp. (NYSE: ABC) and Kindred Healthcare, Inc. (NYSE: KND) have recently completed the transaction which combines their respective institutional pharmacy businesses to create PharMerica Corporation, a new, independent, publicly traded company.

Holland & Knight LLP represented PharMerica in the creation of the $2 billion company, which is listed on the New York Stock Exchange (NYSE: PMC) and began trading on August 1.

The Holland & Knight team was led by Jeffrey Mittleman, a partner in the firm's Boston office and a member of the firm's Health Care Group and Corporate/M&A Group. An extensive team of close to 40 Holland & Knight lawyers assisted in the transaction, including significant contributions from Jim Lurie, Richard Yanofsky, Kerry Kehoe, David Santeusanio and Danielle Price.

The complex transaction required a cross-functional Holland & Knight team handling M&A, securities, intellectual property, a $425 Million credit facility, real estate, IT outsourcing, licensing, health and pharmacy law, tax issues and governance issues.
