James C. Wright Joins Garan Lucow Miller’s Ohio Law Practice Group
James C. Wright, an associate with Garan Lucow Miller, P.C., is joining the law firm’s Ohio Law Practice Group. Wright has been with the law firm since January 2005 and recently passed and was admitted to the Ohio Bar. He also is a member of the Michigan Bar Association.
Wright’s areas of practice include insurance defense, no-fault automobile and premises liability. The Ohio Law Practice Group handles complex issues related to the Michigan No-Fault Act, other litigation and interstate subpoena and jurisdictional issues. Wright’s knowledge includes the bar and local court rules for state and federal trial and appellate courts in both Michigan and Ohio.

Simpson Thacher Represents Issuers in Initial Equity Offering of SONDA S.A.
The Firm represented SONDA S.A. in connection with its initial offering of 200,000,000 shares of its common stock, listed on the Santiago Stock Exchange, for an aggregate price to the public of $213,000,000. The offering, which closed on November 7, 2006, was to the public in Chile and pursuant to Rule 144A in the United States.

SONDA provides IT services, software and hardware to businesses throughout the world. It is the largest technology solutions provider in Latin America and one of Chile's leading companies.

Simpson Thacher Represents Mizuho Financial Group in Listing on the NYSE
The Firm represented Mizuho Financial Group in connection with its listing today on the New York Stock Exchange of American Depositary Receipts representing shares of its common stock. Mizuho is one of the largest financial institutions in the world with over $1.2 trillion in total assets and a market capitalization of over $92 billion. Mizuho provides a broad range of financial services, including banking, securities, trust and asset management services, both in Japan and globally. Mizuho is the first Japanese company to list on the New York Stock Exchange and register with the United States Securities and Exchange Commission since the enactment of the Sarbanes-Oxley Act of 2002.

Blue City Development in Oman Completes US$925,000,000 Bond Financing
Teams led by Julian Tucker at Shearman & Sterling LLP and David Bickerton at Clifford Chance have completed a unique, rated, bond financing for the development of Phase 1 of the Blue City project in the Sultanate of Oman.

The project, when completed, will involve the creation of an entirely new city comprising residential, retail, commercial, education, hospital and leisure properties and facilities. Phase 1 will include the building of over 200 villas and nearly 5,000 apartments, four hotels, five retail areas and two golf courses. The overall development is intended to be completed over the next 15-20 years.

The bond issue, one of the senior classes of which is rated investment grade by Fitch, involved the use of classic "whole business" securitisation technology combined with project and property finance techniques. The bonds are listed on the Irish Stock Exchange.

Commenting on the transaction, Shearman & Sterling partner Julian Tucker said:

"A key to the success of a deal as complex as this is team work between the lawyers. We were looking at a new jurisdiction and legal regime and trying to adapt well known concepts to that framework. Coupled with that is the use of multi (as opposed to mono) line insurance and significant project development issues. The London office has demonstrated its ability to combine all of its skills in the finance arena in pulling together a rated structured finance deal in the region without 100% cash backing or insurance. It's exactly the sort of transaction which attracted me to Shearman & Sterling."

Shearman & Sterling acted for Bear Stearns as arranger and the other managers. Clifford Chance acted for the project sponsors and the Blue City Group. Allen & Overy acted for Bank of New York as Bond and Security Trustee.

The Shearman & Sterling team included counsel Elisabeth Baltay, senior associate Ben Shorten in relation to the project and development aspects and associate Sharon Yeh on the bond financing, all assisted by Robert Davy, Sarah Hammond, Sarah Tighe and Laura Capelin. New York partner Joel Klaperman provided US securities law advice and London partner Ian Nisse real estate input.

The Clifford Chance team also included partners Iain Morpeth and Tim Steadman assisted by Nicholas Hilder on the real estate and construction side, with associates Derwin Jenkinson and Debby Davidson assisting in respect of the bond issue. Partner Michael Dakin advised on US securities law.

In a joint statement, Julian Tucker and David Bickerton said:

"Each of us and our respective teams is proud to have been involved in this landmark transaction in the Gulf region. The Blue City project is an important development not only for Oman itself but for the area as a whole. We are glad to have been instrumental in bringing this transaction to market and a successful close.
