Mergerstat Ranks Alston & Bird 20th Among the Top 50 Legal Advisors
In its July report, Mergerstat® ranked Alston & Bird 20th among the top 50 legal advisors based on the number of deals handled through the end of July. Since the beginning of the year, Alston & Bird attorneys handled 35 deals for a total value of $11.3 billion.

Robinson & Cole LandLaw Associate is Appointed to NYSBA’s Young Lawyers Section’s Executive Committee
John A. Poakeart, a member of the firm’s LandLaw Section, has been appointed to a leadership position on the Executive Committee of the New York State Bar Association's Young Lawyers Section. Specifically, Mr. Poakeart will be a representative of the Ninth Judicial District, which covers Dutchess, Orange, Putnam, Rockland and Westchester Counties. The NYSBA is the nation's largest voluntary statewide association of lawyers.

Insight Venture Partners Acquires Ziff Davis Enterprise
O'Melveny recently represented Insight Venture Partners in the leveraged acquisition of substantially all of the assets of Ziff Davis Enterprise ("ZDE"), a division of Ziff Davis Media, Inc., in a transaction valued at approximately $160 million.

The acquisition was financed by a combination of equity and debt consisting of a $101 million senior secured first lien credit facility and a $36 million senior secured second lien credit facility.

In connection with the acquisition, O'Melveny also represented Insight in the restructuring of one of its portfolio companies, Developer Shed, LLC. As a result of the acquisition and restructuring, Developer Shed, LLC and ZDE now exist as sister subsidiaries under an Insight-controlled holding corporation.

The acquisition and restructuring team included New York partner Ilan Nissan, associates Paul Cicero and Sarah O'Sullivan, and summer associate Courtney Mitchell.

Partner Fred Bachman, counsel Sung Pak, and associates Jared Spitalnick and Sarah O'Sullivan advised with respect to the debt financing portion of the transaction. Associate Maria Corsaro advised on benefits, compensation, and labor matters, and provided advice on a variety of employment and stock option agreements.

Partner Russ Pinilis and associate Tamara Tapoohi provided tax advice. Partner Claudia Ray and associate David Marden advised on intellectual property matters.

Associate Heather Johnston advised on real estate matters. Counsel Rebecca Farrington advised on antitrust matters. Partner Evan Jones and counsel Austin Barron advised with respect to issues relating to the acquisition of distressed assets. Associate Emma Brady assisted with the restructuring of Developer Shed, LLC.

Ziff Davis Enterprise is a leading integrated media and demand generation company serving the technology and video game industries.

Developer Shed, LLC manages 18 complementary websites and forums providing news, advice, and product information to developers and programming professionals in the information technology industry.

Fulbright Strengthens International Disputes Team with London Partner
Chris Warren-Smith, a leading international disputes lawyer, has joined the international law firm of Fulbright & Jaworski L.L.P. Warren-Smith joins Fulbright as a partner and will head the International Financial Services Disputes Practice.

Warren-Smith is the latest in a number of recent key hires made by the firm’s London office. Jeremy Sheldon joined Fulbright as an energy projects partner in March.

Warren-Smith joins Fulbright’s rapidly expanding London location from Barlow Lyde & Gilbert, where he headed the Financial Services Regulatory Team and the Banking Litigation Team. He has considerable experience, including more than two decades handling heavyweight litigation, arbitration, international dispute resolution and investigations. Warren-Smith brings a notable mix of experience as Fulbright continues to expand to serve the firm’s international clients from a growing global platform.

Having recently handled high-profile cases involving Shell Reserves, Split Capital Investment Trusts, banking overdraft charges and finite reinsurance, Warren-Smith additionally is well-known for his work for clients during the Barings and Maxwell collapses. His financial services and insurance experience includes disputes in jurisdictions across the globe. Warren-Smith has also represented companies in foreign investigations in jurisdictions beyond the United Kingdom, such as the United States, Australia and the Channel Islands.

“With over 400 litigation and dispute resolution lawyers worldwide, we are seeing an increase in the complex international disputes and investigations we handle on behalf of our clients,” said Steven B. Pfeiffer, Chair of Fulbright’s Executive Committee. “Chris’ strong experience will definitely enhance our expanding global practice.”

Stephen C. Dillard, who heads Fulbright’s worldwide litigation practice commented, “Chris has a track record of accomplishments that is extraordinary. He is exactly who we were looking for as we continue to expand this core practice at Fulbright. He is joining forces with Lista Cannon, and together they will lead a formidable team in London.”

Cannon, who heads Fulbright’s London office, will oversee the International Disputes practice with Warren-Smith.

“We are increasingly involved in transnational disputes and enforcement proceedings, which require the depth of experience that Chris has,” she said. “Chris and I have worked together for many years, and I am pleased that he will join our London office at such an integral time.”

For Warren-Smith, Fulbright is a perfect fit given the firm’s litigation and disputes practice has been a cornerstone of the firm since its founding in 1919.

Covington Advises Perella Weinberg on Lamson & Sessions Acquisition
Lamson & Sessions announced that it has entered into a definitive merger agreement to be acquired by Thomas & Betts Corporation for approximately $450 million in cash. Covington & Burling LLP advised Perella Weinberg Partners, financial advisor to Lamson & Sessions, on the transaction.

Perella Weinberg Partners is an independent, privately owned financial services firm that provides corporate advisory and asset management services to clients around the world. Lamson & Sessions is a leading producer of thermoplastic enclosures, fittings, conduit and pipe, and wiring devices for the electrical, telecommunications, consumer, power and waste water markets. Thomas & Betts Corporation is a leading manufacturer of electrical components used in construction, industrial and utility markets.

The Covington corporate team, based in New York, included partner J. D. Weinberg and associate Frank London.

Mary B. Meeks Elected to the Board of the Metropolitan Business Association of Central Florida
Carlton Fields Orlando Shareholder, Mary B. Meeks, was recently elected to the board of the Metropolitan Business Association (MBA) of Central Florida.

Meeks is certified by the Supreme Court of Florida as a Circuit Court and County Court Mediator. She is also qualified as an appellate mediator for Florida’s Fifth District Court of Appeal. Practicing law for over 19 years in Central Florida, Meeks concentrates in employment and labor law as well as a general trial and appellate practice of commercial disputes. She received both her B.S., with highest honors, in 1985 and her J.D., with honors, in 1988 from Campbell University in North Carolina.

Over 200 members strong, the Metropolitan Business Association is Central Florida’s GLBT chamber of commerce. Baker & McKenzie Advises Kingdom Hotel Investments on its Acquisition of Four Seasons Jakarta
Baker & McKenzie.Wong & Leow has advised Kingdom Hotel Investments (“KHI”), the leading international hotel and resort investment company chaired by HRH Prince Alwaleed Bin Talal, on its acquisition of the Four Seasons Hotel Jakarta, Indonesia for US$48 million. The acquisition is KHI’s first in Indonesia and reflects the Group’s investment and diversification strategy in high growth emerging markets.

The hotel opened in 1995 as the Regent Jakarta and, following a substantial refurbishment, was reopened in July 2004 as the re-branded Four Seasons Hotel Jakarta. It is located in the heart of Jakarta's Golden Business Triangle, the commercial, political and cultural hub of Indonesia. This 365-room hotel is one of the most established hotels in the region. It has good access to the international airport and city attractions such as the National Monument.

This transaction further expands KHI’s portfolio in Asia to nine properties in seven countries, which now includes the Indonesian hotel market, a market showing real signs of recovery and development, fuelled by economic growth and increases in travel and tourism to the region.

KHI will own an 81.9% stake in the hotel.
