V&E Partner Glen Rosenbaum Honored by Anti-Defamation League
Over the course of a 33-year career at V&E, Glen Rosenbaum's ardent pursuit of community service has been rivaled only by his desire to remain behind the scenes.

"I find that generally a lot more can be accomplished if it's done that way," he said. "It attracts less attention, you can focus solely on getting the project done, and then move over to the next one."

Indeed, his quiet contributions have touched thousands of lives in Houston, from those who deal with bigotry or hunger on a daily basis to those who attend opera and ballet performances at the Wortham Theater Center.

On Nov. 16, those efforts and others will be celebrated by the Anti-Defamation League, which will honor Mr. Rosenbaum with its 2006 Torch of Liberty Award for his support of the ADL and its mission.

The award, which will be presented to Mr. Rosenbaum at a dinner at the Westin Galleria hotel, is given annually to a business or civic leader in recognition and appreciation of that person's efforts to promote respect, fight hatred and bigotry, and support fair treatment for all.

Mr. Rosenbaum joined the Southwest Region ADL board 22 years ago and also has served as board chair and a national commissioner in addition to raising funds for the nonprofit organization.

One of the state's leading tax attorneys, he is the second V&E lawyer to receive the Torch of Liberty Award. Harry M. Reasoner, a V&E partner and former managing partner of the firm, was recognized for his contributions to the ADL and community along with his wife, Macey, in 1992.

"Vinson & Elkins is very proud of Glen," Mr. Reasoner said. "His many and varied contributions to our community epitomize the legal profession at its best."

Mr. Rosenbaum credits his parents and other family members for his extensive community involvement. Max and Helen Rosenbaum, who owned a retail clothing store, impressed upon him by their example the importance of aiding others. In addition, several relatives were notable contributors to the early development of the city, including Nathan Klein, who funded many Houston charities and was founding president of Congregation Emanu El, and Maurice Dannenbaum, who among other things was responsible for opening the ADL's Southwest Region office in Houston in 1952.

Mr. Rosenbaum is a staunch advocate of the ADL's many initiatives, including the No Place for Hate® Program, which is the cornerstone of the ADL's anti-bias and diversity efforts in the Southwest Region. Launched in schools, the popular program has been embraced by 70 campuses since its inception in 2001, including many in the Houston area and others in Austin and Round Rock.

That program, in particular, is important to Mr. Rosenbaum, who from time to time endured slurs and taunts about his Jewish heritage as a youth.

"My parents always taught me that when people call you names it is their problem, not yours," said Mr. Rosenbaum, whose mother, Helen, survived the Holocaust. "But when it happens to you, it clearly gives you a greater understanding and empathy for people who deal with racism or discrimination of any kind."

Beyond ADL, Mr. Rosenbaum's contributions to the city are numerous and diverse.

A loyal supporter of the arts, his pro bono work at V&E for the Houston Grand Opera and the Houston Ballet Foundation helped develop the Wortham Theater Center, the primary performance and rehearsal facility for those two organizations. Other notable efforts include his legal work for and service on the board of The Houston Music Hall Foundation, which constructed and now operates the Hobby Center for the Performing Arts.

Meanwhile, Mr. Rosenbaum helped bring the Dead Sea Scrolls exhibit to the Houston Museum of Natural Science two years ago through his work with the Dead Sea Scrolls Foundation. And his efforts as president and a board member of the Houston Food Bank Endowment help feed, with the support of countless others, needy area residents.

"Glen's commitment to community service is extraordinary and his work has benefited countless residents across the state," said Joe Dilg, managing partner of V&E. "Vinson & Elkins would like to congratulate him on this well-deserved award and thank him for his dedication to our firm and our community.

Neuhardt Comes to Thompson Hine's Columbus Office
Sharen Swartz Neuhardt, a partner and the leader of Thompson Hine's Corporate Transactions & Securities practice group, will now be practicing out of the firm's Columbus office. She focuses her practice on corporate, commercial, computer and securities law matters, including financings, licensing transactions and mergers and acquisitions. Sharen has practiced out of the Thompson Hine Dayton office for several years and prior to joining the firm, she was Vice President and General Counsel for Mead Data Central, Inc., now known as LexisNexis.

"I'm very excited about the opportunities in the Columbus corporate market, " said Sharen. "The Greater Columbus area is a jewel for Ohio, housing numerous successful and emerging businesses, both public and private."

Pillsbury Winthrop Shaw Pittman Represents Cottage Bakery in Ralcorp Deal
Edward A. Perron, a partner in the Los Angeles office of Pillsbury Winthrop Shaw Pittman, led a team of attorneys representing Cottage Bakery, Inc., in its $170.8 million cash acquisition by Ralcorp Holdings, Inc., a St. Louis-based food producer. In January 2007, Ralcorp will purchase the real estate associated with the business.

Cottage Bakery is a leading producer of the highest quality artisan breads, cakes, cookies and frozen dough products. It is located in Lodi, Calif., and operates one manufacturing facility there employing 690 people. After the acquisition, Cottage Bakery will maintain its Lodi facility, which will also house its current management group.

The deal was announced in October and closed in November. Cottage Bakery will become part of Ralcorp's Frozen Bakery Product segment.

“Cottage wasn't a client of the firm until this acquisition and our engagement was the result of a beauty contest,” Perron said. “Cottage was a family-owned business that had not been involved in mergers or acquisitions in the past, so they were looking for a firm with the capabilities and resources pertinent to a deal with a large, sophisticated acquiror. We were chosen because of our recent experience representing clients in several middle market deals, including five since last fall for our Los Angeles group. In a sense, it was the classic 'hired gun' scenario in which we acted as acquisition counsel, supported by Cottage's local counsel in Stockton.”

The attorneys working on the deal for Cottage Bakery include Perron, partner Christopher H. Patay, partner William S. Waller, partner Dana P. Newman, partner Sheryl E. Stein, partner Cindy V. Schlaefer, counsel Chuca Meyer, senior associate Wansun Song, senior associate Andrew B. Grossman and associate Nicholas T. Dierman.

SCHIFF HARDIN HOSTS INDIAN AMERICAN BAR ASSOCIATION'S ANNUAL MENTORING RECEPTION
While being regaled with humorous stories, Chicago-area law school students were taught the value of mentoring relationships at the Indian American Bar Association's (IABA) annual Mentoring Reception. The event was held on November 8 at Schiff Hardin’s office in Chicago. IABA-Chicago paired students from several of the law schools with South Asian attorneys.

Schiff Hardin attorneys Patricia Brown Holmes, Naser Baseer, and Sailesh K. Patel regaled the attendees with amusing stories and past experiences while illustrating how mentoring relationships provide advantages not only for law students but also for practitioners. The nearly 60 attendees shared common experiences, developed relationships and continued IABA-Chicago's tradition of fostering communication within the South Asian community.

King County Bar Association Honors Stoel Rives Attorneys for Pro Bono Work
Stoel Rives attorneys Maren Norton and Grant Wiens were recently named Volunteers of the Year by the King County Bar Association’s (KCBA) Kinship Care Solutions Project.

Norton and Wiens serve on a panel of attorneys who provide pro bono representation to low-income caregivers involved in nonparental custody cases. Kinship Care trains the volunteer attorneys, screens and assesses cases, and refers eligible clients directly to an attorney.

The KCBA selected Norton and Wiens as Volunteers of the Year because of their outstanding work and dedication in a particularly challenging trial. They shared the honor with attorneys Victoria Van Hof and L’Nayim Shuman-Austin, who had previously worked on the same case. They represented an aunt who raised a child from infancy. The child’s parents had a history of substance abuse and criminal activity. The mother filed a petition seeking to obtain immediate custody of the child, and the father separately petitioned for increased visitation rights. Both parents say they have overcome their earlier problems.

The case was hotly contested and complex, involving legal hurdles such as a recent appellate court decision that gives priority to biological parents’ custody rights. Nevertheless, Norton and Wiens persuaded the court to order a transition period for custody transfer, along with benchmarks the child’s mother must meet in order to gain full custody.

"We couldn’t be prouder of Maren and Grant," says Andrew Guy, Pro Bono Coordinator for Stoel Rives’ Seattle office. "They helped maintain a stable home environment for that child, and there’s no greater service to the community than protecting and nurturing the next generation.

William J. Walsh of Pepper Hamilton Lead Author on Article Regarding Hurricane Katrina's Environmental Impact
William J. Walsh, of counsel in Pepper Hamilton LLP’s Washington, D.C. office, recently served as lead author on an article regarding the environmental impact of floodwater sediment from Hurricane Katrina. The article was published by the Bureau of National Affairs, Inc. (BNA) in the Environmental Reporter (Vol. 37, No. 43).

The article, “An Evaluation of Chemical Contamination in the Aftermath of Hurricane Katrina,” finds that, contrary to initial concerns about the floodwaters containing a “toxic gumbo” that might have caused widespread residual chemical contamination, sampling did not find levels of chemicals significantly higher or different from the level found prior to Katrina (except in areas of known spills).

Mr. Walsh is head of Pepper’s Environmental Practice Group in Washington. He defends liability and negotiates technical solutions in lawsuits pursuant to a variety of environmental statutes and in personal injury litigation. He advocates changes to environmental regulations and policy and provides counsel on a broad range of environmental issues involving innovative scientific, regulatory, legal and policy questions.

Before joining Pepper in 1986, Mr. Walsh served as section chief of the U.S. Environmental Protection Agency (EPA) Office of Enforcement and was lead EPA counsel on the precedent-setting hazardous waste lawsuits brought against Occidental Chemical Corporation concerning the Love Canal and related landfills. He also worked in the Office of Water Enforcement.

Mr. Walsh has a long-standing history of pro bono work for the National Academies of Science (NAS), a nongovernmental organization which has provided advice to the U.S. government on a wide variety of science-related policy issues, including environmental issues. The article stemmed from his participation in “Strengthening Scientific and Technical Responses to Hurricane Katrina: A Meeting of Experts” – a seminar hosted by the NAS in November 2005.
