Santander Investment in IPO by Leading Chilean IT Company SONDA
Cleary Gottlieb represented Santander Investment as placement agent in SONDA’s approximately $215 million Chilean and international initial public offering of common stock. The 200,000,000 shares of Series A common stock were offered publicly in Chile and under Regulation S/Rule 144A outside of Chile. Approximately 30.6% of the shares were placed outside of Chile. The shares are listed on the Santiago Stock Exchange.

SONDA S.A. is a leading Latin American-owned technology solutions provider, with operations in Chile, Mexico, Brazil, Argentina, Costa Rica, Colombia, Ecuador, Peru and Uruguay.

Interpublic in $400 Million Convertible Note Exchange
Cleary Gottlieb represented The Interpublic Group of Companies, Inc. in the privately negotiated exchange of $400 million of its existing 4.50% convertible senior notes due 2023, for an equal principal amount of its new 4.25% convertible senior notes due 2023. UBS Securities LLC acted as dealer manager for the exchange, which closed on November 15.

The exchange, conducted as an exempt transaction under Section 4(2) of the Securities Act, was available to a limited number of qualified institutional buyers that held existing Interpublic debt.

Interpublic is one of the world’s leading organization of advertising agencies and marketing services companies. Major global brands include DraftFCB Group, FutureBrand, GolinHarris International, Initiative, Jack Morton Worldwide, Lowe Worldwide, MAGNA Global, McCann Erickson, Momentum, MRM, Octagon, Universal McCann and Weber Shandwick. Leading domestic brands include Campbell-Ewald, Carmichael Lynch, Deutsch, Hill Holliday, Mullen and The Martin Agency.

Attorney Stephanie M. Zimmerman Joins Clark Hill PLC
Attorney Stephanie M. Zimmerman has joined the Birmingham office of Clark Hill PLC as a member in the litigation group, CEO John Hern announced.

Zimmerman focuses her practice on real estate litigation, and has experience with construction and insurance disputes, mortgage foreclosures and defenses, receiverships, forfeitures, construction claims, liens, loan workouts, banking transactions, OTS and FDIC regulations, corporate acquisitions, negotiable instrument transactions, lender liability claims, as well as commercial business, troubled suppliers, requirements contracts, public bidding disputes, commercial licensing agreements, non-profit housing and neighborhood organization disputes, purchasing and sales of industrial equipment, manufacturing and related products.

Zimmerman has been practicing law for more than 20 years, and has represented individuals, corporations, banks, partnerships, limited partnerships, trustees and other entities in civil litigation matters involving claims and judgments over $25,000,000 in the United States District and Appellate Courts.

Zimmerman is admitted to practice in the Court of Appeals Sixth and Fourth Circuits, State of Illinois, State of Michigan and United States District Court for the Eastern District of Michigan.

Attorneys David M. Hayes and Duane L. Tarnacki Elected to Clark Hill PLC Executive Committee
Clark Hill attorney David M. Hayes has been reelected and attorney Duane L. Tarnacki has been elected to serve on the executive committee of Clark Hill PLC, firm CEO John Hern announced last month. The new term begins January 1, 2007.

David M. Hayes is a member in Clark Hill’s Detroit office, where he practices in the litigation practice group, focusing on a wide variety of sophisticated and complex litigation matters throughout the country. In the corporate and commercial area, he has litigated cases involving securities fraud, industrial property tax assessments, corporate takeovers and tender offers.

In the construction law area, Hayes provides a full range of service to owners, construction managers, contractors, architects, engineers, subcontractors and suppliers, including contract drafting and negotiation, contract administration, insurance and bond matters, liens, defect claims, delay and cost overrun claims, and dispute resolution in all forums. He has successfully tried complex construction cases before juries, trial judges, and arbitration panels.

Hayes is a member of the American Arbitration Association - Large Complex Case Panel of Arbitrators, the American Bar Association - Forum on the Construction Industry, a Fellow of the American College of Trial Lawyers, a member of the International Association of Defense Counsel and a member of the State Bar of Michigan. He has also been named repeatedly in the Best Lawyers in America publication, and was named in the inaugural edition of Michigan “Super Lawyers.”
