DLA Piper assists RBS in providing bid support for Derwent Valley Holdings' takeover bid for London Merchant Securities
DLA Piper have assisted The Royal Bank of Scotland (RBS) who have provided bid support to Derwent Valley Holdings plc (DVH), who have announced a takeover bid for London Merchant Securities plc (LMS). DVH and LMS are listed property companies.

RBS have provided an acquisition facility to underwrite DVH's cash alternative for its share-for-share offer. DVH is a surprise bidder for LMS but has their board's backing and has trumped potential rivals amongst the listed property sector.

The merger of the two companies will create Derwent London plc, a dynamic Central London specialist property company with a combined property portfolio of £2.25 billion.

DLA Piper partner, David Breakell commented: "This was an incredibly demanding deal that was completed in less than a week from instruction. RBS is an important client for us and we were delighted to assist in their bid support of this takeover.

Leah Bishop Named to Worth Magazine’s "100 Top Attorneys" List
Loeb & Loeb LLP announced today that trusts and estates attorney and partner Leah Bishop has been selected by Worth editors as one of "The 100 Top Attorneys" in the magazine's December 2006 issue.

Worth magazine editors solicit readers for recommendations of outstanding lawyers they have used for their personal needs, from trusts and estates work to philanthropy advice, to tax concerns. They also reach out to those in a professional position to know legal excellence: financial advisors, family office executives, accountants and consultants. The Magazine seeks attorneys who serve clients of sufficient net worth, who have deep experience in their fields and who have the professional affiliations and publishing history to indicate they could provide extraordinary expertise to a Worth reader. Each nominated attorney then completes a detailed questionnaire that discerns both straightforward, factual information and more nuanced qualities. Lastly, Worth's editorial staff performs background checks and then chooses those who truly stand apart. (Excerpted from Worth Magazine, December 2006).

"When we hired Leah earlier this year, we knew we were getting one of the very best trusts and estates lawyers in California," said Co-Chair of Loeb & Loeb, John Frankenheimer. "This ranking in Worth publicly confirms Leah's indisputable place as a leader in the industry and a stellar member of the Loeb team providing comprehensive legal and tax-related services to high net worth clients."

Leah Bishop focuses her practice on estate and gift tax planning for high net worth individuals and closely held businesses, and in the administration of estates and trusts. Ms. Bishop also has extensive experience in the areas of charitable giving and tax exempt organizations. Her estate planning experience includes all aspects of legal matters pertaining to high net worth individuals, including probate court procedures, living trusts, gift and insurance trusts and sophisticated transfer tax techniques. Her charitable giving and exempt organizations representation involves all aspects of tax and corporate nonprofit law. Ms. Bishop represents many leading Southern California private foundations, museums and other public charities.

Many of Loeb & Loeb's trusts and estates clients are high net worth individuals and their families. While many large law firms have abandoned the practice of estate planning and virtually abandoned the representation of families, Loeb & Loeb has devoted substantial resources to enhance these practice areas.
