Cherylle C. Corpuz Serves as National Judge for NAPABA Moot Court Competition
Of Counsel Cherylle C. Corpuz served as a National Judge to the 2006 Thomas Tang National Moot Court Competition hosted by the National Asian Pacific American Bar Association (NAPABA).

For this competition, Ms. Corpuz served as an appellate judge to a case involving complex immigration and criminal law issues, and scored the students for their responses to vigorous inquiry from the bench.

Held annually by NAPABA, the Thomas Tang National Moot Court Competition is an appellate advocacy competition providing students with an opportunity to develop and showcase their writing and oral advocacy skills. Named in honor of the late Honorable Thomas Tang, students compete for scholarships totaling $10,000.

Ms. Corpuz has extensive experience in multi-state representation of clients in all aspects of immigration law. In addition, Ms. Corpuz counsels hospitals, social services agencies and criminal defense attorneys in the area of immigration law. Before private practice, Ms. Corpuz served as Vice President of Nationalities Service Center, where she directed the non-profit legal services department and was responsible for the overall operations of a refugee resettlement organization. Nationalities Service Center is a United Way member agency which provides legal, social and educational services to immigrants.

A frequent speaker on immigration law topics, Ms. Corpuz served as a Clinical Instructor and continues to serve as a mentoring attorney with the Temple University School of Law Immigration Law Clinic. In addition, Ms. Corpuz is a member of the Executive Committee of the Philadelphia Chapter of the American Immigration Lawyers Association.

Fraser Stryker partner Mark Brasee has been selected for one of the Midlands Business Journal's "40 Under 40" awards. These awards honor the accomplishments of 40 Omaha area entrepreneurs, business executives, and professionals under 40 years of age. The award will be presented at a breakfast banquet on December 1, 2006.

Choate Hosts Seminar "To Arbitrate or to Litigate: Current Perspectives on Managing Complex Commercial Disputes
Choate was proud to present "To Arbitrate or to Litigate: Current Perspectives on Managing Complex Commercial Disputes," which took place on Wednesday, November 15, 2006, from 7:30am - 10:00am here at our Two International Place offices.

This event consisted of an interactive panel discussion featuring in-house counsel, alternative dispute professionals and lawyers from Choate's Litigation practice group. These panelists examined the current thinking on the relative advantages and disadvantages of resolving commercial disputes through arbitrations versus litigation, including questions of speed, predictability, cost, quality of outcomes and drafting considerations.

Peter Morgan Quoted Regarding US Airways-Delta Merger
Peter Morgan is quoted in an article, and its updates, "Hurdles seen for U.S. Airways' Delta bid; Democratic control of Congress could bring added scrutiny," regarding the regulation and political hurdles of the proposed US Airways takeover of Delta. "If they are able to push [the merger] through, you will certainly see someone like Continental looking around and saying, 'what's the right match up for us?" Peter also said that although the Justice Department has a history of allowing acquisitions of bankrupt companies to go through, this may be different. "It's not necessarily a slam dunk given what would emerge from this.

SQUIRE SANDERS PARTNER JAMES M. ZIMMERMAN TO LEAD AMCHAM-CHINA
James M. Zimmerman, a partner in global law firm Squire, Sanders & Dempsey L.L.P., has been elected chairman of The American Chamber of Commerce in the People’s Republic of China. His one-year term begins Jan. 1, 2007.
AmCham-China (www.amcham-china.org.cn) represents US companies and individuals doing business in the People’s Republic of China. Membership includes more than 2,100 individuals from more than 900 companies. The chamber provides a forum for Americans engaged in business in China and works with PRC and US government authorities to foster constructive commercial relations between the two countries.

“This is a tremendous honor for Jim, who has played a pivotal role on behalf of US industry in China,” said Squire Sanders chairman R. Thomas Stanton.

“Jim’s role in the US business community in China underscores the commitment of Squire Sanders to the China market and to our clients with operations in China,” Stanton said. Squire Sanders has a history of nearly 25 years in China, with full service offices in Beijing, Hong Kong and Shanghai.

Zimmerman, chief representative of the Squire Sanders’ Beijing office, has been active in China-related matters for more than 17 years and has lived and worked in that city since 1998. He represents multinational clients in a broad range of industries regarding their joint venture and manufacturing investments, liquidation and dissolution of investments, mergers and acquisitions, regulatory compliance issues, customs and trade matters, intellectual property registration and enforcement, and dispute resolution.

He is the author of several books, chapters and articles concerning China and trade-related issues including the China Law Deskbook (1999, 2005), a publication of the American Bar Association. Zimmerman is recognized as one of Asia’s leading business lawyers in the categories of Chinese Law and Dispute Resolution in the AsiaLaw Leading Lawyers Survey 2002, 2003 and 2006 (published by Euromoney Publications). He also is listed in the 2006 edition of The International Who's Who of Business Lawyers for Arbitration. In addition, he is listed as a Leading Individual in the Corporate/M&A category for foreign law firms in China in the 2004-05 and 2005-06 editions of the AsiaPacific Legal 500: The Guide to Asia's Commercial Law Firms.

Shearman & Sterling Advises on Acquisition of BlueStone TV Holdings, Inc.
Shearman & Sterling LLP is currently advising private equity investment firm Diamond Castle Holdings, LLC in an agreement by their affiliate Bonten Media Group LLC to purchase all of the issued and outstanding stock of BlueStone TV Holdings, Inc., a wholly owned subsidiary of BlueStone Television LLC and a portfolio company of Providence Equity Partners, Inc. for $230 million pursuant to a stock purchase agreement among Bonten, BlueStone TV, BlueStone and certain other parties for limited purposes. BlueStone Holdings owns and/or operates 14 television stations with multiple network affiliations in eight markets nationwide. The transaction is expected to close in the first half of 2007, subject to regulatory approval and other customary closing conditions.

Diamond Castle Holdings, LLC was founded in 2004 by five former managing directors of DLJ Merchant Banking Partners that focuses on investments in the power, financial services, media and communications, healthcare, and industrial sectors. Providence Equity Partners, Inc. is a private investment firm specializing in equity investments in media and communications companies. The principals of Providence Equity manage funds with over $9.0 billion in equity commitments and have invested in more than 100 companies operating in over 20 countries since the firm's inception in 1991.

Principal attorneys on the transaction include partner Stephen Besen (New York-M&A) and associates Sola Adepetu (New York-M&A), Sara Haskamp (New York-M&A), Andrew Noreuil (New York-M&A), and Henry Robbins (New York-M&A). Shearman & Sterling Advises Poltrona Frau on Market Debut
The Rome office of Shearman & Sterling acted as U.S. and English counsel to Charme Investments S.C.A. and Franco Moschini S.p.A., as selling shareholders, and Poltrona Frau S.p.A., as issuer, in connection with the initial public offering and concurrent listing on the Borsa Italiana of Poltrona Frau's ordinary shares. Poltrona Frau is the world's leading producer of luxury home furnishings and is well known in the design industry for its iconic brands, which include Poltrona Frau, Cassina, Cappellini, Alias, Gufram and Gebrüder Thonet Vienna.

The offering, which was oversubscribed more than 16 times (a record for recent Italian IPOs), represents a successful partial exit for Charme, which is a Luxembourg-based private equity fund specializing in "Made in Italy" luxury goods that was founded by Mr. Luca Cordero di Montezemolo, who is the current President of Confindustria and Chairman of Fiat S.p.A. and Ferrari S.p.A. Charme continues to control Poltrona Frau following the offering and has stated that it will continue to invest in the luxury home furnishings sector.

The Shearman & Sterling team was led by Rome-based Capital Markets and M&A partner Michael Bosco, assisted by associates Mei Lian, Ethan Perry and Emanuele Trucco and trainees Serena Scarabotti and Francesco Liberatori. The transaction also involved lawyers from the firm's International Tax Group led by London-based partner Bernie Pistillo and associate Sara Clevering.
