Fulbright Assists Rent-A-Center, Inc. in Acquisition of Rent-Way, Inc.
Fulbright & Jaworski L.L.P. assisted Plano, Texas-based Rent-A-Center, Inc., the nation’s largest rent-to-own operator, in its $576 million acquisition of Rent-Way, Inc., a NYSE rent-to-own company, in a transaction that closed on November 15, 2006.

Rent-A-Center’s in-house counsel Christopher A. Korst, Senior Vice President – General Counsel and Dawn M. Wolverton, Senior Counsel, tapped Dallas corporate partners, Thomas W. Hughes and James R. Griffin, and Scott M. Wilson, Dallas Sr. Associate, to lead a team of Fulbright attorneys in the transaction. Fulbright attorneys who assisted in the matter were Jessica Underwood (Dallas – Corporate), Josh Agrons, Amber Ervin and Nick Slavin (Houston – Financing), Alan Aronson and Kate Collum (New York – Employee Benefits), Jack Allender and Chris Lallo (Houston - Tax), Mark Weibel, Tracy Burks, Bryan Larson and Scott Rawdin (Dallas – Real Estate), Linda Merritt (Dallas – Intellectual Property), Patrick Gallagher and Carrie Johnson (Minneapolis – Intellectual Property), Dan Davison and Tricia Wisenbaker (Dallas - Litigation), Bill Finegan (Dallas - Labor and Employment), and Eva Fromm O’Brien and Paul Sarahan (Houston – Environmental). Deborah Feinstein of Arnold & Porter in Washington, D.C. handled antitrust matters on behalf of Rent-A-Center.

Rent-Way, Inc., a national chain based in Erie, Pennsylvania, was represented by Buffalo, New York partners John Zak and Paul Vallone of Hodgson Russ LLP.

Robert Hobbins on the New Supervisor Definition under the National Labor Relations Board Ac
Dorsey Labor and Employment Law partner Robert Hobbins discussed in the Star Tribune the significance of a recent National Labor Relations Board (NLRB) ruling on the definition of a supervisor. The ruling could potentially expand the definition of supervisor to as many as 8 million Americans in 36 occupations.

Hobbins suggests that the actual implementation of the rule will be less sweeping. Since the ruling, the NLRB has generally not applied the supervisor label to employees in its rulings. Furthermore, employers may hesitate to designate someone a supervisor, since that could make the company liable for that person's conduct (such as sexual harassment).

Cedric Lam on China's Underutilized ADR Mechanism for Patent Disputes
Dorsey Shanghai-based IP attorney Cedric Lam describes in IP Law 360 the little known Chinese alternative dispute resolution system for patent disputes. The free, out of court procedure is managed by China's State Intellectual Property Association (SIPO).

"Foreign companies normally just think they should sue in Chinese courts, but that's not necessarily the most effective route," said Lam. "A lot of U.S. companies and their legal advisors simply don't have practical experience on the ground to use the procedure.

Dorsey Sues to Restore Naming Rights of Historic Hotel Colorado
Dorsey's Denver office recently filed suit on behalf of the Hotel Colorado, in Glenwood Springs, to restore its naming rights. The Hotel Colorado opened in 1893, and has counted among its guests Doc Holliday, presidents William Howard Taft and Theodore Roosevelt, and the "Unsinkable" Molly Brown.

The suit charges former hotel guest Peter Coulter with trademark infringement for registering the Hotel Colorado name with the Colorado secretary of state. It also asks the court to cancel Courter's registration of the name, which was motivated, the suit alleges, by a desire for retaliation.

Baker & McKenzie LLP Advises on US$500M Saudi Bond Issue
Baker & McKenzie announced today that it has advised Saudi bank client Arab National Bank on its debut US$500 million bond issue under its US$850 million Euro Medium Term Note Programme.

Partner Simon Porter and associate Sarah Porter in London, with partners John Xefos and Karim Nassar in Riyadh, had advised Arab National Bank earlier in the year on the establishment of the Euro Medium Term Note Programme.

Arab National Bank, which is the sixth largest bank in Saudi Arabia in terms of total assets, is the fifth bank in the Kingdom of Saudi Arabia to establish an MTN Programme. Baker & McKenzie has advised on all but one of the programmes established to date.

Commenting on the deal, Simon Porter said, "It is exciting to be involved in what is a relatively new form of fund raising in Saudi Arabia. It is a real bonus having such a strong presence in Saudi Arabia and being able to offer clients the benefit of local advice and our international debt capital markets capability."

The Arab National Bank Programme was arranged by Citigroup and HSBC. Clifford Chance/Al-Jadaan Law Firm advised the arrangers.

Baker & McKenzie Acts for Bear, Stearns on £500M Deal
Baker & McKenzie, London has acted for Bear, Stearns International Limited on its £500 million sub-prime mortgage-backed securities issue, Mansard Mortgages 2006-1 Plc. The issue also included a tranche offered by way of a US 144A placement.

Bear, Stearns International Limited was lead manager on the deal, which it arranged for Rooftop Mortgages Limited, the originating sub-prime mortgage lender affiliated with Bear, Stearns.

Jonathan Walsh, Baker & McKenzie partner and co-head of global securitisation, said, ''We are pleased to have acted for Bear, Stearns International Limited on this prestigious deal, and to be able to offer both English and New York legal advice. We look forward to working with them in the future.''

Baker & McKenzie fielded an international team to advise on this transaction, which was led in London by Jonathan Walsh, assisted by associate Sarah Porter, with tax advice from partner James MacLachlan. Partner Simon Porter represented the trustee, cash manager, and calculation and reporting agent. New York legal advice was provided by securities partners Laurence Pettit and Thomas Rice.

Rooftop Mortgages Limited was represented by Charles Malpass of Lawrence Graham.

Baker & McKenzie Advises Starbucks on Roll-out of Global Starbucks Card Programme in the UK
Baker & McKenzie, London has advised Starbucks Card Europe Limited on the introduction of its Global Starbucks Card Programme in the UK. The Starbucks Card is designed to facilitate non-cash payments for a quick and convenient way to purchase Starbucks products, and will be regulated by the Financial Services Authority.

The Starbucks Card is a significant part of Starbucks offering to its customers, with approximately 12% of over the counter payments in the United States made by the Card.

Arun Srivastava, financial services partner at Baker & McKenzie, commented, ''This is an important component of Starbucks Global Card Programme, and we are pleased to have assisted with its smooth introduction and implementation in the UK.''

The Baker & McKenzie team was led by partner Arun Srivastava and senior associate Patrick Brandt and included associates Sandra Zivcic and Thomas Webb.
