CRAVATH REPRESENTS INVESTOR GROUP IN AGREEMENT TO ACQUIRE READER'S DIGEST
Cravath served as legal advisor to an investor group led by Ripplewood Holdings LLC which announced today that it has entered into a definitive merger agreement to acquire The Reader’s Digest Association, Inc. for approximately $2.4 billion. The lawyers involved in this matter are partners Peter S. Wilson and Paul Michalski, senior attorney Kimberly A. Grousset and associates Christopher S. Harrison, Jonathan S. Benloulou, Jasse S. Tomer and Daniel L. Tristan on corporate matters; partner William B. Brannan and associate Anne Kim on tax matters; and partner Eric W. Hilfers and associate Rolf Zaiss on executive compensation and benefits matters. The deal was announced on November 16, 2006.

Quick in €745 Million Tender Offer by CDC Capital Investissement
Cleary Gottlieb represents Quick Restaurants SA/NV, a Euronext Brussels listed company, and its shareholders, CNP (Albert Frere Group) and AvH, in the €745 million tender offer by an acquisition vehicle backed by CDC Capital Investissement, the private equity arm of the French Caisse des dépôts et consignations. The offer notice was formally lodged on November 16, and the transaction is likely to close in early 2007.

Quick is the second largest fast food chain in France and the largest in Belgium. The deal is one of the first "public-to-private", private equity backed tender offers on a Euronext Brussels target.

CVRD in Largest-Ever Latin American Corporate Bond
Cleary Gottlieb is representing long-time client Companhia Vale do Rio Doce (CVRD) on its offering of $3.75 billion of bonds, which priced November 16. The offering is reportedly the largest corporate bond offering ever by a Latin American borrower.

CVRD is the world’s largest iron ore miner, and in October it acquired Inco Limited, the world’s second largest nickel producer, in an all-cash hostile tender offer. To finance that acquisition, CVRD obtained an $18 billion bridge loan, by far the largest loan commitment ever to a Latin American corporate borrower. Cleary Gottlieb represented CVRD in the tender offer and the bridge loan.

The bond offering is part of CVRD’s program to refinance the $14.6 billion it drew under the bridge loan. There are two tranches: $1,250,000,000 of 6.25% Guaranteed Notes due 2017 and $2,500,000,000 of 6.875% Guaranteed Notes due 2036.

The offering was SEC-registered, using an automatic shelf registration statement filed on the morning the deal was launched.

Three from BC Make Lawdragon 500
Don’t let the name fool you. The editors at Lawdragon magazine don’t think there’s anything funny about their list of top lawyers in America. The magazine has released its second annual Lawdragon 500, an alphabetical rundown of the legal profession’s most powerful "dragons," and three from Bryan Cave LLP are on it.

Partners Jerry Hunter and Don Lents in St. Louis and Frank Placenti in Phoenix were chosen through what Lawdragon describes as a proprietary rating system that combines journalistic reporting, interviews with clients and colleagues and a review of each lawyer’s practice accomplishments.

"Our recognition is the most elite given for American lawyers as we award this top designation to less than 1/2 of 1 percent of America’s 1.1 million lawyers," the publication stresses.

The Lawdragon 500 Leading Lawyers in America includes private lawyers from a range of practices as well as in-house counsel, law professors, judges and neutrals, government attorneys and public interest lawyers.

More than 15,000 attorneys were nominated for the list by their peers and the Lawdragon editorial staff, who then selected 3,000 finalists (including 23 Bryan Cave partners). The Lawdragon 500 was culled from that group based on research by a staff of journalists who interviewed thousands of lawyers nationwide and a survey of lawyers and general counsel who nominated and voted for their peers online. The 500 Leading Lawyers in America also reflects the practices that Lawdragon deems the "hottest" during a particular year, as well as those individuals who have had the greatest recent impact on the legal world.

Hunter, noted as the former National Labor Relations Board general counsel, made the list for his work in preventative labor relations and supervisory training. Lents was featured for his M&A and corporate work, especially in representations for Anheuser-Busch, Emerson Electric and Ralston Purina. Placenti was highlighted as a leader of a "vibrant office" with clients that include Arizona Public Service and Pinnacle West

Corporate partner Jeanette Chan was recently named a "Hot 100" lawyer for 2006 by Asian Legal Business magazine. Jeanette was selected as one of the lawyers "who have stood out from the crowd, done something remarkable, broken new ground, or stood up for truth and justice..." This is the second year that she has been named to this list.
