Orlando Attorneys Named "Best of the Bar
Baker Hostetler was well represented in the 2006 "Best of the Bar” survey, conducted by the Orlando Business Journal. Daniel Bachrach and Matt Smith were recognized in the Real Estate practice area, Jill Riola for her work in Intellectual Property and Kevin Shaughnessy in the area of Labor and Employment law.

Smith had the distinction of receiving the most nominations of any attorney in the "Best of the Bar" survey and Riola was among the top 5 percent of vote recipients. Smith was also profiled in a feature story. Click here to read more.

This year's survey attracted over 700 hundred nominations from attorneys practicing in Central Florida. Nominations are weighted based on whether they come from within or outside a nominee's firm, so a strong reputation in the overall Central Florida legal community is critical.

The list is a way of recognizing the achievements of local lawyers, whether they represent corporate clients or individuals, in civil matters or criminal, inside companies, government agencies or in private firms.

Davis Polk Advises Limited Brands on Its Acquisition of La Senza
Davis Polk & Wardwell is advising Limited Brands, Inc. on its proposed tender offer for La Senza Corporation. Based in Ohio, Limited Brands, through Victoria’s Secret, Bath & Body Works, C.O. Bigelow, Express, Limited Stores, White Barn Candle Co., Henri Bendel and Diva London, presently operates 3,534 specialty stores. La Senza is a leading Canadian and international intimate apparel specialty retailer.

According to the terms of the acquisition, Limited Brands will purchase all outstanding shares of La Senza for C$48.25 per share in cash, valuing the transaction at approximately US$628 million. The proposed transaction is expected to close in mid-January 2007.

The Davis Polk corporate team includes partners David L. Caplan and Carole Schiffman and associate Edward H. Traum. Partner Kathleen L. Ferrell and associate David Morris are providing tax advice. Counsel John T. Wright is providing employment advice. All lawyers work in the New York office.

Hogg Robinson Group plc Initial Public Offering
Davis Polk & Wardwell advised the joint bookrunners and the sponsors as U.S. counsel in connection with Hogg Robinson Group plc’s £242 million (approximately $450 million) initial public offering of 268,888,869 of its ordinary shares (including ordinary shares sold pursuant to the over-allotment option). Of those shares, Hogg Robinson issued 200,000,000 ordinary shares and Permira and various of its funds sold 68,888,869 ordinary shares. The offering consisted of an institutional offering in the United Kingdom and internationally (including in the United States pursuant to Rule 144A). The ordinary shares trade on the London Stock Exchange.

Citigroup Global Markets U.K. Limited, Credit Suisse Securities (Europe) Limited, Lehman Brothers International (Europe) and Merrill Lynch International were joint bookrunners for the transaction. Hogg Robinson used a competitively run initial public offering process. Lazard & Co., Limited and Merrill Lynch International acted as joint sponsors of the listing.

Hogg Robinson and its subsidiaries (HRG) are an international business support services group providing value-added services in the global corporate travel market. Within this market, HRG targets the international and national managed sector, where clients require a range of globally integrated and tailored travel and expense management services. HRG’s single brand network currently operates in 96 countries and comprises owned or controlled operations in 24 countries and contractual partnerships in 72 countries.

Citigroup-led Consortium to Acquire Majority Stake in Guangdong Development Bank
Davis Polk & Wardwell advised Citigroup with respect to its co-investor arrangements with IBM in connection with a Citigroup-led consortium's agreement to acquire approximately 85% of Guangdong Development Bank. Guangdong Development Bank is a Chinese national bank based in southern China.

According to the terms of the acquisition, the Citigroup-led consortium will acquire an 85.6% stake in Guangdong for approximately $3.06 billion. At closing, Citigroup, China Life and State Grid will each own a 20% stake in Guangdong Development Bank, CITIC Trust will hold a 12.85% stake, Puhua will hold an 8% stake and IBM will hold an approximate 4.74% stake. The transaction represents the first time a major international financial services company, leading a consortium of co-investors, has been permitted to obtain substantial ownership and assume a significant management role in a Chinese financial institution.

Salt Lake City Office Ranked Number One Law Firm By Business Magazine:
Holland & Hart is pleased to announce that Bryan Hanks and Shawn Stewart have joined the firm's Salt Lake City office.

Mr. Hanks is a registered patent attorney and an associate in Holland & Hart’s Intellectual Property Practice Group. His experience includes preparation, prosecution, and protection of domestic and foreign patents, primarily in the electrical and computer engineering fields. Mr. Hanks has drafted and prosecuted patent applications in a wide range of technologies and has experience in patent and copyright licensing, intellectual property litigation, opinion work, and trademark prosecution. Prior to joining Holland & Hart, Mr. Hanks worked for intellectual property law firms in Utah, Texas, and Oregon. Before beginning his career in law, Mr. Hanks spent time working for Hewlett Packard’s VLSI lab in Fort Collins, Colo. and for Teledyne Brown Engineering at NASA’s Johnson Space Center.

Mr. Hanks earned his J.D. with honors from the University of Texas School of Law and his B.S. in electrical engineering from Brigham Young University.

Mr. Stewart is an associate in the firm's Business group. Prior to joining Holland & Hart, Mr. Stewart co-authored several articles as a research assistant at the Moritz College of Law, including “What Counts as Coordinated Campaign Activity Under Current Law.” He was also Managing Editor for the Ohio State Law Journal. Mr. Stewart has an extensive finance background, as well. While serving as a financial intern in Salt Lake City for a large non-profit organization, he helped manage, audit, and plan fiscal year budgets. He also served as a financial manager in Brussels, Belgium, where he managed financial statements, yearly budgets, and payroll for a non-profit organization.

Mr. Stewart earned his J.D. (2006) magna cum laude from Ohio State University School of Law and his B.S. (2003) cum laude from the University of Utah.

An Interview With Rich Racine
In an interview with Washington Law Firm Weekly, Finnegan Henderson Managing Partner Rich Racine commented on the firm’s culture and its plans for future growth. Mr. Racine joined Finnegan Henderson in 1983 when there were only 40 lawyers. Now, with over 300 lawyers practicing exclusively in intellectual property, the firm plans to grow organically rather than through acquisitions of other firms or practice areas. “Our goal is not to be the largest, but the best,” said Racine. “Our plan is to have strategic smart growth, and maintain our culture and collegiality. We’ve lost less than ten partners in our 40-year history, and less than half of them went to competing firms. We think our team-oriented culture has been a key to our success.

James W. Saxton Presents to the American Society for Healthcare Risk Management
James W. Saxton, Chair of Stevens & Lee’s Health Care Litigation Group and Co-Chair of the Health Care Department, presented to health care risk management professionals from around the country at the American Society for Healthcare Risk Management Annual Conference and Exhibition held October 29-November 1, 2006 in San Diego.
In his presentation, “Creating Risk Management Alliances with Your Physicians: Proven Strategies that Work!,” Mr. Saxton discussed traditional barriers to effective physician-institution collaboration and how to overcome them, identifying strategies for positively influencing physician attitudes toward risk management and understanding the importance of collaborative event management and effective communication in reducing potential for claims/litigation.

Mr. Saxton lectures frequently and is an invited speaker across the country on health care issues, including liability reduction and risk management. He presents to nationally prominent health care organizations such as the American Society for Healthcare Risk Management, the Medical Group Management Association, the American College of Surgeons and the American Health Lawyers Association.

Mr. Saxton is an active trial lawyer – a practice he has sustained for over 25 years – representing providers, including hospitals, physicians and retirement communities, in state and federal court and administrative proceedings. His practice includes litigation, licensing and medical staff issues. He uses his extensive experience as a litigator to advise hospitals, medical groups and retirement communities throughout the United States in connection with understanding and reducing their professional liability risk.

In addition to his trial practice, Mr. Saxton develops risk reduction strategies for health care providers and organizations nationwide and has created innovative strategies and educational programs to support them. This includes the creation of complete customized loss control programs and event management systems for self-insured organizations and captive insurance groups. Mr. Saxton has published more than 200 articles, several handbooks and four textbooks including most recently, Five-Star Customer Service: A Step-by-Step Guide for Physician Practices.
