Freshfields Bruckhaus Deringer advises on €2.3bn auto loans securitisation
Freshfields Bruckhaus Deringer has advised CALYON and Société Générale Corporate & Investment Banking, as joint lead managers and joint bookrunners on a €2.3bn auto loans securitisation for DIAC, the French subsidiary of RCI Banque, part of the Renault Group.

Cars Alliance Auto Loans France FCC issued several tranches of asset backed securities including senior notes worth €1.705bn, rated 'AAA' by Standard & Poor's, 'Aaa' by Moody's and 'AAA' by FitchRatings and junior notes worth €95m, rated 'A' by Standard & Poor's, 'Aa2' by Moody's and 'A' by FitchRatings. The senior and junior notes have been listed on the Luxembourg Stock Exchange.

As alternative funding, Cars Alliance Auto Loans France FCC also implemented a debt issuance programme of short term revolving notes benefiting from the same tranching and ratings as the main issuance. The debt issuance programme has also been approved by the Luxembourg Stock Exchange.

Fabrice Grillo, finance lawyer, Freshfields, said: 'This is the first time that a stand alone issue has been implemented with a debt issuance programme within the same securitisation fund. This transaction also confirms the high level of interest from international investors in sophisticated financial structures using the French securitisation legal framework.'

The Freshfields Bruckhaus Deringer finance team included Hervé Touraine (partner), Fabrice Grillo (associate) and Laura Asbati (associate), who advised on the French legal aspects of the deal and Dougall Molson (partner), who advised on the English legal aspects of the deal.

On November 17, Cravath received a Resolution of Appreciation from the National Center for State Courts (NCSC) for its support of the NCSC over the last 20 years. The resolution was presented by Hon. Robert M. Bell, Chief Judge of the Court of Appeals of Maryland and Chair of the NCSC Board of Directors, at the organization's annual awards luncheon. Presiding Partner Robert D. Cleary Gottlieb Wins Chambers Global 2006 “Global Competition/Antitrust Law Firm of the Year” and “Latin American Law Firm of the Year” Awards
