Sidley Austin LLP's International Trade and Dispute Resolution Group Honored by Chambers and Partners
At an awards ceremony in London, Sidley Austin LLP was named Global WTO Law Firm of the Year by Chambers and Partners. This is the first year a Chambers award has been given for this practice area.

Sidley's 50-person International Trade and Dispute Resolution group, based in Geneva, Brussels and Washington, was recognized for its excellence in WTO dispute settlement and negotiations, and its innovative use of WTO rules to assist clients. Chambers and Partners determines its award winners based on interviews with clients and peers.

Charlene Kelly Published in The Prairie Post
In “Paying Plan Expenses With Plan Assets,” in the August issue of The Prairie Post, Charlene Kelly advises employers on determining which plan expenses can and cannot be properly paid from plan assets. According to ERISA, she explains, reasonable expenses necessary for the operation of a plan can be paid from plan assets. The guidelines are defined the Department of Labor (DOL) which categorizes plan expenses as relating to either "settlor" functions – activities that pertain to the formation of plans -- or “fiduciary” functions – expenses incurred to implement the plan establishment and termination; only fiduciary functions are allowed to be paid by plan assets.

Charlene outlines DOL guidance, issued in a 2001 Opinion Letter, which breaks plan expenses down into 20 categories of “plan paid expenses” and 10 categories of “employer paid expenses. While most costs can be classified under the fiduciary/settlor criteria, she says that some expenses rest in a gray area and require more comprehensive analysis and justification. In 2003, another DOL Bulletin was issued to address two areas relating to allocating plan expenses in defined contribution plans: (1) pro rata versus per capita expensing and (2) expenses properly chargeable to the account of an individual participant. There’s a general lack of guidance on the proper procedure for allocating plan expenses among participants, but ERISA and associated regulations address allocation procedures for certain specific plan expenses, such as reasonable costs for copying requested plan documents or making a plan loan. Generally, the terms of the plan control the method for allocating expenses among plan participants. However, if the plan is silent, a plan fiduciary must decide the appropriate method in a prudent manner and “solely in the interest of participants.” Among the expenses that the DOL concluded may be charged to an individual participant’s account are hardship withdrawals and check writing for monthly benefit payments.

“Plan expense issues often involve a facts and circumstances analysis. While some expense allocations appear clear cut, many require a weighing of the roles and responsibilities surrounding the expense.

Miller Canfield Attorney David Parsigian Recognized by the Michigan Venture Capital Association
The law firm of Miller Canfield is proud to announce that David N. Parsigian, a principal in the Ann Arbor office, received the “Above and Beyond” Award given by the Michigan Venture Capital Association for his role as general counsel to the Venture Michigan Fund. He was one of four people recognized in turning a legislative idea into a reality, and for being a key participant in the organization and funding of the Fund.

The Venture Michigan Fund was recently recognized by Business Review magazine as the 2006 “Deal of the Year” in the finance category for these annual awards.

Parsigian is leader of Miller Canfield’s High-Technology Ventures Group and is currently advising emerging technology-based businesses, and individuals and entities that invest in those businesses. He has extensive experience counseling new ventures on locating sources of capital and structuring financings ranging from seed capital to initial public offerings.

He is a member of the American Bar Association and the State Bar of Michigan. He currently serves as chairman of Ann Arbor Area Chamber of Commerce, and is a founder and a former member of the Executive Committee of Great Lakes Entrepreneur's Quest, a business plan competition for the state of Michigan.

Parsigian received his law degree, with honors, from the University of Texas, and a B.S.M.E (mechanical engineering), magna cum laude, from the University of Michigan.

Fishbein to Serve on Spitzer's Advisory Committee
Peter Fishbein, special counsel in the Litigation Department, was chosen by Eliot Spitzer, the current New York State Attorney General and the Governor-elect of New York, to serve on an 18-member committee to advise him on government reform. This was reported in the November 17 issue of the The New York Observer.

Harris Named Top Attorney by Worth Magazine

Chadbourne Represented VimpelCom in €341.9 Million Deal to Acquire Armenian Telecom Company
Chadbourne & Parke LLP represented Vimpel-Communications (VimpelCom, NYSE: VIP) in an agreement with Hellenic Telecommunications Organization to acquire 90% of CJSC Armenia Telephone Company (Armentel).

The purchase price was €341.9 million (US$434.3 million) plus the assumption of approximately €40 million (US$50.8 million) in net debt and obligations. The deal closed on November 16.

Armentel is a fixed-line and mobile operator in Armenia with licenses in the GSM-900 and CDMA standards. Armentel’s subscriber base includes approximately 600,000 fixed-line subscribers and 400,000 GSM subscribers.

Working on the deal for Chadbourne were Laura Brank, head of the Russia & CIS Practice, and Moscow partners Konstantin Konstantinov and Christopher Owen, as well as London partner Charez Golvala and Moscow counsel Evgenia Korotkova.

The VimpelCom Group includes cellular companies operating in Russia and Kazakhstan and recently acquired cellular operators in Ukraine, Tajikistan, Uzbekistan and Georgia. The VimpelCom Group's cellular license portfolio covers a territory with a population of about 237 million.

VimpelCom is a leading international provider of mobile telecommunications services in Russia and Kazakhstan, with recently acquired operators in Ukraine, Uzbekistan, Tajikistan and Georgia. The VimpelCom Group’s license portfolio covers approximately 237 million people. Geographically it covers 78 regions in Russia (with 136.5 million people, representing 94% of Russia’s population) as well as the entire territories of Kazakhstan, Ukraine, Uzbekistan, Tajikistan and Georgia.
