Partner Aaron Gershonowitz Featured in the Latest Issue of Long Island Business News.
Partner Aaron Gershonowitz is featured in the latest issue of the Long Island Business News as an expert source on matters pertaining to the New York State Brownfield Cleanup Program.

Offering commentary concerning the brownfield timeline, Mr. Gershonowitz explains, “Often, one can take care of the environmental issues more quickly than going through the process required by the brownfield’s law.” Speaking to how the timing constraint affects developers, he concludes, “More often, the timing element turns them off. They want their building faster.”

Aaron Gershonowitz concentrates his practice in environmental law and has represented clients in a wide variety of environmental issues, including Superfund matters, RCRA compliance, asbestos in buildings, and the environmental aspects of real estate and corporate transactions. In addition, Mr. Gershonowitz’s practice has included the representation of military contractors with regard to closure of facilities, transfer of facilities, and the related negotiations with the United States government and local governmental agencies.

Blackwell Sanders Receives Top Rankings from The Best Lawyers in America® 2008

VMware in $1.1 Billion IPO; Largest Tech IPO Since 2004
Cleary Gottlieb represented the underwriters, led by Citigroup Global Markets Inc., J.P. Morgan Securities Inc. and Lehman Brothers Inc., in VMware Inc.’s initial public offering of 37,950,000 shares of Class A common stock (including exercise of an over-allotment option), the largest technology sector IPO since Google went public in 2004. The offering priced on August 13 at $29 per share, valuing VMware at $11 billion; by close of the first day of trading on the NYSE, VMware was valued at nearly $20 billion, a market cap few other technology companies have exceeded. In the two weeks following pricing, VMware shares have traded as high as $73.95. The offering closed on August 17.

Prior to the IPO, VMware was wholly owned by EMC Corporation. EMC continues to own approximately 90% of VMware.

VMware is the leading provider of virtualization solutions, with a customer base that includes 100% of the Fortune 100 and more than 84% of the Fortune 1,000. VMware’s core virtualization technology enables multiple software applications and operating systems to share underlying hardware (such as a single server) safely by encapsulating each application and operating system in its own "virtual machine." VMware’s suite of virtualization solutions addresses a range of complex IT problems that include infrastructure optimization, business continuity, software lifecycle management and desktop management.

Coca-Cola in German Bottling and Distribution Restructuring
Cleary Gottlieb represented The Coca-Cola Company and its German affiliate, Coca-Cola Erfrischungsgetraenke AG, in the takeover of 18 independent Coca-Cola distribution companies and in their merger with several independent German bottlers into one company. The combined entity shall serve the entire country effective September 1.

The merger establishes a company of 12,000 employees with an annual sales volume of 3.5 billion liters.

Brooklyn Bridge Park Conservancy in Beach and Floating Pool Development
Cleary Gottlieb is representing pro bono client Brooklyn Bridge Park Conservancy in its development and operation of the Brooklyn Bridge Park Beach and Floating Pool this summer. This is the first major project at the future site of Brooklyn Bridge Park along the Brooklyn waterfront and involves cooperation between government, not-for-profit and for-profit entities.

Cleary Gottlieb has been involved in all aspects of the project on an ongoing basis. Cleary Gottlieb has helped negotiate: a license with the Brooklyn Bridge Park Development Corporation (a subsidiary of the Empire State Development Corporation) for use of the site; agreements with the Neptune Foundation and American Leisure, Inc. for the use and operation of the Floating Pool Lady; and an agreement for the operation and maintenance of the beach and sale of concessions. Cleary Gottlieb also advised on obtaining and administering a BBPDC grant to fund the project.

The Floating Pool Lady, owned by the Neptune Foundation, is a steel deck barge that has been retrofitted with a 25-yard, seven lane swimming pool, a spray pool, lockers, bathrooms and showers. The Floating Pool Lady offers breathtaking views of New York harbor and the lower Manhattan skyline and is moored next to a 40,000 square foot urban beach with beach volleyball, sand soccer, rental chairs and umbrellas and concessions. Since opening to the public on July 4, the Floating Pool has welcomed over 61,000 visitors and has already expanded its operating hours.
