Evraz Group in $2.3 Billion Tender Offer for Oregon Steel Mills
Four offices of Cleary Gottlieb are working together representing Evraz Group S.A. in its $2.3 billion cash acquisition of Oregon Steel Mills, Inc. The parties signed a definitive merger agreement on November 20. Under the agreement, a subsidiary of Evraz commenced a tender offer for all outstanding Oregon Steel shares on November 30.

The tender offer is subject to customary conditions, including antitrust and other regulatory clearances and the acquisition by Evraz of a majority of Oregon Steel’s shares. The offer will be followed by a merger at the same price. Upon completion of the transaction, Oregon Steel will become a subsidiary of Evraz.

Evraz, headquartered in Moscow and listed on the London Stock Exchange, is one of the largest vertically integrated steel and mining businesses in Russia. Oregon Steel Mills, a NYSE-listed company headquartered in Portland, Oregon, is a leading producer of commodity and specialty plates in the western U.S., rails in North America, specialty rods in the U.S., and large diameter line pipe in North America.

The transaction is Evraz’s second major U.S. acquisition of the year after its acquisition of a controlling stake in Strategic Minerals Corporation earlier this year. The firm advised Evraz on that transaction.

Baird Stresses the Importance of “Reinvention” at the Crain’s Annual Entrepreneurs Luncheon
For the third year in a row, Jenner & Block served as the presenting sponsor for Crain’s Annual Entrepreneur’s Luncheon, on November 14, 2006. This year, Stephen W. Baird, President and CEO of the oldest residential real estate brokerage in the country, presented the keynote address focusing on the importance of continually “reinventing” the family business to a gathering of over 500 of Chicago’s leading business professionals.

During his introductory remarks, Jenner & Block Managing Partner Gregory S. Gallopoulos drew connections with the success of Baird & Warner to the vibrant business community in Chicago. “There is a vital link between the entrepreneurial spirit of our city and the well-being of our business community.”

“Since 1855, Baird & Warner has had 5 CEO’s and each has reinvented the business. I am responsible for the 5th reinvention,” said Mr. Baird about his being an entrepreneur.

Mr. Baird described how he moved his company from commercial real estate into an entirely residential brokerage house. Under his leadership, the firm has grown to include over 1,800 associates, 35 offices in and around Chicago, with annual sales exceeding $6 billion.

Mr. Baird’s comments also included his “keys to success”: knowing one’s customers; establishing the most effective culture and delegating power as well as accountability to the right individuals.

“Good employees are attracted by a good company culture. And a good company culture needs to start with leadership, said Mr. Baird, “Culture is about the energy and the way people are empowered within an organization.”

As for the importance of delegating, Mr. Baird said, “If I am making too many decisions, I know something is wrong, I don’t get involved in the details. I depend on those closest to the information to make the decisions.” He stressed that with delegating comes the importance of an open mind and establishing an environment that accepts failure since everyone makes mistakes.

“Being open to change is also important,” he noted. To take advantage of the developing online interest of home buyers, Baird & Warner was one of the first to utilize the internet for real estate searches, with over 2000 members utilizing it’s Homefinder service in the first 10 months. As of last month, Homefinder has over 145,000 members.

Firm Hosts University of Chicago Law School Mentoring Kick-off Event
Jenner & Block recently hosted a kick-off reception for members of the University of Chicago Law School Women’s Mentoring program.

The program facilitates mentoring relationships by pairing first-year female law students with alumnae of the law school in the Chicago area. During the kick-off event, first-years were introduced to the program and their mentors over food and drinks. Student Co-Chairs of the program Valerie Lynch, Darah Smith and Ebba Gebisa spoke to the group, thanking all those involved in putting together the event and sharing their excitement for the coming year.

The Law School's Women’s Mentoring Program began in 1991 by three first-year female law students, for the purpose of connecting first-years with practicing attorneys and encouraging the development of professional relationships. Participants in the program develop such relationships through formally-arranged events, discussions and small group lunches, as well as one-on-one meetings and mock interview sessions.

Jenner & Block mentors in the program this year include Associates Courtney M. Beemer, Suzanne M. Courtheoux, and Kristen L. Mercado.

HOWREY ADDS TWO NEW PARTNERS IN LONDON
Howrey has added two new partners to its London office. Kit Jarvis and John Evans join a London team which now numbers 27 lawyers.

Kit Jarvis is a partner in the Global Dispute Resolution Group in London specializing in International Arbitration and Commercial Litigation. He is experienced in commercial dispute resolution and investigations, particularly those cases involving aspects of fraud, insolvency, asset tracing, insurance, audit negligence or banking law. Kit’s experience includes UK litigation (in the High Court, appeal Courts and the Employment Tribunal), domestic arbitration and Alternative Dispute Resolution. Shortly before joining Howrey, Kit spent six months on secondment to the Global Dispute Resolution Group of a major international bank, during which time he supervised litigation on behalf of the bank in numerous different jurisdictions.

Kit joined Howrey LLP in October 2006 from Lovells. He previously qualified into and spent a number of years in the Dispute Resolution Group at Freshfields Bruckhaus Deringer.

John Evans is well known for his broad-based risk management experience, is recognized internationally as a Product Liability Defence lawyer and is familiar with the full range of Product Stewardship issues. He has also been commended by Chambers for his “solution-driven approach”. During his 27 year career he has handled “exposure” cases implicating, inter alia, gamma radiation, the Legionella bacterium, asbestos, methyl bromide, methyl mercaptan, benzene, noise, vibration, cotton dust, construction dust, ash, tampons, pedicle screws, latex gloves, polymers, insulin delivery systems, food packaging, pharmaceuticals and tobacco, as well as “instant disaster” instructions relating to the rail crashes at Southall and Ladbroke Grove and air crashes in both Argentina and France.

Notwithstanding his Product Liability commitments, John has always maintained an involvement in mainstream business litigation and a selection of banking & finance cases (some reported) number among his most recent successes.

John was a Member of the Board of the International Association of Defense Counsel from 1998 through 2001 and was a partner at Ashurst from 1988 through 2005. He joins Howrey after 16 months devoted to the conservation & wildlife sector in Southern Africa.

Howard Rice Represents Charles Schwab in $3.3 Billion Sale of U.S. Trust to Bank of America
Howard Rice Nemerovski Canady Falk & Rabkin today announced that the firm represented The Charles Schwab Corporation in the negotiation of the agreement to sell U.S. Trust Corp. to Bank of America for $3.3 billion in cash.

Lawrence Rabkin, Howard Rice’s chairman and longtime outside corporate counsel for Schwab, said, "Our relationship with Schwab goes back more than 25 years and we have represented them on every significant transaction since 1980. It is a particular pleasure to have this kind of relationship with such an outstanding client."

Howard Rice represented Schwab in its acquisition of U.S. Trust in 2000 for $2.7 billion in stock. Since that time, the firm has worked on numerous acquisitions and dispositions for Schwab and U.S. Trust, including the 2003 acquisition by U.S. Trust of the private asset management unit of State Street Corp. of Boston for $365 million.

Richard Canady, partner and head of Howard Rice’s Mergers & Acquisition practice, led the team, which included partners Edward Deibert, André Brewster, Stuart Lipton, Teresa Johnson, Larry Smith, Kenneth Neale, Thomas Larsen, and associates Celia Van Gorder, Alison Wright, David Tang, Thomas Magnani, Ellen Fleishhacker, Bradley Armstrong, Robert Hallman, Seth Sternglanz, Noah Rosenthal and Patrick Corrigan. Howard Rice’s attorneys worked hand in hand with Mark Tellini, Susan Stapleton, Henry Hernandez, Kathryn Morrison and Laurie Schaffer in Schwab’s legal department.

Christopher V. Dodds, Schwab’s executive vice president and chief financial officer, commented, "Howard Rice played a critical role in providing the legal talent that was necessary to successfully accomplish this complex strategic disposition. They have been instrumental partners in every significant transaction in our company’s history."
