Robinson & Cole Managing Partner Named to Board Position of United States Law Firm Group
R&C Managing Partner Eric Daniels has been asked to assume the position of Secretary to the Board of Trustees of USLFG beginning with the annual meeting of the trustees in January. Eric will then become President of the Board in 2008 for a one-year term. Eric will be the second R&C partner to serve as USLFG president as R&C Business lawyer Jack S. Kennedy was president in the early 1990's and was the firm's trustee to the group preceding Eric.

Paul Hastings Expansion Continues With Opening of Chicago Office
Paul, Hastings, Janofsky & Walker LLP today announced the opening of an office in Chicago. The new office will continue to broaden the firm's vibrant transactional and litigation capabilities, particularly bankruptcy and restructuring, private equity, and litigation. The new office will be the firm's 18th global location.

The firm also announced the arrival of two new partners. Steve Catlett, a litigator whose expertise ranges from traditional litigation and class action to complex ERISA and trade secret cases and Rick Chesley, a bankruptcy and restructuring expert with over 20 years experience. Both join from Jones Day. Mr. Chesley will assume the position of Office Chair.

"We are executing a very specific strategy to expand in key regions around the globe to further serve our international clients and deepen our transaction and litigation capabilities. Opening an office in Chicago, headquarters for many of the world's leading corporations, aligns perfectly with that strategy," said Seth Zachary, Chairman of Paul Hastings. "The new Paul Hastings office solidifies our presence in the U.S. and will be a bridge between Chicago-based companies, and business opportunities in Asia, particularly China, and in Europe, allowing us to further capitalize on our market leading positions in these regions."

"Steve Catlett and Rick Chesley are leading practitioners who have strong ties in the business community in Chicago," said Zachary. "We intend to relocate several other Paul Hastings' attorneys to the office and aggressively recruit additional talent in order to build a substantial, full-service presence in Chicago. We expect to have significant announcements in this regard shortly."

Steve Catlett, a former law clerk to Supreme Court Justice Sandra Day O'Connor and U.S. Court of Appeals Judge Kenneth Starr, conducts a nationwide litigation practice, from traditional litigation and class actions to complex ERISA, trade-secret and contract-based cases. Steve practices nationally in all phases of litigation, from pre-litigation counseling to discovery, trial and appeal. He is experienced in leading large teams of lawyers in substantial class-action and multiple plaintiff cases.

Rick Chesley was Co-Chair of Jones Day's Business Restructuring and Reorganization Practice, and has a broad range of experience in both U.S. and international restructuring matters, frequently serving as restructuring counsel to debtors, creditors and other parties in high profile chapter 11 proceedings. In addition, Mr. Chesley has litigated numerous complex bankruptcy issues in courts throughout the United States. Mr. Chesley served with Jones Day from 1985 until 2001, and again from 2003 prior to joining Paul Hastings. From 2001 through 2003, Mr. Chesley was with Houlihan Lokey Howard & Zukin, where he served as a Senior Vice President and General Counsel to the investment bank's Financial Restructuring Group.

OMM Attorneys Publish in European Antitrust Review 2007
O'Melveny-Brussels attorneys Riccardo Celli, Flavia Distefano, and Christian Riis-Madsen recently authored the article "Commission takes further action to speed up opening of energy markets," published in The European Antitrust Review 2007, a Global Competition Review special report.

The article looks at the European Commission's increased scrutiny of EU energy markets, the sector inquiry's preliminary findings, and the impact on European energy companies. The attorneys write,

Energy companies in the EU are well advised to pay particular attention to competition law issues as the risk of future investigations is very high. Similarly, a disgruntled contract party may find it easier to use competition laws to escape from long-term take or pay obligations or similar obligations.

O'MELVENY & MYERS BOLSTERS ENVIRONMENTAL PRACTICE
O'Melveny & Myers LLP announced today that Martin J. "Kelly" McTigue, has joined the firm as a partner in the firm's Los Angeles office. Mr. McTigue joins O'Melveny & Myers from the Los Angeles office of Morgan Lewis & Bockius LLP, where his practice focused on counseling clients on a wide range of environmental issues, including environmental and water resources issues, Superfund and hazardous waste law.

"Kelly is a very well-regarded environmental lawyer," said David Krinsky, Co-Chair of O'Melveny & Myers' Transactions Practice. "Having practiced extensively in all aspects of the industry, he will be an outstanding asset to many of the firm's clients, some of whom increasingly face myriad environmental issues."

Mr. McTigue's experience in the environmental arena includes water quality, water supply, air quality, reporting obligations, permitting issues, and all aspects of the regulation and remediation of hazardous substances. In addition, he has long-standing relationships with environmental regulatory agencies, including the U.S. Environmental Protection Agency, the U.S. Bureau of Reclamation, the Army Corp of Engineers, Cal-EPA's Department of Toxic Substances Control, Department of Health Services, Air Resources Board and the various local air districts, State Water Resources Control Board, the California Energy Commission, and the California Coastal Commission.

"Kelly is one of the leading 'go-to' lawyers for clients who need environmental guidance," said Eric Rothenberg, a partner in the firm's transactions practice who joined O'Melveny & Myers in December 2005 and previously worked with Mr. McTigue at Morgan Lewis. "In addition to his work with environmental matters, his versatility includes experience with clients engaged in complex transactions. He has also shown himself to be an excellent private equity diligence attorney with a broad understanding of the universe of environmental risks."

Mr. McTigue received his B.S. from the University of Idaho and his J.D. from Southwestern University School of Law. He began his legal career at McCutchen Black, which later merged into Baker Hostetler. He then spent ten years at Weston Benshoof, becoming partner in 1997. Mr. McTigue joined Morgan Lewis & Bockius in 2002.

Zachary Carter Named to Transition Team of NY Attorney General-elect Andrew Cuomo
As reported by the New York Daily News, Dorsey partner Zachary Carter was named to the transition team of New York Attorney General-elect Andrew Cuomo. The team will be headed by former state Attorney General Robert Abrams, and includes New York Police Department Commissioner Raymond Kelly, former Securities and Exchange Commission chief Arthur Levitt and former U.S. attorney Mary Jo White among its members.

Davis Polk Advises Freeport-McMoRan on Its Proposed Acquisition of Phelps Dodge
Davis Polk & Wardwell is advising Freeport-McMoRan Copper & Gold Inc. on its proposed acquisition of Phelps Dodge Corporation. Freeport-McMoRan explores for, develops, mines and processes ore containing copper, gold and silver in Indonesia, and smelts and refines copper concentrates in Spain and Indonesia. Phelps Dodge is one of the world’s leading producers of copper and molybdenum and is the largest producer of molybdenum-based chemicals and continuous-cast copper rod.

According to the terms of the merger agreement, Freeport-McMoRan will pay $88.00 per share in cash plus 0.67 common shares of Freeport-McMoRan for each outstanding share in Phelps Dodge, valuing the transaction at approximately $25.9 billion. The combined company will be the world’s largest publicly traded copper company and the largest North American-based mining company. The transaction is subject to the approval of the shareholders of Freeport-McMoRan and Phelps Dodge, receipt of regulatory approvals and customary closing conditions. The transaction is expected to close at the end of the first quarter of 2007.
