Pennington Partner Speaks At Affordable Housing Coalition of South Carolina Annual Meeting
Pennington Partner, Gene Adams was recently the featured speaker at the Affordable Housing Coalition of South Carolina, at its Annual Meeting in Columbia, South Carolina.

Adams' speech, "Affordable Housing, Needed Now More Than Ever", focused on coalition building and use of alternative funding sources for the development of affordable housing in South Carolina. The South Carolina Coalition will be proposing legislation this year to allow use of tourist development taxes and other local revenue sources through local housing trust funds for the development of affordable housing. Adams' luncheon address also focused on how the increase in property valuation and housing costs have contributed to the need for affordable housing.

Tax Attorney Mark A. Muntean Joins JMBM
Jeffer, Mangels, Butler & Marmaro LLP (JMBM), one of California’s foremost full-service law firms, today announced that Mark A. Muntean has joined the Firm in its San Francisco office, bringing with him extensive tax and transactional experience.

"Mark brings added depth to our corporate and tax practice," said Richard Rogan, managing partner of JMBM's San Francisco office. "His background in international business transactions, and the federal income tax, excise tax, state and local tax consequences from corporate acquisitions and divestitures complements JMBM's already strong corporate and tax practices and the resources available to our clients."

Muntean has more than 20 years of experience handling all aspects of taxation including partnerships, oil and gas transactions, leveraged leasing, tax legislative issues, trusts and corporate matters. Earlier in his career he worked at the Internal Revenue Service and for Shell Oil Company.

"I was attracted to JMBM because of the opportunity to work with a dynamic tax and corporate team and provide more comprehensive services for my clients," said Muntean. "JMBM is an entrepreneurial firm known for providing its attorneys the support they need."

Muntean holds a Bachelor of Arts degree in economics from Whittier College in Whittier, Calif. He received his Juris Doctorate from the University of Dayton Law School in Dayton, Ohio, where he graduated in the top 10% of his class. He also holds an LLM (tax) from Georgetown University Law Center in Washington, D.C. He is a member of the State Bar of California, Washington and Ohio and of the District of Columbia. He is admitted to practice before the U.S. Tax Court in Washington, D.C.

JMBM has one of the largest tax practices, estate planning and trust administration practices in California. The firm's tax attorneys assist clients and their businesses in a broad range of transactional tax matters, including entity formation, acquisitions, dispositions and domestic, international and cross-border taxation.

GUNSTER YOAKLEY ATTORNEY DAVID C. SCILEPPI NAMED CHAIR OF THE SOUTH FLORIDA CHAPTER OF THE HOFSTRA ALUMNI ASSOCIATION
David C. Scileppi, an attorney with the law firm of Gunster Yoakley, has become chair of the South Florida Chapter of the Hofstra University Alumni Association. With nearly 3,000 alumni from the Long Island-based Hofstra in South Florida, Scileppi will be responsible for reinvigorating the chapter and organizing the activities and events of the group.

“It is an honor and a challenge to be chair of the South Florida Chapter of the Hofstra University Alumni Association,” said Scileppi, who is a 1996 graduate with a degree in accounting. “Although we have a substantial number of alumni in South Florida, we haven’t been as strong and focused as I know we can be. I look forward to leading the group and creating a dynamic network of graduates.”

Scileppi, who was also the editor of The Chronicle at Hofstra, focuses his practice on advising large and small corporate clients in the areas of formation, corporate governance, mergers, acquisitions and divestitures, and federal and state securities law; reviewing client SEC filings; drafting and reviewing SEC registration statements and private placement memoranda for the public and private placement of debt and equity securities; and advising clients on Hart-Scott-Rodino compliance. In addition to his corporate and securities practice, Scileppi devotes much of his work to providing legal advice to the banking industry. He regularly provides advice to financial services clients on lending and regulatory compliance.

Hofstra University, located in Hempstead, New York, features more than 140 undergraduate and 150 graduate programs, in liberal arts and sciences, business, communication, education and allied human services and honors studies, as well as a School of Law.

Simpson Thacher Represents TD Bank in $3.2 Billion Going-Private Acquisition of Remaining Interest in TD Banknorth
The firm is representing The Toronto-Dominion Bank (TD Bank) in its acquisition of the approximately 43% of TD Banknorth Inc. that it does not currently own. Under the terms of the merger agreement, which was announced on November 20, 2006, minority stockholders of TD Banknorth will receive $32.33 in cash per share, for an aggregate transaction value of approximately $3.2 billion. The transaction is subject to approval of the holders of a majority of the shares of common stock of TD Banknorth not owned by TD Bank and other customary conditions and is expected to be completed in March or April of 2007. TD Bank was invited to make a proposal for a going-private transaction by an independent committee of TD Banknorth’s board of directors pursuant to the agreement governing TD Bank’s majority investment in TD Banknorth. The Firm represented TD Bank in its acquisition of 51% of the outstanding common stock of TD Banknorth in a transaction completed in 2005.

Morgan Lewis Trial Team Wins $53.5 Million Patent Infringement Verdict
After a five-week trial, a federal jury in Los Angeles today awarded damages of $53.5 million to Morgan Lewis client L.G. Philips in a lawsuit over its LCD—liquid crystal display—technology patents. Because the jury found that the defendants willfully infringed L.G. Philips' patents, U.S. District Court Judge Consuelo Marshall may increase the damages at her discretion up to two times the jury's $53.5 million award.

L.G. Philips is the world's leading innovator of thin-film transistor liquid crystal display (TFT-LCD) technology. The Seoul, Korea-based company sued multiple defendants, including Chunghwa Picture Tubes (CPT) and Tatung Co., for infringement of patents relating to the structure and manufacture of TFT-LCD panels—specifically U.S. Patent No. 5,825,449 (the '449 patent); and U.S. Patent No. 4,624,737 (the '737 patent).

"The victory over CPT and Tatung should enable L.G. Philips to aggressively pursue and successfully implement its licensing program, as a number of companies were awaiting the trial's outcome," said Litigation-Intellectual Property Partner Daniel J. Johnson Jr. (Palo Alto), who led the L.G. Philips trial team along with Litigation-Intellectual Property Partners Kell M. Damsgaard (Philadelphia) and Anthony C. Roth (Washington, D.C.). During trial, Mr. Johnson explained to the jury that the '449 and '737 patents are building block patents for the TFT-LCD technology.

The jury verdict marks the end of a four-year-long patent dispute between L.G. Philips LCD and the defendants. Over the years, L.G. Philips LCD has devoted a significant amount of resources in research and development, and in developing its patent portfolio. As a result, L.G. Philips now ranks first in the world in terms of the number of U.S. patents received on TFT-LCD technology.

Kaye Scholer Saves Another Life
Continuing a long tradition of representing the poor and poorly represented on death row, Kaye Scholer lawyers convinced a federal court in Alabama that our client, Holly Wood, is entitled to a new sentencing hearing or to have his death sentence vacated by the State of Alabama. For the past six years, Kaye Scholer lawyers have conducted an extensive investigation uncovering significant evidence that was ignored by Mr. Wood's trial counsel. Based on this evidence presented at hearings in state court, and briefing and argument in state and federal courts, the federal court concluded that Mr. Wood received ineffective assistance of counsel when his trial counsel failed to investigate and present evidence at sentencing regarding Mr. Wood's mental retardation. Mr. Wood was represented by litigation partner John Howley, litigation counsel Robert Grass, Brady Mills, International Trade Department associate, Max Schwartz, Nathan Cohen, Gertrude Pfaffenbach, and Karen Robinson, litigation associates, and Jessica Hodkinson and Jeremiah Frei-Pearson, both former Kaye Scholer litigation associates.
