WCM Victorious in Appellate Division, Third Department
Senior Partner Paul F. Clark won a significant victory in the Appellate Division, Third Department, which sits in Albany, New York. In Harris v. Glen Falls Hospital, the plaintiff, a Board Certified Anesthesiologist, claims that she was exposed to high levels of latex during a remediation project at the Glens Falls Hospital. She never returned to work as a physician. After extensive discovery was conducted focusing on plaintiff’s theory of liability that her exposure to latex caused her ailments, the defense announced its intention of filing a motion for summary judgment on the issues of negligence and the causal connection between her alleged latex exposure and present disability. In response, plaintiff moved to amend her pleadings to expand the list of contaminants beyond latex to include numerous other substances including “dust mites, silica dust, asbestos, mildew, mold allergens and mineral fibers.” Plaintiff supported her application with affidavits from several experts addressing questions of liability, causation and damages.

The trial court agreed with our argument that plaintiff’s application was late and would cause undue prejudice because virtually all discovery would have to be redone, rendering years of work meaningless. In addition, plaintiff provided no reasonable explanation for the lengthy delay in seeking to amend her pleadings. On appeal, the Third Department agreed and unanimously affirmed the trial court. We now proceed with plaintiff’s theory of liability confined to her original allegations in this complex, toxic tort action.

Varnum Hosts Taxation Institute Nov. 30
Varnum, Riddering, Schmidt & Howlett LLP is hosting a taxation institute on Thursday, November 30, 2006 from 8:00 am - 1:00 pm at Grand Valley State University's Eberhard Center.

Several Varnum attorneys, including the highly regarded tax experts of the former Raymond & Prokop law firm, will present on a variety of tax related topics including: The Pension Protection Act of 2006, State and Local Tax Updates, and IRS Enforcement and Tax Preparers' Responsibilities.

The half day seminar will qualify attendees for five hours of CPE credit in taxation for accountants and tax preparers. The seminar fee is $100 which includes breakfast, lunch and materials.

Salans acts on the purchase of Microbus for £5 million
Salans acted for RCapital Limited on the acquisition of Microbus in a deal worth in excess of £5 million.

The deal consisted of the acquisition of the entire issued share capital of Microbus Limited (Microbus) together with its three wholly owned subsidiaries, Microbus Designs Limited (Designs), Microbus Manufacturing Limited and Microbus Mobile Data Limited. Microbus is a mobile computing and embedded-PC manufacturer. The company's clients include various emergency services including the Metropolitan Police and London Ambulance Service.

The acquisition was made to assist Microbus with ongoing investment and growth of market penetration.

There were a number of elements to the deal which had to be completed prior to the acquisition including, the re-registration of Microbus as a private limited company and issues relating to the provision of financial assistance to the purchaser.

Jamie Constable of RCapital stated "We are extremely excited by the opportunities that Microbus presents and finding a company with such a high reputation across all aspects of its business means we have excellent foundations on which to grow the business."

Salans were assisted on tax matters by Robert James Partnership. The vendors were represented by BLP Collins.

Jonathan Polin commented, "We were very pleased to be able to support the client on this deal. The number of complexities to be addressed made the transaction an interesting one in which to participate. We successfully secured our clients' objectives in their required timeframe.
