Robert MacMahon Gains Nonsuit in Vehicle Accident Trial
Robert MacMahon, a partner in the Firm's Philadelphia office, recently obtained a nonsuit on behalf of a bus operator in a dart-out case that proceeded to trial in Chester County, Pennsylvania. The case involved a claim by a college student, who was struck by a car after getting off the bus. The passenger alleged negligence on the part of the bus driver in letting the plaintiff off in a no-parking zone. The plaintiff, who suffered a severely fractured leg that had to be repaired with a rod and screws, demanded $250,000 to settle prior to trial.

SCHIFF HARDIN LLP WELCOMES CATHERINE HOBART THOMPSON AS A PARTNER IN THE ATLANTA OFFICE
Schiff Hardin LLP has added Catherine Hobart Thompson as a partner in the Labor and Employment Group in the Atlanta, Georgia office. She joins our firm from Smith, Currie & Hancock LLP in Atlanta where she was a partner.

Ms. Thompson advises management on human resources issues and federal, state and local employment laws. She represents management before all courts and government agencies, with a focus on employment discrimination, harassment and retaliation claims.

Ms. Thompson is a frequent speaker at seminars and conferences on all topics of employment discrimination, with a primary emphasis on sexual harassment training.

Her publications include "State Habeas in Virginia: A Critical Transition," Capital Defense Digest (November 1990).

EMC Corporation Call Spread Transactions
Davis Polk & Wardwell advised JPMorgan Chase Bank, National Association, Deutsche Bank AG, Goldman Sachs International and Citibank, N.A. as counterparties to call spread transactions in connection with a Rule 144A offering by EMC Corporation of its $3.45 billion 1.75% convertible senior notes due 2011 and 2013.

Based in Hopkinton, Massachusetts, EMC Corporation and its subsidiaries develop and deliver open, flexible information infrastructures, offering a wide range of systems, software, services and solutions that help organizations extract greater value from their information and get the most out of their information technology (IT) assets.

The Davis Polk team included partners Witold Balaban and Linda A. Simpson and associates Joyce Y. Xu, Rafal A. Nowak, Yan Zhang and Andrew Ralston. Partner Michael Farber provided tax advice. Nathan Iacovino was the legal assistant on the transaction. All members of the Davis Polk team work in the New York office.

Spansion Inc. Common Stock Offering
Davis Polk & Wardwell advised Citigroup Global Markets Inc. and Credit Suisse Securities (USA) LLC as joint book-running managers on a $481.25 million SEC-registered offering of 35,000,000 shares of common stock of Spansion Inc. The shares were sold by AMD Investments, Inc. and Fujitsu Limited and are listed on the Nasdaq Global Market.

Based in Sunnyvale, California, Spansion is one of the largest Flash memory providers and the largest company in the world exclusively dedicated to designing, developing, manufacturing, marketing and selling Flash memory solutions, a critical semiconductor element of nearly every electronic product and one of the fastest-growing segments of the semiconductor industry.

The Davis Polk corporate team included partner Alan F. Denenberg and associates Michael Nordtvedt, Robert J. Maynes and John Crawford of the Menlo Park office. Partner Rachel D. Watts Water Technologies Common Stock Offering
Davis Polk & Wardwell advised J.P. Morgan Securities Inc., KeyBanc Capital Markets, a Division of McDonald Investments Inc., Robert W. Baird & Co. Incorporated and SunTrust Capital Markets, Inc. as representatives of the underwriters on a $230 million SEC-registered offering of 5,750,000 shares of Class A common stock of Watts Water Technologies, Inc. (including 750,000 shares issued in connection with the underwriters’ over-allotment option).

Watts Water Technologies, Inc. manufactures products to control the efficiency, safety and quality of water within residential, commercial and institutional applications.

The Davis Polk corporate team included partner Joseph A. Hall and associate Justin G. Powell. Partner Harry Ballan and associate Raymond J. Holst provided tax advice. Counsel Loyti Cheng and associate Hayden Baker provided advice on environmental matters. Maria Norbis was the legal assistant for the transaction. Riker Danzig Welcomes Richard D. Martinson

Richard D. Martinson, of Westfield, is a highly experienced tax attorney whose practice focuses on sophisticated transactional tax planning for a broad range of corporate, partnership, international and other business-related issues. He advises both public and private clients in developing unique and creative solutions to complex corporate and business transactional problems. His particular areas of expertise include mergers and acquisitions; corporate restructurings; use of partnership, joint venture and other pass-through business vehicles in both domestic and international settings; cross-border financings, start-up, venture capital and private equity funds; use of tax sensitive financial instruments; leveraged leasing and equipment financings and real estate investment trusts.

Mr. Martinson has over twenty years of experience, and has participated in scores of high-profile deals involving Fortune 100 domestic and foreign corporations. He comes to Riker Danzig from Morgan, Lewis & Bockius LLP of Philadelphia. Mr. Martinson earned his law degree from Rutgers University School of Law-Newark in 1982 and his undergraduate degree from Rutgers College in 1978. In addition to his law degree, he has an LL.M in Taxation from New York University School of Law.

Chris Geis Returns from Duty in Middle East
Most Womble Carlyle clients know Chris Geis as a respected attorney in the Insurance, Governmental and Tort Litigation Practice Group.

But his family, friends and co-workers also know him as a Lt. Commander in the United States Navy. Geis joined the Navy during law school and served five years on active duty before joining Womble Carlyle and becoming a reservist in 2003.

In March, Geis put his civilian life on hold to serve a nearly seven-month tour of duty in Kuwait with the Naval Expeditionary Logistics Support Group (NAVELSG). The 1,100-member unit handles port operations and air cargo, delivering supplies and equipment to soldiers, sailors and Marines throughout the Middle East. Geis serves as the unit’s Staff Judge Advocate and is assigned to the Judge Advocate General’s (JAG) Corps.

Geis returned to work in Winston-Salem this week. He said he was glad to be home, but also thankful for the opportunity to serve his country.

Life in the Middle East isn’t easy for an American serviceman. Temperatures in the summer routinely exceed 120 degrees. Military personnel at the base Geis was stationed aren’t allowed to venture off base except for official business. Even then, they must carry firearms and travel in pairs. When Geis made a trip near the Iraqi border, he had to wear body armor.

“Still, Kuwait is a relatively safe environment compared to Iraq and Afghanistan,” Geis said.

Geis performed a number of legal duties in Kuwait. He advised the unit’s commanding officer daily on any legal or ethical issues, served as a judge for a court-martial proceeding and handled legal questions pertaining to customs.

In addition, he provided rules of engagement training for sailors headed for the combat zones in Iraq and Afghanistan.

“I enjoyed that the most because it directly affected the people at the front lines,” he said.

Geis also helped the sailors with their own legal problems, usually of a civil nature. Most of the people in his unit are reservists like himself, Geis said, and some feared losing their regular jobs while on active duty. Geis worked to help ensure those sailors’ legal rights were protected.

On the other hand, Geis said he received tremendous support from Womble Carlyle. He said the firm made up the difference in his salary so he wouldn’t have to take a pay cut while on active duty. Firm employees also sent him cards and care packages while he was overseas.

On Nov. 15, the firm’s Winston-Salem held a reception to welcome Geis home and thank him for his service.

“Not everyone has that kind of support,” Geis said. “I really appreciate it; it means so much when you are over there.
