ICI sells Quest to Givaudan for £1.2bn
Imperial Chemical Industries PLC (ICI) has reached an agreement to sell Quest, its flavours and fragrance business, to listed Swiss flavour and fragrance company Givaudan for a gross cash consideration of £1.2bn, subject to closing balance sheet adjustments, including working capital and net debt. International law firm Freshfields Bruckhaus Deringer advised ICI on the deal.

Cravath represented the underwriters (led by Credit Suisse, Goldman, Sachs & Co. and Morgan Stanley) in connection with the initial public offering of class A common stock of Spirit AeroSystems Holdings, Inc., the largest independent non-OEM designer and manufacturer of aerostructures in the world. Spirit is a portfolio company of Onex Corporation. The shares have been approved for listing on the New York Stock Exchange. To date in 2006, the Spirit IPO is the second largest IPO in the U.

Clark Hill PLC Attorney Barbara A. Ruga Addresses Michigan Institute of Educational Management
Clark Hill attorney Barbara A. Ruga addressed the Michigan Institute of Educational Management on November 10 at the 20th Annual Staff Support Conference for Administrative Professionals at the Amway Grand Plaza Hotel. Her presentation was entitled “Overview of the Legal Issues Regarding School Employment Law for School Support Staff.” Ruga examined personnel issues, unprofessional conduct, criminal records, ADA compliance and various additional issues during her three hour presentation.

Ruga has been practicing law for nearly 30 years in the areas of education, labor relations and employment law. She predominantly represents public school districts in a wide range of employment and school law matters, and frequently lectures to public school districts on employment matters.

Ruga has published several books and articles in the field of employment law, including articles in the Michigan Council of School Attorneys Newsletter. She was the co-editor and author of “Michigan Wrongful Discharge and Employment Discrimination,” (ICLE, 1990-1994) and “Wrongful Discharge Cases in Michigan,” (1984 and 1987 editions).

Ruga has been active locally on bar association committees, professional, charitable and local governmental projects.
