Christine Amalfe Honored for Advocating for Working Women
Christine A. Amalfe, Chair of the Employment Law Department was recently honored by The Center for Women and Work as one of New Jersey's leading advocates for working women. This award honors women who have helped to further women's equity in our communities through their work in a variety of fields.

Recognized as one of New Jersey's leading lawyers, Ms. Amalfe has written and spoken extensively about women's diversity, and is one of the original co-founders of The Gibbons Women's Initiative, a networking, mentoring and business development platform for women attorneys to participate with colleagues of the firm and with firm clients and contacts.

Freshfields Bruckhaus Deringer advises UniCredit on its €12.5bn acquisition of Bank Austria
International law firm Freshfields Bruckhaus Deringer is advising Italy's UniCredit on the acquisition of Bank Austria Creditanstalt from HypoVereinsbank. Even after the successful public takeover offer by UniCredit, HypoVereinsbank is still a listed company with outside shareholders, so a HypoVereinsbank extraordinary general meeting on 25 October 2006 authorised the transfer of the 77.5 per cent stake held by Hypovereinsbank. The purchase price is approximately €12.5bn.

The Freshfields Bruckhaus Deringer team was led by Frankfurt corporate partner and global head of the corporate group Andreas Fabritius, with Munich corporate partner Eberhard Seydel, capital markets partner Maria Th. Pflügl and corporate partner Thomas Zottl (both Vienna), and Frankfurt corporate principal associate Arend von Riegen.

Douglas A. Hastings Appointed Chair of Epstein Becker & Green
Epstein Becker & Green, P.C., announced today that Douglas A. Hastings has been appointed Chair of the Firm’s Board of Directors, a move that marks an important step in the Firm’s transition to a new generation of leaders.

“We are delighted that Doug Hastings has assumed the role of Chair of the Board,” said long-time Managing Partner George Sape. “Doug has been a key partner and leader at the Firm for many years and is eminently qualified for this position. Doug’s appointment is integral to the Firm’s future growth and planned transition from the leadership provided by the founders for the past 30 years to new leadership to take the Firm forward. It will also strengthen the Firm as an institution.”

EBG, whose founding partners remain fully committed to their respective practices, have been planning an orderly succession to new leadership, according to Sape. The designation of a Board Chair and the new appointment will enhance the leadership of the rapidly growing law firm. Sape will remain as the Firm’s Managing Partner.

Hastings, 57, who serves as Chair of the Firm’s Health Care and Life Sciences Practice and is a member of its Compensation Committee, said: “I’m honored to be appointed Chair of the Board of Epstein Becker & Green. I look forward to working with the Firm’s leadership and all of its excellent lawyers to continue the Firm’s growth as a national leader in its core practices, as an innovator in providing its clients focused insight and high-quality services and as a diverse, vibrant and professionally rewarding place to work.”

Hastings served on the Board of Directors of the American Health Lawyers Association from 1991 to 2003, and was President of that organization for 2001-2002. He currently serves on the Board on Health Care Services of the Institute of Medicine and the National Quality Advisory Committee of the National Quality Forum. In 2006, Hastings was named one of the Washington DC Area’s Top Life Sciences Attorneys by the Legal Times. He is listed in the Chambers USA Guide and was listed by Nightingale’s Healthcare News as one of the leading healthcare transaction lawyers of 2003. In 1997, The National Law Journal named Hastings as one of “40 Health Care Lawyers Who Have Made Their Mark.” He has been a Visiting Lecturer at the Duke University Department of Health Administration.

Co-Founding Partner Ronald Green, who heads up the Firm’s Labor and Employment practice, echoed the same sentiments. “Doug has proven himself an accomplished lawyer and able leader, and as the Firm moves forward I am confident that Doug will provide the continued leadership to take the Firm to the next level,” said Green.

Co-Founder Jeffrey Becker said: “It is important that law firms have leadership transition plans. I am confident that Doug Hastings is the right person to guide EBG toward new goals as the next generation of leaders builds on the foundation that I and my Co-Founders have established.”

The Firm also announced that William Milani, Chair of the Firm’s Strategic Planning Committee, and A. Martin Wickliff, Jr., Managing Partner of the Firm’s Houston office and Chair of the Firm’s Labor Steering Committee, were elected to additional terms as directors. Carmine Iannaccone, Managing Partner of the Newark office, was appointed Chair of the Finance Committee, a position previously held by Hastings.

Clausen Miller Welcomes Celso de Azevado to the London Office
Celso de Azevado has qualified both as a barrister and as a solicitor in the UK and as a New York Attorney in the US.

Celso speaks Portuguese and Spanish fluently, and has been involved in complex Latin American and European insurance and reinsurance disputes, handling Energy, Construction, Marine, Political Risks, Warranties and Indemnities, and D&O matters. Celso has also had experience in dealing with back-to-back, non-disclosure and misrepresentation issues in major English High Court reinsurance litigation and in reinsurance arbitrations in the London market.

Cadwalader on the Rise in Chambers Global
The World’s Leading Lawyers for Business has released its 2007 rankings which reflect Cadwalader’s ever-increasing strength in the world market with improved rankings in many areas and a number of new rankings. Cadwalader received marks of distinction in categories encompassing Capital Markets, Corporate/M&A, Dispute Resolution, Financial Restructuring, Private Client and Tax.

Capital Markets
For 2007, Chambers added new Global categories for Capital Markets. Cadwalader was
ranked in the areas of Securitization and Structured Products, befitting the Firm’s expansion into European and Asian markets. Anna Glick, “a leading light of the profession,” Michael Gambro and Richard Schetman and Neil Weidner were all singled out for their contributions. The UK Securitisation and Structured Finance practices each moved into the third tier. Charles Roberts was praised for his consistent ability “to get the deal done in very tight timeframes” and as a lawyer who can “consistently be counted on to get it right on any issue," while Weidner, Angus Duncan and Christian Parker also were ranked for their structured finance expertise. The US Securitization practice rises into the number one tier as “a distinct domestic and international leader.” Glick, Gambro and Schetman are again recognized as are Charles Bryan, James Carroll, Steven Cohen, Jordan Schwartz, and Stuart Goldstein. The US Structured Finance team also earns a number one slot with Schetman, Ira Schacter, an “outstanding choice to advise on
derivatives-based, cutting-edge work,” and “rising star” Ray Shirazi. The Derivatives attorneys are described as “formidable lawyers” with a municipal swaps practice that is “second to none” featuring Lary Stromfeld who vaults into the first tier.

Corporate/M&A, Tax
Dennis Block who, according to clients, ” hits a stunning home run every time” continues his lock on the first tier of corporate lawyers in the survey. The department which is “making great strides” rises to the third tier for the first time. Cadwalader’s corporate lawyers are said to “tick all the boxes - they are exceptionally proactive, commercial and have the ability to get down and do deals.” The Tax group is noted for its “instrumental role” in Cadwalder’s M&A practice under the leadership of Linda Swartz.

Financial Restructuring/Dispute Resolution
The UK Restructuring group is said to “always do a fantastic job.” Andrew Wilkinson, retains his number one ranking, “has one of the highest profiles in the field”, and is described as “incredibly talented” and “great at keeping his clients happy.” Michelle Duncan is singled out for her work in the area of dispute resolution, in particular, with regard to her representation of creditors of TXU Europe. The “standout” US team is also recognized for its work representing Northwest Airlines. Department Chair Bruce Zirinsky is hailed as “[a]n elegant negotiator,” with the ability to “pull together diverse groups and personalities” to achieve productive results.

Private Client
Cadwalader’s Private Client Department is ranked in the Global section of the guide for the second year in a row based on its strong presence representing clients from Latin America, Europe, the Middle East and Asia. “[G]enuinely top-flight lawyer” and Department Chair Robert Lawrence is again ranked in the first tier and is “a dean in his field.” Chambers goes a step further to recognize the team of younger specialists working under Lawrence’s leadership with Jane Tse singled out for her “substantially international portfolio.

Sylvia James Joins Baker Botts as Diversity Counsel
Sylvia James, who has counseled Fortune 500 companies and government agencies on ways to improve diversity performance and programs, has joined Baker Botts as the firm's diversity counsel. She will be based in the firm's Washington, D.C. office.

As diversity counsel at Baker Botts, James will coordinate the implementation of initiatives to enhance recruitment, development and retention of attorneys from diverse backgrounds and to manage the firm's recognized supplier diversity program .

"Sylvia James brings a wealth of experience and knowledge on diversity and employment issues that are important to enhancing our ability to represent clients from all walks of life," said Baker Botts Managing Partner Walt Smith. "We strive every day to meet the highest standards expected of us by our clients. On the diversity front, Sylvia will make certain we maintain that commitment."

Prior to joining Baker Botts, James was senior counsel at Holland & Knight in Washington, D.C., specializing in corporate diversity counseling and labor and employment law. Before that, she was an associate in at Scopelitis, Garvin, Light & Hanson and Akin, Gump, Strauss, Hauer & Feld. She earned her law degree from the Duke University School of Law and a bachelor of arts (with honors) in political science from Vassar College. She is licensed to practice law in Maryland and the District of Columbia.

"The opportunity to have an impact on enhancing diversity programs and policies at Baker Botts is one I could not pass up," James said.
