Simpson Thacher Represents Goldman Sachs PIA in Acquisition of Stake in Guandong Midea Electric Appliances Co., Ltd.
The Firm represents Goldman Sachs Principal Investment Area ("PIA") in its subscription and purchase of 10.71% of the share capital of Guangdong Midea Electric Appliances Co., Ltd. (the "Company") on a fully diluted basis. The Company is based in Shunde, Guangdong Province, China and is one of the largest white goods manufacturers in China. PIA entered into a Private Placement Agreement with the Company, and a Shareholders Agreement with Midea Group Co., Ltd. and Foshan Shunde Kailian Industry Development Company (two largest shareholders each controlled by the founder). This transaction is a landmark PIPE deal in that it may be the first PIPE deal under the new legal framework for foreign strategic investment in Chinese-listed companies established early 2006 with the definitive agreements being signed.

Simpson Thacher Represented Riata Energy, Inc. in its Acquisition of Oil & Gas Business Controlled by Carl C. Icahn
Simpson Thacher represented Riata Energy, Inc. (d/b/a SandRidge Energy, Inc.) (“SandRidge”) in its approximately $1.5 billion acquisition of NEG Oil & Gas LLC from American Real Estate Partners L.P. (“AREP”). AREP is an affiliate of Carl C. Icahn. The transaction represents the acquisition of substantially all of AREP’s oil and gas operations. In the acquisition, SandRidge issued approximately 12.8 million shares of its common stock to AREP, paid $1.025 billion cash and assumed approximately $250 million of debt of NEG Oil & Gas, net of cash.

SandRidge is an oil and natural gas company with its principal focus on exploration and production. SandRidge also owns and operates drilling rigs, provides oil field related services, and owns oil and gas properties in Texas, Colorado, the Gulf of Mexico, Oklahoma and Arkansas.

Holly Svetz Leads Internet Protocol Version 6 Discussion at D.C. Tech Council Event
On Nov. 13, 2006, Holly Emrick Svetz, a partner in our Northern Virginia office, moderated a sharply focused discussion on the upcoming transition in the Internet world to IPv6 (Internet Protocol version 6) and the need for the public and private sectors to prepare for the switch. Womble Carlyle sponsored the luncheon program, which was an event of the D.C. Technology Council.

A full house -- more than 90 people drawn from the corporate, consulting, and government worlds -- gathered at Maggiano's Little Italy restaurant in Washington's Friendship Heights neighborhood to hear the discussion. Speakers emphasized that the federal government has mandated that all executive agencies --and by implication, government contractors as well -- must become IPv6 capable by the end of June 2008, and that this mandate, thus far, is far from being fulfilled. In fact, there remains considerable uncertainty about the precise meaning of the term "IPv6 capable."

IPv6 will expand the Internet and increase its capabilities by providing far more addresses for computers and other devices to connect to the global system. It is also expected to enhance security. In the United States, the government is taking the lead in the adoption of IPv6.

"The value of the work impacted by the change-over could be huge indeed," Svetz said in her opening remarks. "IPv6 could impact $125 billion in the GSA network and in related telecom and IT contracts, as well as $25 billion reserved for small businesses." Svetz also noted that not only do we not know the definition of "IPv6 capable"; we do not even know who is going to make the decision about how to define the term.

"When I first heard about IPv6," Svetz said, "I immediately thought it sounded like Y2K, an exercise that ten years ago or so, I along with everyone else in the information technology industry became very serious about." Svetz said that unlike in the run-up to Y2K, the U.S. commercial and banking sectors have not taken the lead in preparing for the change-over.

Peter Tseronis, one of the panelists, said that at his agency, the Department of Education, not everyone yet understands what needs to be done to comply with the mandate. "They're scratching their heads over some of the definitions that have been thrown out there," Tseronis said. Tseronis is co-chair of a government working group on IPv6.

Other panelists included Tom Patterson, founder and CEO of Command Information, a consulting company that has taken a lead role in assisting the IPv6 transition; and Stan Tyliszcak, senior director of technology integration at General Dynamics Information
Technologies.

Diana Liu Listed Among Philadelphia Business Journal's 'Women of Distinction'
Diana C. Liu, a partner in WolfBlock's Real Estate practice group, has been named one of the Philadelphia Business Journal's Women of Distinction for 2006.

Honorees are considered to be among the region's most dynamic women and are selected for making headlines in their professional field and in their community. They will be recognized at an awards banquet on Wednesday, December 6

"Diana keeps getting recognized as a shooting star," said Herman C. Fala, chair of WolfBlock's Real Estate practice group. "She was recently elected to the board of trustees at Johns Hopkins University and to the American College of Real Estate Lawyers, and she speaks on many sophisticated real estate panels nationally. Diana also teaches at the University of Pennsylvania Law School, and her students love her. In addition, she is a lawyer in high demand who is very responsible, very committed to delivering high-quality legal services and a real client pleaser. She's also well recognized in the local Asian community."

Liu has experience in the acquisition and development of commercial real estate, including shopping centers; in the acquisition of office buildings and industrial parks; and in the representation of lending institutions in loan transactions and complex loan workouts. She also has experience in representing owners in connection with restaurant management agreements and hotel operators in connection with hotel management agreements

"I credit my faith, my family and my friends, including my great mentors at WolfBlock, for giving me many opportunities to succeed and for teaching me to be a better person," said Liu. "I've been at WolfBlock for 18 years, and that says a lot."

Liu holds degrees from Cornell University (J.D.) and Johns Hopkins University (B.A.), where she is a member of the board of trustees.

Top Ranked Energy Team Joins White & Case
Two of America's most prominent energy lawyers, Earle H. O'Donnell and Donna M. Attanasio, have joined White & Case as partners in Washington, DC, further strengthening the Firm's top ranked Energy, Infrastructure and Project Finance practice.

Mr. O'Donnell, long recognized as one of the country's leading lawyers in the energy field, has represented clients in some of the largest utility mergers and acquisitions (M&A), regional transmission organization developments, transmission and interconnection issues, market-based rates, government audits and investigations and state and federal regulatory issues of the electric utilities industry. He will serve as the head of White & Case's Energy practice.

Ms. Attanasio, noted for her power contract negotiation practice, has advised developers of independent generation, electric utilities, energy marketers, transmission providers and other integrated and disaggregated utility service providers in both regulatory and transactional matters.

Both represent clients in proceedings before the Federal Energy Regulatory Commission, state regulatory agencies and state and federal courts.

Mr. O'Donnell and Ms. Attanasio have for several years been ranked by Chambers and Partners in the area of electricity, with O'Donnell being ranked in the first tier. Additionally, he was selected as one of the ten top attorneys in energy law by Legal Times in 2005 and recognized in Best Lawyers in America 2006.

"Earle and Donna bring unrivaled experience in both transactional and regulatory issues in virtually every facet of the ever changing and closely watched US energy industry," said Art Scavone, global co-head of White & Case's projects practice in New York.

Victor DeSantis, executive partner of the Firm's Washington office, said the new team will propel White & Case to the forefront of energy regulatory practice in the nation's capital. In 2005 alone, nine matters on which the project finance lawyers worked were named "Deal of the Year" by the industry press. Rita Rodin Speaks at IP License Conference
New York intellectual property and technology partner Rita Rodin was among the faculty members at "Understanding the Intellectual Property License 2006," a CLE held in New York City on November 27-28. The conference examined trademark and copyright licensing, patent and technology licensing, international and antitrust issues in licensing and more. Ms. Rodin spoke on "Software Licensing and Open Source Issues.

Stradley Ronon Summer Associate Program Ranked Nationally by American Lawyer Magazine
Stradley Ronon’s summer associate program was recently ranked 18th out of 172 firms nationally and 6th among Philadelphia firms in the 2006 American Lawyer Summer Associates Survey.

The survey drew responses from more than 6,700 law school students, each of whom worked at least three weeks at one of the 172 law firms listed.

“We are proud of our national ranking. We provide our ‘summers’ with a realistic work-life experience in an exciting and collaborative environment,” said Managing Partner Jeffrey A. Lutsky. “The survey results are a nice complement to our recent 100% acceptance rate from the summer associates we offered jobs to the last two years.”

The survey ranked firms on nine areas of job satisfaction, including the interest level of the work and how much of it was “real,” the training and guidance, interactions with partners and full-time associates, how well the firm communicated its goals, how accurately it portrayed itself in interviews, how it rated overall as a place to work, and the respondents’ inclination to accept a job if one were offered.
