Lapidow Seeks Donation Money Refund
Seth J. Lapidow, a Partner in the Litigation Department in the Princeton office, is representing a family who wants their money refunded from a 1961 donation made to Princeton University.

The family of Charles and Marie Robertson say the late couple intended the donation to be spent specifically to educate graduate students for careers in government, especially as diplomats for the United States. The family now says Princeton University used the donation for purposes not intended or authorized by the donors.

The family donated the money in 1961, hoping to turn the graduate school at Princeton's Woodrow Wilson School of International Affairs into a finishing school for U.S. government spies and diplomats. The Robertson family believes the school has not produced enough government agents, and they want the money returned in order to support the original intent of the donors.

"Princeton takes the position that this gift was made to Princeton University," Mr. Lapidow said. "The plaintiffs believe Princeton was just the instrumentality of the gift--and the gift was to the American public.

Mintz Levin Advises Globe Specialty Metals, Inc., in its Acquisition of Stein Ferroaleaciones SA
Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C., - a full-service, 450-lawyer AmLaw 100 firm with offices throughout the U.S. and in the U.K., announced that it represented special purpose acquisition company Globe Specialty Metals, Inc., formerly International Metal Enterprises Inc., in its acquisition of Stein Ferroaleaciones SA, an Argentine company for $33 million in cash. Globe Specialty Metals, Inc. is listed on AIM, the London Stock Exchange's international market for smaller growing companies. Stein Ferroaleaciones SA is a leading producer of high-purity silicon metal and high grade silicon-based alloys.

Mintz Levin attorneys involved in the transactions include: London attorneys Lena Hodge, Jemma Shorten and Joanna Rogers; New York attorneys Kenneth Koch, Ivan Blumenthal, Avisheh Avini, Jennifer Rubin, Robert Karpf, Stephanie Hoos, Kevin Norman, Raul Duggal and Sarah Klosner; and Boston attorneys Pamela Greene, Adelita Press, David Halpert, Michael Lieberman and Travis Blais.

The Globe Specialty Metals acquisition represents the third acquisition for an AIMSPAC that Mintz Levin has assisted in the last 18 months. Mintz Levin has also represented two US SPACS in making acquisitions totaling close to $900 million over that same period.

Two Lathrop & Gage Attorneys Among Worth Magazine's Top 100
Worth, a magazine that caters to families of substantial wealth, has recognized Lathrop & Gage attorneys Peter W. Brown and Joel B. Voran as among the top 100 wealth strategies attorneys in the country.

Worth’s list of lawyers appears in the magazine’s December 2006 issue. Both Brown and Voran practice in Lathrop & Gage’s Kansas City office. Notably, they are the only Kansas City attorneys represented on the list, and comprise two of the three attorneys named for Missouri. No lawyers are listed for Kansas.

Worth compiled its list by surveying its readers for recommendations of outstanding lawyers they have used for their personal needs, from trusts and estates work to philanthropy advice to tax concerns. Each nominated attorney then completed a detailed survey regarding their experience and insights on current legal trends.

Brown focuses his practice on business, estate and tax planning for closely held corporations, individuals with large estates, and real estate investors. He is a Registered Investment Advisor and a Fellow of the American College of Trust and Estate Counsel. Brown is a member of the board of directors for Briarcliff Development Co., Inc. and Garney Companies, Inc., and is on the steering and project oversight committees for the Metropolitan Kansas City Performing Arts Center.

Voran is chairman of the Wealth Strategies Practice Group at Lathrop & Gage, where he specializes in wealth retention planning for closely held business owners and their families and high net-worth corporate executives. He has more than 29 years of experience in estate planning, tax law and general corporate matters and is a Fellow of the American College of Trust and Estate Counsel. Active in the community, Voran has served on the board of directors for Community Service, Inc. and the YMCA Center City District and has worked with the Children’s Mercy Hospital Planned Giving Council.

Katz Barron Attorneys Address Construction Industry Professionals
On Friday, December 1, 2006, Katz Barron Squitero Faust hosted a seminar designed for professionals in the construction, development and insurance industries.

Leyza F. Blanco, partner and Stephen Walruth-Sadurni, Of Counsel presented “Legal Strategies for Today’s Volatile Real Estate Market”, which covered information needed to safeguard rights, avoid litigation, and capitalize on current risk management techniques. The discussion focused on the pre-contract state and how to prevent problems before they start, managing a project and handling problems during performance, claim resolution and litigation strategies, and bankruptcy basics and distressed project intervention

“With the rise of construction development in South Florida, these types of informational sessions are vital to help inform the community about pitfalls to avoid before project implementation of a particular development,” stated John R. Squitero, managing partner of the firm.

Leyza F. Blanco, Partner, serves as Chairperson of the firm's Litigation Department. She has devoted her practice to a wide range of litigation and insolvency matters, including out-of-court workouts, debt restructuring and representation of creditors, trustees and debtors in bankruptcy and general commercial litigation matters in state and federal courts. Leyza is currently the president of the Bankruptcy Bar Association.

Stephen P. BINGHAM MCCUTCHEN ADDS FINANCE ATTORNEYS TO GROWING LOS ANGELES PRACTICE
Bingham McCutchen announces that Anthony R. Callobre and Mark A. Spitzer have joined the firm as partners in the Bank, Commercial and Structured Finance Practice Group in the Los Angeles office. Callobre and Spitzer formerly were partners in the Finance and Bankruptcy Practice Group at Sheppard Mullin Richter & Hampton LLP in Los Angeles.

“Tony and Mark are great additions to our growing finance practice in Los Angeles,” said Los Angeles managing partner Richard Welch. “Their strong and long-standing relationships with major financial institutions – many of which are clients of the firm – will add strength to strength. Callobre and Spitzer add more experience to Bingham’s expanding Bank, Commercial and Structured Finance practice in Los Angeles. Earlier this year, the office added partner Sandra Lee Montgomery from Morrison & Foerster. Montgomery focuses on asset-based lending and related workouts, commercial bank lending transactions, and cross-border transactions.

Callobre’s practice focuses on commercial lending. His experience includes single lender and syndicated senior-secured, second-lien, mezzanine and unsecured acquisition and working capital loans; cross-border lending transactions; acquisitions, sales and liquidations of loan portfolios; problem loan workouts and restructurings; 363 sales; foreclosures; and debtor-in-possession financings.

Callobre, a graduate of Brown University and the Boston University School of Law, represents commercial banks, commercial finance companies, hedge funds and other institutional lenders. He assists clients on financing transactions ranging in size from $25 million to several hundred million dollars.

He frequently works with corporate clients in negotiating credit facilities as borrower’s counsel.
