Mark Manigan Named to NJBiz's 'Forty Under 40' List
WolfBlock partner Mark E. Manigan was named to NJBiz's 2006 "Forty Under 40" list earlier this month. The list recognizes New Jersey entrepreneurs who share a commitment to business growth, professional excellence and the community.

Manigan "dispenses more than legal advice to his clients," noted NJBiz. He "is also a savvy business adviser, identifying opportunities in the marketplace and offering counsel for daily and strategic planning.

A partner in WolfBlock's Health Law practice group, Manigan has a regional practice focused on the representation of health care industry participants in business and regulatory matters. Manigan serves a wide spectrum of health care clients, including hospitals, hospital systems, physicians, physician groups, ambulatory care facilities, medical staffs, long-term care facilities and health care entrepreneurs. He is also general counsel to many health care-related businesses and is a trustee on the board of the Center for Great Expectations, a residential treatment facility for homeless pregnant women with substance abuse problems.

He frequently lectures on topics of interest in the health care industry and is a member of the New Jersey, New York and Pennsylvania bars.

Robert Crowe Assesses Mass. Congressional Clout for Boston Business Journal
Robert B. Crowe, the chief executive officer of WolfBlock Public Strategies, LLC, was among the Boston-area observers asked by the Boston Business Journal to assess the clout of the Massachusetts congressional delegation in the wake of Democrats' electoral victories this year.

Speaking in the paper's November 10 issue, Crowe "said the turnover on Capitol Hill presents a 'significant' growth opportunity for Massachusetts' research and technology sectors, particularly when it comes to defense spending. ...

"'We're very optimistic,' Crowe said. 'Of course, you always have to appropriately engage public officials. You always make requests that are reasonable and in the public good.'"

In addition to his work with WolfBlock Public Strategies, Crowe is managing partner of WolfBlock's Boston office and a member of the firm's Real Estate and Corporate & Securities practice groups.

Pillsbury Winthrop Shaw Pittman Advises UK Pub Group in Planned Expansion
Simon Fielder, a partner in the London office of Pillsbury Winthrop Shaw Pittman, represented pub operator Geronimo Inns, in a £10 million equity investment by Glasgow-based private equity firm Penta Capital. In addition, Barclays Bank offered a further £14.5 million in new debt facilities to Geronimo as part of the company's plans to double its restaurant and pub holdings in the next three years. The transaction was completed on Nov. 24, 2006.

Geronimo Inns owns and operates 15 pubs and airport concessions in the UK. Geronimo pubs are best known for their high quality food menus, and the company is regarded as a pioneer in the neighborhood pub concept. Under the arrangement with Penta Capital, Rupert Clevely and Joanna Clevely (the founders of the group) will remain major shareholders in the company.

Schiff Hardin LLP has added Mazen Asbahi as an associate in the Corporate and Securities Group in the Chicago office. He joins our firm from Goldberg, Kohn, Bell, Black, Rosenbloom & Moritz, Ltd. in Chicago, where he was an associate.

His experience includes drafting and negotiating various types of corporate and commercial agreements, including purchase agreements, credit agreements, equity financing documents, intellectual property licenses, consulting agreements, merchandising agreements, and employment agreements.

Mr. Asbahi's practice also covers various other aspects of corporate transactions, such as due diligence related to corporate, intellectual property, environmental, and real estate matters, as well as preparing related memoranda, handling disclosure matters, and coordinating closings.

He has served as principal outside counsel to a foundation that produces not-for-profit documentaries and a leading Islamic educational institute in the U.S.

Mr. Asbahi's professional memberships include the American Bar Association, Leadership Greater Chicago, Chicago Legal Clinic Auxiliary Board, and Chicago Council of Lawyers.

During law school, Mr. Asbahi gained additional relevant experience as a judicial extern to the Honorable Sidney L. Schenkier, U.S. District Court for the Northern District of Illinois and also as a law clerk in the City of Chicago Corporation Counsel’s Office.

Kenyon & Kenyon Client Impax Laboratories, Inc. Announces Court of Appeals Remands Riluzole Patent Validity Decision
Kenyon & Kenyon LLP client Impax Laboratories, Inc. announced that the United States Court of Appeals for the Federal Circuit ruled that the district court had erred in deciding, after trial, that the patent relating to the use of riluzole in treating ALS (Pat. No. 5,527,814) was valid. Thus, the Federal Circuit vacated that decision and remanded it back to the district court for further proceedings related to the validity issue of anticipation.

Rilutek®, marketed by Aventis for the treatment of amyotrophic lateral sclerosis (ALS), also known as Lou Gehrig's disease, had U.S. sales of approximately $37 million for the 12 months ended August 31, 2006, according to Wolters Kluwer Health.

ADP Enters Sales-Tax Compliance Business With $125M Acquisition
The following article from the New Jersey Law Journal details a major transaction that the firm handled for our client Automatic Data Processing, Inc., with respect to IP due diligence and other IP-related issues.

Automatic Data Processing Inc., one of the world's largest payroll and human resources administration companies, is expanding into the sales-and-use tax compliance business.

The Roseland, N.J., company announced on Wednesday that it has acquired Taxware LP, a sales-tax compliance provider in Wakefield, Mass., for $125 million.

The move is part of ADP's strategy to become one-stop outsourcing center for its corporate clients' back-office needs, building on its principal business as a payroll processor.

The acquisition will allow ADP to automate sales, use, value-added and other consumption-tax calculation and filing for domestic and global client companies.

Taxware will be folded into ADP's Employer Services Division, the company said in announcing the acquisition. "This acquisition builds on our strong position in tax compliance services," said ADP CEO Gary Butler Kenneth Adler, Frank DeRosa, and Kenneth Patterson, of New York's Brown Raysman, Millstein, Felder & Steiner, represented ADP in the deal, along with in-house counsel Lech Choroszucha.
