Airgas Acquires Bulk Gas Business From Linde AG
our client Airgas, Inc. announced that it entered into a definitive equity purchase agreement with Linde AG to acquire its U.S. bulk gas business, which Linde AG is required to divest due to its acquisition of The BOC Group earlier this year for $495 million in cash. The Linde AG bulk gas business involves the sale of nitrogen, oxygen and argon, each produced and distributed on a "bulk" basis to customers in Ohio, Wisconsin, Georgia, Connecticut and South Carolina. Mergers and acquisitions advice was provided by partner Robert Schumer, counsel Peter Cohen and associate Michael Hong, with assistance from partner Richard Borisoff and associates Edward Ackerman, Julie D'Ambruoso, Gary Finiguerra, Nikhil Mehra and Giulianna Ruiz; and securities advice was provided by partners John Kennedy and Lawrence Wee. The Paul, Weiss team also included environmental partner Gaines Gwathmey and counsel William O'Brien; tax partner Peter Rothenberg and associate Sonia Inamdar; employee benefits partner Michael Segal, counsel Lawrence Witdorchic and associate Reuven Falik; intellectual property partner Charles Googe and associate Clinton Stauffer; real estate partner Harris Freidus and associate Joshua Babbitt; corporate paralegals Ronald Conliffe and Liana Rebollo.

Air Canada Closes IPO in Canada and U.S. Private Placement of Class A and Class B Shares
Air Canada, Canada's largest airline, closed its initial public offering in Canada and private placement in the United States of its Class A variable voting shares and Class B voting shares with gross proceeds of Cdn$200 million going to Air Canada and Cdn$325 million to ACE Aviation Holdings, the selling stockholder. Paul, Weiss acted as U.S. counsel to the underwriters, co-led by RBC Dominion Securities Inc., Citigroup Global Markets Canada Inc. and TD Securities Inc. The Paul, Weiss team included securities partner Andrew Foley, securities associate Jane Danek, corporate associates Ricky Fong and Tom Rosenstock, tax partner David Sicular and tax associate Mashiho Yuasa, with assistance on environmental matters from counsel Bill O'Brien, assistance on employee benefits matters from counsel Stephen Gorell and assistance from paralegal Amanda Walker.

Fulbright’s Weber Elected President of the American College of Bond Counsel
Fulbright Houston partner Rick Weber has been elected president of the American College of Bond Counsel (ACBC) by the group's board of directors. He will serve a one-year term until the fall of 2007. He succeeds Richard A. Weiss, a partner at Foley Lardner LLP in Washington, D.C.

Weber served the previous year as vice president and will be succeeded in that post by Margaret C. Pope, a partner with Haynsworth Sinkler Boyd PA in Columbia, S.C. Weber was also one of the members of the ACBC board elected to a second three-year term on the board continuing until 2009.

Membership in the American College of Bond Counsel is extremely limited and is a recognition of a lawyer's accomplishments and legal expertise in the field of bond law. Nominees for membership must have at least ten years of "substantial experience in bond law.

Foley Advises Harbor Retirement Associates in Purchase of Assisted Living Communities
Foley & Lardner LLP has advised Harbor Retirement Associates LLC on a deal to operate the Bristol Park of Coral Springs and Bristol Park of Tamarac assisted living communities in Broward County, Fla. The property was recently acquired by Newport Beach, Calif., based Nationwide Health Properties, Inc.

Under the terms of the acquisition, Harbor Retirement Associates, based in Vero Beach, Fla., will operate the facilities under its HarborChase brand as HarborChase of Coral Springs and Tamarac, respectively. Financial terms were not disclosed as part of the agreement between the two organizations.

“The senior housing market has experienced tremendous growth in recent years,” explained Michael Okaty, senior counsel at Foley & Lardner, “especially as the baby boomer generation, the fastest-growing segment of the population, is about to enter retirement. I would expect more deals to surface within the senior living real estate market as investors look for opportunities to capitalize on this growing segment.”

Foley attorneys Gordon Arkin, Michael Okaty and Sharal Henderson represented Harbor Retirement Associates in this transaction.

Wang Appointed to NYC Bar & 2nd Circuit Committees
New York partner Ona Wang was recently appointed to chair the Federal Legislation Committee of the New York City Bar Association for a three-year term. The Committee addresses legislative measures pending in Congress or before the President, measures proposed for introduction in Congress, proposed changes in federal rules of practice and proposed amendments to the United States Constitution.

Prior to her appointment as Chair, Ms. Wang was a subcommittee chair of the Federal Legislation Committee, and worked on a wide range of federal law issues, including proposed changes to the Federal Rules of Civil Procedures, proposed and pending legislation in the wake of Hurricane Katrina, trademark anti-dilution law, the impact of Presidential signing statements, and anti-torture legislation.

Established in 1870, the New York City Bar Association is one of the nation's oldest and largest local bar associations. It serves not only as a professional association but also as a leader and advocate in the legal field on a local, state, national and international level, serving its more than 22,000 members and the public with distinction.

Ms. Wang has also been honored by being selected by the Second Circuit to serve a three-year term as a member of the Planning and Programming Committee for the Second Circuit Judicial Conferences, which she will also be attending.

The Second Circuit Judicial Conference includes all of the Court of Appeals Judges, District Court Judges, Bankruptcy and Magistrate Judges, within the Second Circuit, as well as Justice Ruth Bader Ginsburg of the United States Supreme Court and usually at least one additional Justice from the US Supreme Court. The Planning Committee includes 17 Federal Judges, Presidents of bar associations, prominent attorneys, and the Dean of the New York University School of Law.

Beckwith Named to Top 100 U.S. Attorneys List
partner Edward Beckwith has been named to the “100 Top Attorneys” list by Worth magazine for the second year in a row. The list is the culmination of a year of extensive research by Worth's editorial staff.

In determining their selections, Worth’s editors looked at lawyers specializing in trusts and estates, philanthropy, elder care, matrimonial and other private practice areas. They "searched for those who can think beyond the numbers and routine of their daily work,” explained Worth Features Editor Emily DeNitto. "We wanted to know what types of strategic recommendations our nominees have made. We asked how they are responding to current trends and pivotal cases. We then examined their years of experience, time spent both behind a desk and in front of judges, as well as their thinking concerning the best and worst qualities for a lawyer in their field."

In addition to seeking individuals with exceptional legal expertise, Worth editors looked for lawyers with great tact, discretion and stellar interpersonal skills, enabling them to explain a client’s options in the face of incredibly complicated legal and psychosocial issues.

Beckwith has previously been honored as one of Washington, D.C.’s “Top Trusts and Estates Lawyers” by the Legal Times, as a “Top Lawyer” by Washingtonian magazine, as a Trust and Estates “Best Lawyer in America,” and is the recipient of the Washington, D.C., Estate Planning Council’s first Distinguished Service Award.

Stamboulidis Addresses Practising Law Institute: Investigations of a Board Director: Dos and Don’ts
The Practising Law Institute recently selected New York partner George A. Stamboulidis to give a nationally broadcast "hot-topic" CLE lecture titled "Investigations of a Board Director: Dos and Don’ts."

Mr. Stamboulidis and his co-speaker analyzed the myriad of legal, ethical, and fiduciary issues involved in the delicate, but increasingly necessary, investigations that a company might have to conduct of its board of directors.

Among the topics the speakers covered were:

* How best to insulate the company from liability
* Ways to protect directors and ensure that they are treated fairly
* When should the company form a Special Committee
* Where can a company lose its way and invite prosecution
* Why should a company worry about choosing the wrong techniques or private investigator
