Hogan & Hartson Counsel to Speak on U.S. FDA Regulations for European Pharmaceutical Companies December 8
Hogan & Hartson LLP counsel Elisabethann Wright will speak as a panelist at the C5's forum on U.S. FDA Regulation for European Bio-Pharma Industry Players. This event will explore the interaction and relationship of the Food and Drug Association with European agencies, specifically the European Agency for the Evaluation of Medicinal Products (EMEA)/FDA parallel scientific advice program. The conference is aimed largely at EU pharmaceutical companies interested in doing business in the United States. Panel discussion topics include:

Resident in the San Francisco office, he received his law degree from the University of Michigan Law School in 1997 and served as a law clerk to the late Justice James H. Brickley of the Michigan Supreme Court prior to joining the firm

Rashida K. La Lande – La Lande practices corporate law with an emphasis on mergers and acquisitions and private equity. Resident in the New York office, she received her law degree from Columbia Law School in 1998.

Jeffrey A. Le Sage – Le Sage practices corporate law with a focus on domestic and international mergers and acquisitions, private equity transactions, venture capital transactions and corporate securities matters. Resident in the Los Angeles office, he graduated cum laude from Loyola Law School - Los Angeles in 1998.

Cromwell Montgomery – Montgomery practices finance law, with a focus on a broad variety of secured and unsecured credit transactions, including high yield, second lien, mezzanine and subordinated debt transactions. Nierlich served as a judicial clerk to Judge Morris S. Arnold on the United States Court of Appeals for the Eighth Circuit prior to joining the firm.

EAP&D Serves as Lead Counsel for Mortgage Financing Secured by 2.6 Million Acres of Timberland and Timber, with Purchase Price of $3.16 Billion
November 29, 2006 – The 520-attorney national law firm of Edwards Angell Palmer & Dodge served as lead counsel to Metropolitan Life Insurance Company in a recently completed transaction that established a long-term, first mortgage loan secured by approximately 2.6 million acres of timberland and timber across the Southeastern United States.

“This was part of the largest land purchase in the contiguous U.S. since the Louisiana Purchase,” said John D’Agostino, a partner resident in the firm's Hartford office who led the Edwards Angell Palmer & Dodge deal team which included more than 15 attorneys plus paralegal and support staff. "The depth, experience and intensity of our entire team allows us to support this huge and complicated transaction with the utmost efficiency."

At a purchase price of $3.16 Billion, the borrower was Red Mountain Timberlands, LLC, whose assets are managed by Resource Management Service, LLC of Birmingham, Alabama. The transaction included land in eight states including Alabama, Arkansas, Florida, Louisiana, Mississippi, North Carolina, South Carolina and Texas, which Red Mountain purchased from International Paper Company.

Mr. Peters provides general corporate and securities representation to a number of the firm’s public and private clients. Mr. Peters was the recipient of the WSG Membership Award in 2005 in recognition of his contribution to the organization. Prior to joining Dykema in 1996, he clerked for the Honorable Patricia J. Boyle of the Michigan Supreme Court.

A resident of Bloomfield Hills, Michigan, Mr. Peters received his B.M.E. from the University of Kansas, his M.A. and M.B.A. from Southern Methodist University, and his J.D., cum laude and Order of the Coif, from Wayne State University.

International Paper in Agreement to Sell 13 Lumber Mills to West Fraser Timber Co. Ltd. for Approximately $325 Million
Debevoise & Plimpton LLP is advising International Paper in its definitive agreement to sell 13 lumber mills to West Fraser Timber Co. Ltd. for approximately $325 million in cash, subject to certain adjustments. The transaction is subject to various closing conditions including receipt of regulatory approvals and other customary conditions.
The transaction is part of International Paper’s previously announced transformation plan to focus on uncoated papers and industrial and consumer packaging globally, as well as xpedx, its North American distribution segment. Expected proceeds from divestitures announced to date, including the sale of these 13 lumber mills, total approximately $10 billion. Debevoise is advising International Paper in connection with a number of these divestitures.

Maureen P. Alger is a litigation attorney in the Firm’s Palo Alto, CA office. In her role as the Firm’s pro bono counsel, Ms. Alger has been responsible for the development and management of the pro bono practice firmwide. Her practice also includes representing pro bono clients in a wide variety of substantive areas including asylum, guardianship, landlord-tenant, civil rights, employment discrimination and general litigation. Ms. Alger received a J.D. from Columbia University School of Law, where she served as an editor for the Columbia Law Review. She received a B.A. degree with high honors from the University of California at Berkeley and was elected to Phi Beta Kappa.

Nicole C. Brookshire is a business attorney in the Firm’s Palo Alto, CA office. Bracewell & Giuliani Attorney Facilitates Series of Taxation Seminars in Three Major Texas Cities
Bracewell & Giuliani LLP partner Mickey R. Davis recently served as a speaker at the Texas/Federal fiduciary income tax workshop series held Nov. 15 – 17 in Dallas, Houston and San Antonio. Established by Professional Education Systems, Inc., the problem-solving workshop series covered a variety of continuing education topics for attorneys, CPAs, accountants and enrolled agents, as well as other professionals involved in the preparation of fiduciary income tax returns.

Mr. Davis discussed recent tax law changes, including the total return trust concept and combining a decedent’s living trust with the decedent’s estate for a single tax return. In addition, Mr. Davis reviewed several fiduciary income tax problems based on a hypothetical estate or trust. The problems illustrate how the allocation of estate deductions affects the tax liability of the estate or trust and the beneficiaries.

"The case study approach is a very effective way to learn about these complex issues," said Mr. Davis. "The problems allow us to build on a basic framework to help tax professionals deal with the increasingly sophisticated nature of the problems they encounter in their practices."

Other topics Mr. Davis spoke on included estate and trust administration with a focus on tax rules for trusts and estates, the treatment of excess administration expenses in the estate or trust’s year of termination, as well as the effect of capital gains and losses in distributions and excess expenses distributed to the beneficiaries.

Mr. Davis' practice addresses all aspects of wealth transfer planning, including sophisticated strategies for maximizing assets, minimizing taxation and preserving wealth for future generations. He is board certified in estate planning and probate law by the Texas Board of Legal Specialization, a Fellow of the prestigious American College of Trust and Estate Counsel, as well as a Certified Public Accountant and an Adjunct Professor of Law at the University of Houston Law Center.

Mr. Davis’ special focus on wealth transfer planning enables him to assist clients as individuals and families to preserve and protect their financial assets through sophisticated but practical strategies that maximize assets while minimizing taxes and creditors’ claims. Mr. Davis places special emphasis on communicating sophisticated wealth and estate management strategies to clients, enabling them to implement plans best suited to their wishes.
