HOWREY OPENS OFFICES IN NEW YORK AND MUNICH
Howrey LLP, a Washington DC litigation and trial powerhouse for more than fifty years, made law firm history today by announcing the opening of two new offices one in New York City and one in Munich, Germany. Thomas E. Engel and James G. McCarney, well known members of the New York legal community, with their firm have joined the New York office. Joachim Feldges, one of Europe’s top ranked Intellectual Property lawyers and his team, will add his firm to open the Munich office on January 1, 2007.

Robert F. Ruyak, the firm’s Chairman and CEO announced the dual opening saying, “2006 has been an incredible year for this firm- strong revenues, major client wins, top peer recognition. Opening offices in two of the world’s truly important legal centers, with lawyers who are leaders in their cities, is the capstone of our year’s achievements. Howrey-New York will be led by Thomas Engel and James McCarney, formerly name partners in Engel, McCarney & Kenney LLP, a Manhattan trial law firm. They will continue serving a varied international and domestic clientele and specializing in civil and white collar criminal litigation. In welcoming them to Howrey, Ruyak said, “We have long represented clients in the New York courts and have a growing number of significant cases --more than 35 currently-- pending there. Many Howrey attorneys are members of the New York Bar and several began their careers as prosecutors in Manhattan. Tom Engel, himself a former Assistant United States Attorney in the Southern District of New York, and his group give Howrey the local, on-the-ground talent and capability that we need in New York to continue to represent our clients successfully.”

EAP&D Serves as Counsel to South Florida Water Management District in $546 Million Deal Involving First Use of COPs
In a unique $546 million financing deal, Edwards Angell Palmer & Dodge attorneys Mark-David Adams and Richard Miller served as bond counsel for the South Florida Water Management District’s first environmental restoration project, in which certificates of participation were used for financing the restoration of the Florida Everglades, which represents the initial phase of the "Comprehensive Everglades Restoration Project." Partner Elaine Johnson James served as lead counsel in the case that validated the certificates of participation under Florida law for use in financing environmental restoration projects, which is the first time nationally that such certificates have been used for this purpose and which is expected to revolutionize the way to finance certain kinds of projects. Officials say this deal, the largest involving certificates of participation in the history of the State of Florida, has captured the attention of other states interested in using the lease-back structure for their environmental projects. Carol Dutra, an associate in the West Palm Beach office, assisted the EAP&D team.

Adams and Reese Attorney Achieves Another “Female First”
Ann Huckstep is the first female ever to serve as chair of the Executive Committee of Adams and Reese, one of the fastest growing law firms in the South Central United States. While the election of Huckstep to this position is attributed to her many contributions to the firm, it also reflects her partners' commitment to the firm’s diversity initiatives. Several years ago, Adams and Reese formed its Diversity Committee to ensure success of the firm’s dedication to establishing a corporate culture defined by understanding, respect and opportunity for all attorneys and staff.

Making history is nothing new to Hucktsep. In 1971, her classmates voted her “Most Likely to Succeed.” She was the first young woman ever to receive that title, but was stripped of the honor and told that her peers were supposed to have voted for a boy. Since then, Huckstep’s career has been marked by many great accomplishments in her profession and in her community, and many notable “first female” titles.

In 1992, the health care attorney was the first female elected to serve on the Executive Committee of Lange, Simpson, Robinson & Somerville, one of Alabama’s oldest and most prestigious law firms that merged with Adams and Reese in January 2003. In addition to becoming Lange Simpson’s first female chair, Huckstep was also the first female to chair a top ten law firm in the entire state of Alabama. It was under her leadership that the Lange Simpson merger with Adams and Reese took flight, forming the largest law firm in the four state region at that time.

“I knew instantly upon meeting Ann that she would be a tremendous asset to our firm,” says Adams and Reese Managing Partner Charles P. Adams, Jr. “She is bright and innovative, and is passionate about her practice and the firm. She has keen management skills and an exceptional ability to work with people. Ann possesses the kind of ingenuity that we need at the helm of our firm’s governing body.”

Huckstep is one of the top heath care attorneys in the Southeast region, and has been recognized by Best Lawyers of America for Health Care Law for many consecutive years. She represents a number of health care providers, including hospitals, medical service companies and physicians. She serves as an advisor on a broad range of matters, including compliance, accreditation, business transactions and corporate matters. She is also well-known for her extensive experience with Certificate of Need Law. In addition to health care law, Huckstep also practices in the areas of employee benefits and ERISA, mergers and acquisitions and general corporate law.

Despite devoting countless hours to her clients and her thriving legal practice, Huckstep is active in several civic and community groups, and has held numerous leadership roles among them. It is not surprising that she has also made many other "first female" milestones within those organizations. In 1987, she became the first female to chair the Board of Trustees for Christ United Methodist in Birmingham. In 1992, she was the first female to serve on the Board of Directors of the Birmingham Rotary Club. One year later, in 1993, Huckstep served as Chairman of the Board of Management of the Downtown Birmingham YMCA, and was again, the first woman to take on such an esteemed position. Huckstep presently serves as a Vice Chairman of the Birmingham Regional Chamber, as a member of its Executive Committee, as well as its legal counsel. She is on the Board of Directors of the United Way of Central Alabama, and on the Board of the Birmingham Rotary Club where she is also Sergeant at Arms. She is also a current Board Member of the Birmingham YMCA.

“My goal has never been to be the first female to achieve this or to be named that,” says Huckstep in regards to her accomplishments. “My goal was, and still is, to do the best I can, to commit myself 100 percent to the task at hand and to accept nothing less than the best for myself, my clients, my firm and my community. I think it is this philosophy—not my gender— that has allowed me to excel, and has defined who I am.”

Over the years, Huckstep has received a host of awards including being named one of only ten “Top Birmingham Women for 2005” by the Birmingham Business Journal. This honor was bestowed upon her for the many contributions she has made to the legal profession and to the community. Naturally, her many “firsts” were noted. Regardless of age or gender, Huckstep has already achieved more than many people do in a lifetime.

“Ann’s hard work, determination, dedication and passion for the profession of law and civic activism are inspiring,” says Adams and Reese partner Debbie Rouen, who served as the firm’s first female member of the Executive Committee and now serves as co-chair of its Diversity Task Force. “She is a role model not only to young women, but to all those who know her personally and professionally.

Weil, Gotshal & Manges Advises Nemak on Acquisition of European Aluminum Castings Division from Norsk Hydro
The Frankfurt and Munich offices of the international law firm Weil, Gotshal & Manges LLP, assisted by its Budapest and Washington offices on regulatory issues, advised the Mexican Nemak Group on the acquisition of the European aluminum castings division from Norwegian Norsk Hydro ASA. The transaction value is approx. €416 million. The transaction comprised facilities located in Germany, Hungary, Austria and Sweden and is subject to regulatory approval.

Nemak is a subsidiary of the Mexican industrial company ALFA S.A.B. de C.V., a leading producer of aluminum cylinder heads. The German offices of Weil, Gotshal & Manges LLP previously advised Nemak on its acquisition of Rautenbach AG in 2004/2005.

The transaction team of Weil, Gotshal & Manges was led by partner Stephan Grauke (Corporate, Frankfurt) and was assisted by partner-elect Christian Tappeiner (Corporate, Frankfurt) and the associates Guido Ruegenberg, Sven-Marko Schweneke, Nicolai Nahrgang, Franziska Jaeger (all Corporate, Frankfurt) and Michael Soergel (Corporate, Munich). Department of Labor Issues Request for Comments on Family Medical Leave Act Regulations
The Department of Labor has issued proposed new regulations concerning the implementation and interpretation of the Family and Medical Leave Act ("FMLA"). DOL is looking for comments and information in response to statutory, regulatory and judicial developments affecting the interpretation of the Family Medical Leave Act. DOL is specifically looking for comments regarding the FMLA's eligibility requirements (e.g., how is the 12-month employment requirement interpreted); the ever-popular definition of a "serious health condition" (e.g., frequently the regulatory tests supersede the generic exclusions listed in 29 C.F.R.§ 825.114); the definition of "day" in calculating time away from work; substitution of paid leave for unpaid leave under individual employer policies; the impact of the FMLA on employer attendance policies; the impact of scheduled versus unscheduled FMLA leave and how employers respond; the effect on FMLA leave of light duty work; the definition of "essential" functions of a job under the FMLA; and whether a waiver of FMLA rights is possible and under what circumstances.
