Fowler White Boggs Banker Shareholders Named in The South Florida Legal Guide®, 2007 Edition

Ford & Harrison Continues National Expansion and Opens Phoenix Office
Ford & Harrison LLP will open an office in Phoenix, Arizona effective January 1, 2007. Richard S. Cohen, Stephanie M. Cerasano and Troy P. Foster, all partners in the Labor and Employment Section of Lewis and Roca LLP, will become partners with Ford & Harrison. The new Phoenix office marks the firm’s 18th office and strengthens Ford & Harrison’s position as one of the leading labor and employment law firms in the country.

This is the third office opening for Ford & Harrison in a period of two months. The firm is also opening an office in Chicago, Illinois on January 1 with its merger with labor and employment firm Matkov Salzman and a fifth office in Florida opens December 15 in Melbourne. Effective January 1, Ford & Harrison will have more than 190 attorneys in 18 offices.

“We have wanted to open an office in Phoenix for quite some time due to our clients’ demands for a presence in Arizona,” said Lash Harrison, Ford & Harrison Managing Partner. “Rick, Stephanie and Troy share the same values and commitment to client service as the rest of the lawyers at the firm. They are highly experienced labor and employment lawyers and are the perfect team to launch this office and lead the way for our firm’s future growth in the city.”

Rick Cohen will serve as the managing partner of the Phoenix office. Four associates from Lewis and Roca’s Labor and Employment Section will also be joining Ford & Harrison – Justin Pierce, Sonya Parrish-Boun, Jonathan Hauer and Kylie B. Crawford. In addition, Karen C. Reynolds, an associate from Ford & Harrison’s Washington, DC office, will relocate to the Phoenix office.

“This is an incredible opportunity for me and my colleagues,” added Rick Cohen. “Joining Ford & Harrison will allow us to provide expanded service to our clients, particularly in the area of labor relations, immigration and employee benefits.

Mr. Cohen’s practice focuses on employment litigation where he represents employers on a variety of litigation matters involving the employer-employee relationship. He has successfully defended employers in several of the most significant class action lawsuits in the Southwest. He advises employers on day-to-day legal issues affecting the workplace and negotiates and prepares employment agreements and executive separation packages. Mr. Cohen is a member of the American Bar Association’s Committee on Equal Employment Opportunity Law and a member of the Labor Law Section. He is listed in The Best Lawyers in America and is listed in the top tier of Chambers USA America’s Leading Business Lawyers. He received his law degree from George Washington University Law School.

Ms. Cerasano represents employers in all areas of employment law, specializing in disability discrimination, sexual harassment and the Family and Medical Leave Act. She also works with clients in assisting with employee handbooks, written employment contracts and training for managers. She is a frequent speaker to groups on employment law topics and is an editor of the Arizona Employment Law Letter, published by M. Lee Smith Publishers. She received her law degree, magna cum laude, from Arizona State University College of Law.

Mr. Foster defends employers against claims of sexual harassment, age, race, gender and disability discrimination. He also advises employers how to prevent claims before they occur through training supervisors and managers. He works with clients on employee handbooks and policies and provides day-to-day counseling on hiring, discipline and termination practices. Mr. Foster serves on the Supreme Court’s Committee on Character and Fitness and the State Bar of Arizona’s Fee Arbitration Committee. He is an editor of the Arizona Employment Law Letter, published by M. Lee Smith Publishers. He received his law degree, cum laude, from Arizona State University College of Law.

Curtis Counsel Andrew Otis and Associate Dora Straus achieved a victory for pro bono client New York Council of Dog Owner Groups (NYCDOG) in New York State Supreme Court - Queens County when Judge Peter A. Kelly issued an opinion dated November 30, 2006 in the matter of Juniper Park Civic Association, Inc v. City of New York, 7888/2006 that dismissed in its entirety petitioner’s motion to compel the New York City Parks Department to rescind its policy of allowing dogs off-leash in certain locations in City parks at certain hours.

Curtis attorneys attend the Fall Meeting of the International Law and Practice Section of the New York State Bar Association held in Shanghai, China
Curtis attorneys Marco A. Blanco, Bryan A. Elwood, Lynn P. Harrison 3rd and Andrew D. Otis traveled to Shanghai in October for the Fall Meeting of the International Law and Practice Section of the New York State Bar Association.

Mr. Blanco, a member of the Meeting’s Steering Committee was a featured speaker at the event on the subject of cross-border tax planning. Mr. Elwood, Mr. Harrison and Mr. Otis co-chaired meeting panels and also spoke. Mr. Elwood’s presentation concentrated on international trade. Mr. Harrison addressed the recent developments in the bankruptcy laws of China and the United States with special emphasis on the New Enterprise Bankruptcy Law in China enacted in August 2006. Finally, Mr. Otis spoke about lessons from implementation of the National Environmental Policy Act for implementation of China’s Environmental Assessment Law. During their trip, the Curtis attorneys also traveled to Beijing to participate in additional conferences, deliver speeches and meet with Chinese law firms and potential clients. Curtis is currently assisting Chinese clients with legal issues in the United States, Europe and Latin America and developing a practice area to better assist clients with business in China.

Arcelor Mittal in Record €17 Billion Credit Facility, the Largest Funded General Corporate Deal in the Euromarkets
Cleary Gottlieb acted for long-time client Arcelor Mittal in the refinancing of the current credit facilities of Mittal Steel Company N.V. and Arcelor S.A. prior to the completion of their merger. The transaction signed on November 30.

The facility involves a syndicate of 26 banks including 17 mandated lead arrangers. The transaction brings together terms from the existing Mittal Steel and Arcelor facilities and was structured to provide for future flexibility in light of the upcoming merger and an innovative structure for novating the debt to a finance company.

Cleary Gottlieb also advised on all of the financing for the combination of Mittal Steel and Arcelor, respectively at the time the largest and second largest steel producers in the world.

Clark Hill attorney Barbara A. Ruga will address the Michigan Association of School Personnel Administrators’ (MASPA) 34th Annual Conference on November 30th at the Sheraton Lansing Hotel. Ruga’s presentation is entitled “Hornswaggling: Legal Update,” and will review various relevant legal issues and considerations surrounding school administration and personnel. Ruga will present at 4:00 p.m.

Ruga has been practicing law for nearly 30 years in the areas of education, labor relations and employment law. She predominantly represents public school districts in a wide range of employment and school law matters, and frequently lectures to public school districts on employment matters.

Ruga has published several books and articles in the field of employment law, including articles in the Michigan Council of School Attorneys Newsletter. She was the co-editor and author of “Michigan Wrongful Discharge and Employment Discrimination,” (ICLE, 1990-1994) and “Wrongful Discharge Cases in Michigan,” (1984 and 1987 editions).

Ruga has been active locally on bar association committees, professional, charitable and local governmental projects.

Ruga earned her J.D. and B.A., cum laude, from the University of Michigan.
