Drinker Biddle Partner Richard Brennan To Provide Insight, Analysis of Key 2006 Civil Lawsuits
Drinker Biddle & Reath Partner Richard Brennan will be among a distinguished panel of Superior Court judges and lawyers on Saturday, Jan. 20 that will provide analysis of the key civil cases of 2006. Valuable for new and established litigators alike, the presentation will review the decisions and explain their current and future impact from both the plaintiff’s and defendant’s perspectives.

The seminar, presented by the New Jersey Institute for Continuing Legal Education (NJICLE), will be from 9 a.m. to 1 p.m. at the Marriott Hotel in Saddle Brook. “Throughout our careers as lawyers, it’s critical to keep learning and deepening our understanding of the law,” Brennan said. “A review of last year’s key cases provides insight into the reasons behind the decisions and how they will impact our clients now and in the future.”

Brennan has tried a variety of cases during his career, ranging from medical malpractice to products liability. He has been involved in numerous significant appeals on both the state and federal levels, involving issues such as wrongful life and the liability of a psychiatrist to a third party. Brennan began his career as a law clerk in the Appellate Division. He is a master of the Worrall F. Mountain Inn of Court and an adjunct professor of civil trial practice at Seton Hall University School of Law. He is also a fellow of the American College of Trial Lawyers. Brennan was the recipient of the 2003 Judge Alfred C. Clapp Award for his distinguished service and commitment to the continuing legal education of members of the bench and bar. The award is presented each year by the NJICLE.

CRAVATH REPRESENTS INITIAL PURCHASERS IN $5.95 BILLION DEBT OFFERING OF FIRESTONE ACQUISITION CORPORATION
Cravath represented the initial purchasers (led by Credit Suisse and Citigroup) in connection with the $5.95 billion Rule 144A/Reg. S high yield, 4 tranche, senior and senior subordinated note offerings of Firestone Acquisition Corporation. Firestone Acquisition Corporation was merged with and into Freescale Semiconductor, Inc., one of the world's largest semiconductor companies. This is the largest high yield offer since 1989. The notes were listed on the PORTAL Market. The lawyers involved in this matter are partner Kris F. Heinzelman and associates Minh Van Ngo, Marvin B. Tagaban and Thaddeus L. Pitney.

Freddie Mac, Fannie Mae and Ginnie Mae in More Than $9 Billion of Mortgage-Backed Securities Deals in November
Cleary Gottlieb represented the underwriters, including Barclays, Citigroup, Countrywide, Greenwich, HSBC, JP Morgan Chase, Lehman, Morgan Stanley and UBS, in 15 Freddie Mac, Fannie Mae and Ginnie Mae mortgage-backed transactions, totaling more than $9 billion of mortgage-backed securities in November and over $134 billion so far in 2006.

In general, the "agency" transactions involve the issuance of mortgage-backed securities, in each case guaranteed by Freddie Mac, Fannie Mae or Ginnie Mae. Ginnie Mae is part of the U.S. government, while Freddie Mac and Fannie Mae are government-sponsored, publicly-owned companies. In each transaction, the underlying assets were residential mortgage loans. The cash flows on these mortgages support the issuance of securities. The securities were issued in multiple classes, with some of the deals issuing more than 50 classes.

This type of mortgage securitization—originally known as a CMO—was pioneered by Cleary Gottlieb in 1983, and now accounts for roughly one-third of the total debt issuances on Wall Street. Economists estimate that the existence of securitizations has reduced prevailing mortgage rates in the United States by about 1/2 of 1% per annum since their introduction.

Three Bullivant associates named Washington Rising Stars

James G. Fick, Stacey Fitzpatrick and Charles A. Willmes are all attorneys practicing in the firm’s Seattle office.

James G. Fick, selected as a Rising Star in the area of construction litigation, represents developers, owners, contractors, and subcontractors. He earned his law degree from Willamette University in 1997 and his B.S. from the University of Oregon in 1992.

Selected as a Rising Star in the area of construction litigation, Stacey Fitzpatrick focuses her practice on defending developers, general contractors and subcontractors in construction defect litigation. She earned her J.D. from the University of Washington and her B.A. from the University of California, Berkeley.

Charles A. Willmes, selected as a Rising Star in the area of product liability, focuses his practice on litigation with an emphasis on product liability claims. He earned his law degree from the University of California, Hastings College of the Law, and his B.A. from the University of Redlands.

Mr. Schuckmann resides in Westerville, Ohio with his wife, Jennifer, and their two sons, Karl and Thomas.

Bradley L. Smith Joins Brinks Hofer Gilson & Lione
Brinks Hofer Gilson & Lione, one of the largest intellectual property law firms in the United States, is pleased to announce that Bradley L. Smith has recently joined the firm as counsel in the firm's Ann Arbor, Michigan office.

Prior to joining Brinks, Mr. Smith was a litigation partner at a general practice law firm in Ann Arbor, where he supervised jury and non-jury trials and several AAA arbitrations. In addition, Mr. Smith was the managing editor of the Michigan Law Reviewand was a law clerk to the Honorable Edith H. Jones, the current Chief Judge of the Fifth Circuit.

Mr. Smith received his J.D. degree from the University of Michigan Law School and his B.S. degree in agricultural and biological engineering from Cornell University. He also holds an M.B.A. with a concentration in finance and international trade from the Cornell University Johnson Graduate School of Management.
