Symphony Capital Partners Provides Funding to Alexa Pharmaceuticals
our client Symphony Capital Partners, L.P., and its co-investors signed an agreement with Alexa Pharmaceuticals, Inc. to establish a joint venture, Symphony Allegro, Inc., which will provide $50 million in funding to Alexa to accelerate clinical and other related development activities for two of its drug delivery devices. One of the devices (AZ-002) is being developed for the acute treatment of panic attacks associated with panic disorder, and the other (AZ-004) is being developed to treat acute agitation in patients with schizophrenia. Both product candidates are currently in the clinical trial phase. Through a purchase option, Alexa retains the exclusive rights to acquire 100 percent of the equity of Symphony Allegro at specified prices during the four-year term of the agreement. The Paul, Weiss team included corporate lawyers Bob Zochowski, Ray Russo, Jill Poulson, Anna White and Leslie Inamasu and paralegal Aninda Dhar; tax lawyers Rick Bronstein and Mashisho Yuasa; and employee benefits lawyer Mike Segal.

Bill Ardinger Authors Article on Ground-Breaking Trust Company Legislation
Bill Ardinger, Director of the Tax Practice Group at Rath, Young and Pignatelli, P.C., has co-authored with Attorney Michelle Arruda an article in the New Hampshire Bar Journal, "The Policy and Provisions of the Trust Modernization and Competitiveness Act of 2006." Commenting on this legislation's enactment, The Wall Street Journal reported that the “latest entrant in the trust wars is New Hampshire, whose governor signed into law this week a bill that seeks to surpass most other states in innovative trust features.”

Ardinger and Arruda's article examines this ground-breaking legislative initiative which makes significant changes to New Hampshire’s statutes in two areas: (1) those governing trust companies, which are regulated by the Banking Department; and (2) those governing the establishment and administration of trusts.

The article summarizes the principal policy considerations that led to enactment of the TMCA, it identifies and discusses some of the important provisions of the TMCA, and it concludes with some thoughts about what will be required if New Hampshire intends to maintain a leading position in this area.

Rath, Young and Pignatelli, P.C. represented Trust New Hampshire First, LLC in researching, developing, drafting and lobbying for the enactment of the Trust Modernization and Competitiveness Act. Colorado Law Firm Merges with Peck Shaffer
Peck, Shaffer & Williams LLP, a national leader in public finance law, and Becker Stowe & Bieber LLC, a Denver public finance law firm, today announced that they have agreed to merge. The merger will take effect January 1, 2007, with the firms combining under the name Peck, Shaffer & Williams LLP.

Intellectual Property Lawyer Len Jacoby Joins Cleary Gottlieb
International law firm Cleary Gottlieb Steen & Hamilton LLP announced today that Leonard C. Jacoby, 36, head of the intellectual property and technology transactions practice in Wilson Sonsini Goodrich & Rosati’s New York office, will join Cleary Gottlieb as a partner, effective January 1, 2007. Mr. Jacoby will be based in Cleary Gottlieb’s New York office.

He teaches classes on intellectual property transactions at the University of Pennsylvania Law School and Brooklyn Law School in New York. He is a Member of the Bar in New York and Massachusetts.

Business and Corporate Law Practice Group On The Move
Lowndes, Drosdick, Doster, Kantor & Reed is please to announce the expansion of its business and corporate law group. This is the latest example of the firm's continued commitment to provide our thriving commercial community with a strong legal network. An additional second floor suite has been taken at 450 South Orange Avenue in the CNL Center I next to Orlando City Hall, expanding beyond the firm's eight floor suite which will continue to house many of the firm's multi-disciplinary legal team members. The original offices at 215 North Eola Drive continue to house the majority of the staff members of the area's largest law firm, numbering approximately 350 people.

The additional 14,000 square feet of office space in the CNL Center I accommodates 21 new corporate and business law attorney offices and 23 support staff members. The new office facilities also provide an additional training center and an additional corporate law library. The move not only accommodates the firm's continued growth, but allows it to be well-positioned for further expansion.

Gide Loyrette Nouel Brussels and Warsaw, legal counsel to the Polish firm Dwory in an EC proceedings
The Commission today adopted a decision to impose a total fine of 519 million euros on several Emulsion Styrene Butadiene Rubber (ESBR) and Butadiene Rubber (BR) producers, for having committed an infringement of Article 81 (1) of the EC Treaty by agreeing on target prices, sharing of customers and exchanging sensitive business information concerning prices.

The Polish company Dwory, which is involved in the production of ESBR, was initially concerned by the Commission's investigation and an addressee of the Commission's two statement of objections.

However, the Commission finally decided to close the proceedings against Dwory.

Dwory was represented by Gide Loyrette Nouel Warsaw and Brussels, with partners Robert Jedrzejczyk (Warsaw) and Antoine Gosset-Grainville (Brussels) leading the work, assisted by associates Agnieszka Lupinska and Magdalena Tomaszewska (Warsaw), and Laurent Godfroid and Christina Renner (Brussels).
