Kaye Scholer Obtains Another Stay of Execution in Pro Bono Death Penalty Case
Virginia Governor Kaine halted the imminent execution of Kaye Scholer's pro bono client, Percy Levar Walton, finding that Mr. Walton "is severely mentally impaired and meets the Supreme Court's Definition of mental incompetence." The Governor has granted a reprieve of 18 months for further evaluation of Mr. Walton's condition. The stay was granted in response to a clemency petition filed by New York partners John Howley, Arthur Brown, Lori Leskin and Jennifer Patterson; New York associates Andrea Brustein, Antonio Elefano, Matthew Kohel, Oded Pincus and Samuel Wordie; and Karen Robinson, an associate in the Washington, DC office.

Howard Rice Continues Growth With The Addition Of Hank Barry
Howard Rice Nemerovski Canady Falk & Rabkin today announced that Hank Barry has joined the firm as a director. Mr. Barry represents technology companies at all stages of development, with a particular focus on intellectual property, commercial strategy and financing issues. He will be a member of the firm's Business Department and the Intellectual Property Counseling & Transactions group.

Mr. Barry joins Howard Rice from Hummer Winblad Venture Partners in San Francisco, where he has been a partner since 1999. On behalf of Hummer Winblad, from May 2000 to May 2002, Mr. Barry served as CEO and a board member of Napster, Inc.

Before joining Hummer Winblad, Mr. Barry was a partner at Wilson Sonsini Goodrich & Rosati in Palo Alto. At Wilson Sonsini, Hank was principal legal counsel to several pioneering Internet and digital media companies, including BizRate, Employease, Global Village Communications, Looksmart, Liquid Audio, NetDynamics and Upshot. He also represented several entertainment and consumer electronics companies, including A&M Records, Disney Online and Apple Computer.

"Hank is a leader in the legal, entrepreneur and venture capital communities and we're thrilled he is joining our firm. His wealth of knowledge in the areas of technology, entertainment, new media and venture capital work, and his insider's perspective will enhance our ability to provide unparalleled service to our clients," said Managing Director Lawrence Rabkin.

Mr. Barry holds a B.A. in economics with highest distinction from the University of Michigan and a J.D. from Stanford Law School, where he was managing editor of the Stanford Law Review. He is a member of the board of the Friends of the Palo Alto Children's Theatre and AttentionTrust.org. He is an emeritus trustee of Theatreworks and is active in the Castilleja School and Stanford Law School communities.

Mr. Barry is the fourth lateral addition to Howard Rice in recent weeks. The firm recently brought on well-known professional liability attorneys Pamela Phillips and Sean SeLegue, as well as Alison Wright, whose practice focuses on executive compensation issues.

Gibson Dunn Adds Energy Partner Nicholas Politan in New York
Gibson, Dunn & Crutcher LLP is pleased to announce that Nicholas Politan will join the firm’s New York office as a partner. Formerly Co-Chair of Bingham McCutchen’s Project and Structured Finance Practice Group, Politan will continue to focus his practice on domestic and cross-border energy-related transactions.

"The continued growth of our New York office remains a strategic priority for the firm, and Nick will be a terrific addition to our New York platform. About Nicholas Politan

Politan focuses his practice on transactional work primarily in the energy sector, including mergers and acquisitions, financings of all types, project development, construction and operation, and restructurings. He represents developers, sponsors, strategic investors and lenders in connection with such transactions.

He also has extensive experience in asset-based and structured financings, including receivables securitizations and equipment leasing.

Prior to joining the firm, Politan was Co-Chair of Bingham McCutchen’s Project and Structured Finance Group. Before joining Bingham McCutchen in 1998, Politan served as the chief financial officer of a publicly traded company specializing in domestic and international energy project development, financing, construction and operation from 1995 to 1998 and as its general counsel and head of project finance from 1992 to 1995. He practiced with Heller, Ehrman, White & McAuliffe from 1986 to 1991.

Politan received his law degree from Stanford Law School in 1986. He graduated magna cum laude, with distinction in economics, from Duke University in 1983.

Dykema Launches Comprehensive Proposal 2 Web Site
Dykema, a premier Midwest-based law firm, has launched a Web site dedicated to the effects and implementation of Proposal 2 found at michiganaffirmativeaction.com. The site provides information, education, and background related to the recently passed proposal, set to take effect December 23, 2006.

Michigan voters approved the proposal, also known as the Michigan Civil Rights Initiative (MCRI), at the general election held November 7, 2006. According to the language of Proposal 2, MCRI amends the Michigan Constitution to prohibit discrimination and preferences based upon race, sex, color, ethnicity, or national origin, by the state in education, employment, or contracting. Before the general election, hundreds of organizations, companies and individuals opposed the controversial issue and its placement on the ballot. The Web site offers detailed information on litigation that arose from opposition to the ballot proposal and its ultimate passage.

"We are pleased to offer this one-stop comprehensive resource for people interested in how Proposal 2 will be implemented and its general effect on government, business, and citizens," said Len Wolfe, co-director of the firm's Government Policy Department. "Michigan is the third state, behind California and Washington, to enact this type of proposal, and there are a number of new legal issues that need to be addressed."

"We know many people in the public sector are scrambling to understand the impact of the amendment, no matter which side of the issue they supported before the election," said Jim Greene, director of the firm’s Employment Department. "Dykema is striving to keep our clients informed, as it may have far-reaching effects – particularly on public sector clients."

The Proposal 2 Web site includes studies of the impact on the other states, news and media coverage, and explanatory bulletins that answer commonly asked questions of concerned citizens.

The Web site was created by Dykema’s Government Policy and Employment Departments, which comprise nearly 70 attorneys and professionals. The firm’s Government Policy Department includes attorneys and government relations professionals with substantial experience working with all branches of government. Dykema’s Employment Department is actively involved in the litigation of all employment-related matters and regularly represents clients in all counties throughout Michigan, and in the federal district and appellate courts.

The Government Policy and Tax and Estates Departments also recently launched the Michigan Single Business Tax (SBT) Web site, found at www.michigansinglebusinesstax.com. The site provides the latest proposals, developments and news surrounding a replacement of the state’s SBT, set to expire December 31, 2007.

Chadbourne Represents Morocco State Utility in Estimated US$1.5 Billion Power Project
Chadbourne & Parke LLP is representing the Morocco state-owned utility Office Nationale de l'Electricité (ONE) in connection with a tender for the Cap Ghir project, an approximately 1320 MW coal fired IPP to be located along the coast between Agadir and Essaouira in Morocco.

The cost of the greenfield project is estimated at US$1.5 billion.

Leading work on the project for Chadbourne are partners Lynne Gedanken of the London and Washington, DC, offices and Robin Mizrahi of the London office. The deal marks an expansion of Chadbourne's leading project finance practice in Africa; the Firm has been involved with deals in recent months in Benin, Ghana, Nigeria and Uganda.

It is expected that the plant, which will consist of two approximately 660 MW units, will sell its output to ONE under a 30-year power purchase contract.

The project will be Morocco’s fourth IPP.

Chadbourne Represents Newell Rubbermaid in Europe Division Sale
Chadbourne & Parke LLP is representing Newell Rubbermaid Inc. on antitrust and corporate matters in the sale of certain portions of its European Home Decor business to Hunter Douglas, a global manufacturer and marketer of window treatments and furnishings.

The multi-country transaction includes the Newell Rubbermaid businesses in Portugal and the Nordic, Central and Eastern European regions, except for operations in Poland and Ukraine where antitrust regulatory approval is still pending and closing is expected to occur by early 2007. Completion of parts of the sale were announced on November 30, 2006.

Several Chadbourne attorneys worked on the transaction. In Washington, D.C., antitrust attorneys William S. D'Amico and David T. Blonder represented Newell on antitrust and competition-related matters, and in London, Denis Petkovic worked on corporate matters. Also involved in antitrust representation were Robert Kozlowski in Warsaw, Svetlana Sineva in Moscow, and Anna Y. Ryzhova in Kyiv.

The financial terms of the agreement were not disclosed.

Newell Rubbermaid also announced it has signed an agreement for the intended sale of the remaining portions of its Home Decor Europe business located in Belgium, France, Italy, Luxembourg, the Netherlands and Spain. The transaction is expected to close at year-end.

Chadbourne Represents Royal Bank of Scotland in First Onshore Gas Project Financing Deal in Poland
Chadbourne & Parke LLP is representing The Royal Bank of Scotland plc in connection with a US$25 million borrowing base credit facility for what is believed to be the first onshore gas project financing deal in Poland.

The facility, signed on November 20, will be provided to FX Energy Poland Sp. z o.o., a wholly owned subsidiary of FX Energy, Inc. Funds from the facility will cover infrastructure and development costs for a variety of Polish gas projects and will be secured by FX Energy's commercial wells and production in Poland.

Working on the deal for Chadbourne are London office partner Denis Petkovic and associate Luke Westmore, as well as Warsaw office partner Kazimir Jelenski and associate Agnieszka Piasecka.
