FBT Attorney Named to Board of Directors for The American Board of Certification
The American Board of Certification (“ABC”), a nonprofit organization dedicated to serving the public and improving the quality of the bankruptcy bar, announced today that Frost Brown Todd attorney, William T. Bodoh, has been appointed to its Board of Directors. Judge Bodoh, who has served as counsel with the Firm since 2004 and a former Chief Judge for the United States Bankruptcy Court for the Northern District of Ohio, joins many of the nation’s finest bankruptcy and creditors’ rights lawyers, former judges, and law professors that currently sit on the board.

Judge Bodoh is nationally known for his expertise in steel industry cases and has been called, “The Judge of Steel”. His decisions have guided the bankruptcies of LTV Steel Company, Inc., Phar-Mor, Inc., Concord Steel, WCI Steel, CSC, Inc., and Wheeling-Pittsburgh Steel Corporation to name a few. His understanding of both labor-management relations, environmental issues, and complex massive proceedings have made him a magnet for some of the largest bankruptcy filings in the nation.

Labor and Employment Attorney Celeste Wasielewski Joins Duane Morris in Washington, D.C.
Duane Morris LLP is pleased to announce the arrival of Celeste M. Wasielewski, formerly of DLA Piper Rudnick Gray Cary US LLP, as a partner in its Washington, D.C. office. Celeste joins the firm's Employment and Immigration Practice Group.

Celeste represents clients in labor and employment matters. She has extensive experience in labor relations under the Railway Labor Act and the National Labor Relations Act, including collective bargaining negotiations, unfair labor practice cases, representation cases, union organizing and decertification drives, arbitration hearings, and strikes. She has also handled employment matters under federal and state law, including age, sex, national origin, race, wrongful discharge, whistleblower, AIR 21 and disability discrimination cases as well as conducting sexual harassment training. Her past experience involves substantial litigation before federal and state courts, arbitrators, the National Labor Relations Board and the U.S. Department of Labor. Additionally, Celeste has maintained a 17-year relationship representing the world's largest fractional aircraft ownership and air charter company and its subsidiaries in labor and employment matters.

As part of her pro bono and civic engagement activities, Celeste has represented Mercy Home for Children in Brooklyn, New York, since 1992 in labor and employment matters. Recently, she was honored as Mercy Home's "2006 Woman of Mercy." Celeste is also a legal advisor for the American Singles Golf Association.

Celeste earned her J.D. from George Washington University in 1988 and her B.A. from the University of Michigan in 1985.

Joining Celeste in the Employment and Immigration Practice Group today is Annette A. Idalski, formerly of Hunton & Williams, as a partner in the Atlanta office.

Nokia/Siemens Telecom Network Equipment Venture Wins Antitrust Clearance
Cleary Gottlieb recently obtained EU and U.S. antitrust approval for the formation of Nokia Siemens Networks, which will combine Nokia Corporation's and Siemens AG’s global mobile and fixed-line telecom network equipment businesses. Based on 2005 pro forma revenues, Nokia Siemens Networks will have a turnover of approximately €15 billion.

The deal brings together the global #2 and #3 mobile and fixed-line telecom network equipment providers in an industry that has undergone significant recent consolidation. Cleary Gottlieb continues to represent both Nokia and Siemens in obtaining antitrust approvals in a further 15 jurisdictions worldwide.

BC’s Nguyen Outlines Immigration, Labor Mobility Concerns for State Leaders
Bryan Cave’s Mark Nguyen will address state legislators and attorneys general on trade policy and competitiveness challenges at the upcoming National Conference of State Legislators (NCSL). This is the second such trade policy leadership seminar. Nguyen, international trade senior policy adviser in Bryan Cave LLP’s Santa Monica office, also presented at the first trade policy leadership seminar, when state leaders convened in 2003.

Nguyen’s panel will discuss immigration and labor mobility, and how the two are accounted for in trade agreements. With immigration reform a hot issue in Congress, state leaders must understand the implications trade agreements have on state-level immigration and labor-mobility issues, including the impact on both skilled professionals and migrant workers.

Scheduled speakers on Nguyen’s panel include Delaware Representative Joe Miro, co-chair of the NCSL Executive Committee Task Force on Immigration & the States, who will preside over the panel; the president of Washington Tech/CWA in Seattle, Wash.; the president and CEO of the Federal Reserve Bank of Dallas; the program director of the NCSL Immigrant Policy Project; and the executive director of the Coalition of Service Industries.

Nguyen has considerable experience advising clients on compliance with U.S. and foreign trade and investment regulations, GATT/WTO agreements, WTO dispute settlement, WTO accessions, negotiations of the Doha Development Agenda, U.S. free trade agreement and regional trade matters. Before joining Bryan Cave, he managed a global trade firm’s WTO advisory services and also has worked at the WTO Secretariat and the U.S. Trade Representative (USTR) Office to the WTO in Geneva. Nguyen was at the WTO and USTR office in Geneva from 1997-1998, and has represented client interests at WTO Ministerial Conferences including those in Geneva, Seattle, Cancun and Hong Kong.

Brown Rudnick Closes Landmark M&A and Corporate Financing Deal in the Transportation Industry
Brown Rudnick, a premier international law firm, represented Summit Global Logistics, Inc. in one of the year’s most complex and high-profile M&A transaction and corporate financings in the transportation industry. The deal involved close coordination of law firms from around the world, including in the People's Republic of China. As lead counsel, Brown Rudnick’s Raymer McQuiston structured a succession of complex, multi- jurisdictional transactions involving over 13 sellers, 100 equity investors, 26 debt investors, and 27 warrant holders, that led to the creation of a new global player in the shipping and logistics sector.

The transaction included:
• Three acquisitions
• One merger with a public shell
• A large PIPE (private placement of securities)
• A convertible note offering
• A senior secured credit facility
• A complete benefits program
• Super 8-K -- the second largest 8-K in the history of the printing house
• S-1 registration statement

As a result, Summit Global Logistics expects that its consolidated operating revenues for the year ending December 31, 2006 will be in excess of $200 million. The new company's objective is to position its asset-light model to capture growth opportunities in the international and domestic logistics market. The chronology and structure of the multi-faceted deal was as follows:

Aerobic Creations, Inc. (OTCBB: ARBC - News) merged with Maritime Holdings US Logistics Inc., and the new combined entity was renamed Summit Global Logistics, Inc. Immediately after the merger, the new company consummated financings in the aggregate amount of approximately $163 million. Upon consummation of the financings, Summit Global Logistics completed two significant acquisitions, where the new company acquired: 1) FM, a parent company, and FMI’s subsidiary companies, a full-service United States logistics provider specializing in the apparel, retail and footwear industries; and 2) certain assets and companies of the TUG Logistics Group of companies, an ocean transportation intermediary specializing in Asia to United States cargo.

Immediately prior to the merger, Maritime Holdings acquired SeaMaster Logistics (Holdings) Ltd, a Hong Kong corporation, with an exclusive agency network in every major transportation hub in the People’s Republic of China with a right to purchase this network, and AmeRussia Shipping Ltd, a Russian freight forwarder. Mr. McQuiston also arranged on behalf of the company for the creation of a “wholly owned foreign enterprise”, or WFOE, in China under newly established regulations in China permitting the expansion of foreign ownership in the PRC, and Summit Global Logistics expects to be the first qualified WFOE in this business sector in China.

Simultaneously with the acquisitions, Summit Global Logistics closed a financing totaling $163 million in acquisition and working capital facilities. The facilities consisted of a $55 million senior secured term loan, a $10 million revolving line of credit, $65 million of convertible notes and warrants, and $33 million of common stock and warrants. Of the total proceeds, $119 million was used to finance the acquisitions and the remaining $44 million will be used to pay transaction costs, provide working capital for company operations, and to fund the company's growth strategy, including potential future acquisitions.

Mr. McQuiston represents both public and private companies in an array of corporate and commercial matters. His practice focuses on mergers and acquisitions, corporate finance, securities and technology law. Mr. McQuiston advises clients on tender offers, rights and warrants offerings, proxy solicitations, acquisitions, leveraged financings, cross-border transactions, securitizations, initial public offerings, private placements and Rule 144A transactions. Mr. McQuiston’s client base includes transportation, logistics, and insurance companies. In addition, Mr. McQuiston counsels both established technology companies and start-up on intellectual property issues, tax structuring, venture capital and joint ventures.

Nebraska Arts Council, Board of Directors
Blackwell Sanders Partner David Gardels was appointed by Governor Dave Heineman to the Board of Directors of The Nebraska Arts Council. The appointment is for a three-year term and requires confirmation by the Nebraska Unicameral. The Nebraska Arts Council makes grants to more than 350 artists, arts organizations, schools and community groups and also provides technical support to carry out a variety of art experiences statewide. The Nebraska Arts Council is funded by the State of Nebraska, the National Endowment for the Arts and the Nebraska Cultural Endowment.
